13-221.00 Consolidated Irrigation Dist. 19MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF SPOKANE VALLEY AND CONSOLIDATED IRRIGATION DISTRICT NO. 19 FOR MISCELLANEOUS WATERLINE WORK AS PART OF THE CONSTRUCTION OF THE SULLIVAN ROAD WEST BRIDGE REPLACEMENT PROJECT THIS MEMORANDUM OF UNDERSTANDING (MOU) is between the City of Spokane Valley (the City) and Consolidated Irrigation District #19 (District). The City and District are sometimes referred to individually as a "Party" and collectively as the "Parties." WHEREAS, as part of its Transportation Improvement Program, the City intends to construct the Sullivan Road West Bridge Replacement Project ( "Bridge Project ") over the Spokane River, which includes removing the existing southbound Sullivan bridge ( "SB Bridge ") and constructing a wider bridge at the same location. The City anticipates opening bids and beginning construction for the Bridge Project in 2014; and WHEREAS, District has installed and is operating existing waterlines adjacent to and within the project; and WHEREAS, District has prepared estimates for miscellaneous Sullivan Park waterline work based on the Bridge Project plans furnished by the City; and WHEREAS, District requires that only its forces may do the following work (Water Work): tap into existing District watermains; furnish and install water meters; furnish and install double check valves; and WHEREAS, the City and District agree that completing the Water Work during and prior to the completion of the Bridge Project would benefit the ratepayers, taxpayers and the traveling public. NOW, THEREFORE, the City and District do hereby agree as follows: ARTICLE 1— RESPONSIBILITIES OF THE CITY 1.1 Plans for the Bridge Project have been prepared by the City, and the City intends to begin constructing the Bridge Project in March 2014. The City has elected to accept the attached time and materials quote prepared by District for the Water Work not to exceed $28,000. 1.2 The City shall be responsible for administering the construction of the Bridge Project. 1.3 The City shall provide at least five working days advance notice for District crews to install the tap and vault work activities. Cons. Irr Dist 19 MOU 1.4 The City shall be responsible for excavation, backfill and backfill compaction testing adjacent to the tap. The City will be responsible for pavement replacement within the boundaries of the Bridge Project. ARTICLE 2 — RESPONSIBILITIES OF CONSOLIDATED IRRIGATION DISTRICT 19 2.1 The Water Work consists of furnishing all materials, equipment and labor for the following work: a. furnish and install the 16 inch x 12 inch live tap to the existing District water main at the northwest corner of Indiana Avenue and Sullivan Road. b. furnish and install 8 inch diameter water meter in the City provided vault at the northwest corner of Indiana Avenue and Sullivan Road. c. furnish and install 10 inch double check valve in the City provided vault at the northwest corner of Indiana Avenue and Sullivan Road. 2.2 District shall have full control over the Water Work and shall be the administrator for the Water Work. District shall designate a "responsible person" who shall represent District's interest during the construction of the Water Work, and shall coordinate any modifications or changes needed by District in conjunction with the work. 2.33 District shall be responsible for the inspection and testing of all work and materials which are solely related to the construction of the Water Work, excluding compaction testing and soils testing. District shall provide a representative to perform inspection duties relative to the construction of the Water Work, as discussed above. District's representative shall provide tabulations of material quantities, equipment and labor hours to the City upon at least 48 hours' notice to facilitate the preparation of pay estimates by the City. 2.4 District shall commence Water Work within one working day of expiration of City notice provided in accordance with Article 1.3. District shall install Article 2, item 1.a Water Work within three working days. District shall install the items listed in Article 2.1 b and c within three working days. 2.5 Any modifications or changes to the Water Work shall be coordinated by District and shall be coordinated with and approved by the City prior to implementation. ARTICLE 3 — ALLOCATION OF COSTS 3.1 This MOU, once fully executed, shall establish a commitment by the City to reimburse District for those construction costs associated with the Water Work on a time and materials basis, not to exceed $18,000 plus a $10,000 capitalization fee and a $2,800 10% Management Reserve Fund (MRF). If unknown or unexpected costs are discovered during the work, the City may approve payment using MRF funds, provided the District provides a written accounting of the additional costs. 3.2 District shall prepare a pay estimate for the Water Work based upon the tabulations of material quantities, equipment and labor hours for work done. Page 2 of 3 Cons. Irr Dist 19 MOU 3.3 Upon the signing of the pay estimate by the City, District shall send an invoice to the City for the Water Work. The City shall pay District within 30 days of the receipt of the invoice for all construction costs approved by the Engineer for the Water Work.
