coiiformance with any maintenance standards or requirements as may be required by the Cit}j of

2. The Grantor furtlier dec;lares, grants and convey3 a per.petual, non-eaclusive

lots and rslatecl irnprovements on the Property (the "Parl:ing L.ot Areas"), as they are now
constnicteci and at such other lacatioiLS and in such dimensions as Grantor elects. xhis s,llall be a

corporation in which Grantor hol(is a majority interest, on such tei•nis and conditions and 1'or• suc:})
period of time as Grantor deems reasonaUle ancl proper, provided i( Service..~ are provided by a
relatecl pcrson or entiry: they sha[l be provided at a competjtive rate.
"ParkinqT Lot Area Costs" and "Storm Water Drainage raciJities CosLs" shall mean all
amounts paid or ulcurred by Gruitor to operate, maintain: rePair and make replace►nents t.o rhe
Parking Lot. .4reas and Storm Watcr Urainage Arvas: plus wl ailowance to Granior for Graiitor's
supervSsion of the satne equaI to 1.0% of the total Parking Lot Area Costs and Storm Water
Draulage Facilipes Costs. i'arlcing Lot Arca Costs shall irlclude, without limitation, cleaniiIg;
sweeping; snow .removaI and ice treatment; sealuig, repairing, restriping and repaving;
maultenance, repair wId replacement of laiidscape areas, sidewalks, ligl~ts, light standards, storm
sewcr culvent.s, and draitiaae faciIities, directionai s~gms, other markers, and utility ]ines; lig tuia
charges; legal and PrafessionaI exPenses; prop5rt_y nianagemerlt fees, .znd other casts nf;cessar}, in
Grancor's reasonable judgncnt for thL operation, mainteiiancp-, repai.r and replacement to the
Parking Lot Areas.
It is furthcr u»dersioc►c1 and agreed that if any repaus or maintenance are occasioned by the
acc of a Lot 4wner or ics employces, business invitees or customers which causes damage to ttie
Praperty, including the ParkinQ Lot Areas or to util-ic_y lines or facilitics located wiP.hin the Parking
