This Nlitigation Agreement ("A~recrncnt") is entered iaea by and beriveen Jerry Stroh
("I?evelopcr"), a Washington resident, residing at 5120 N. Keller R.oad, and the City nf Spokane Valley
("City"), a political subdivision of the Statc of Washington, hereinafter jointly referred to as "Partics."
RECITAL5
1. This agreement is entered into Uy k}ie Parties pursuant to RC1V 82.02A20 to mitigatc a direct
impact identified as ti cansequence of the development of the property.
2. The Developer is the owner/developer of certain rcal property of approximately 5.21 acres and
generally ]ocsted along Keller Road; and is situated in Section 34, Township 26 North, Range 44
ENTJM, in Spokane County, Washington. Saicl property is more specifically described in Fxhibit A
attaclted }iereto atid by this refercnce incorporated herein. "
3. The Developer has received approval of ihe preliminary shnrt plat identified as SW'P-04-07 Kcller
ltnad Short Nlat; a residential tlevelUpment which wiU create eight (R) resiclential lots. Frontage
improvements to Keller Road have been required as part of the approval process for the final plat
pursuant to the Staff Report antl Notice of Decision dated the l' day of lbtay, 2007. 1'he Notice of
Dccision contains the following condition of approvaL• .

Half street improvetnents arc rcquired for Keller Road as per Section 1.13 of t.he Spoktlne
County Standards, in addition to the frontage improvement,s.
Keller Road is designated as a Local Access streee. rrontage improvements inclucle IS feet of

and a[ive-foot (5') sidew.ilk. The total widffi of improvements is 32 feel:. Current right-bf-
. way is 30 feet; % of the right-of•-way being 15 fe.et. The minimum %1 righl-af way wittth,
which is to rivo feet (2) behind the curb, is 19 feet. A right of way dedication of four feet (43)
and a border easement, which extends from the right-of-way to back of sidewalk, of 13 feet is
required. This shall be designated on the Enal pltjC language and map. lhe ribht of way
dedication and border easement widih was detet°mined assuming that t}he center of the road
c;oineides with che center of the right-of way. Applicant to confirm right-of=way location and
width(s). \iotc - the buildino setback begins at the ed~e of the border easement.
4. The Par[ie.s are desirqus of entering into an Agreernent ~~~hich provides for the payment of a
proPUrtionate share of f.i-onea~e improvements associ:~t:eci ~+~ith the laevelopmenc. T6e .C~evelc~per
desires to have the frontage improvements constructed during the extension of sewer into the area
which is planned to accur in 2010 and is cfesignated as the West Farms Sewer Projec;C.
. 5. "1'he 17eveloper's contribution to the sewer project shall be based on the construction estimate
as set forth in Exhibit B attaclied hereto and by this reference incorporated herein.
AGREFA'[ENT
NOW, THERF.FORE, in consicleration of die mueual covenanCS and conditions hereailer set
forth, the 17eveloper and the City hereto agree as faUows:
1, Voluntaiv A2reement. This Agreement, including all attached documents, is a v0luntary
agreement a<c that terrn is used in .rZ.C4V 82.02.020. The contribution olTerecl is proportinnal to the
fronta;e improvements required by the Development Ll the event this mitigation agreement is
breached by the Developer; alhofthe City's obligations under this agrecment shall terminatc. In the
event this mitigaCion agreement is determined by a court to be invalid, the City shall refund the
unexpended poirtion of r.he contribution, and thc City's obligations under t.his agreement sliall
terniinat'E.
2. Froject. The project shall consist of the installation frontage improvements to Keller Roacl.
"I`lie mitigation fee shall be based upon the cast of the pavement, curbing, sidewalk and base rnaterials
for bringing Keller ltoad into compliance with the City's Street I7esigit Standards.
3. Cpntribulion. The Developer shall pay up to a miiximum amount af$55,177, which has been
detennined to be the Developer's proportionlte contribution to the 2010 Wcst Farms Scwcr Projeet
(See Fxhibit T3). In the event that the City adopts revised street standa.rds prior to the desigti of thc
2010 West Farnis Sewer Project by Spokane County, the Cixy will revicw Che amaunt of contribution
for consistency witti the newly adopted scanclitrds. The amount of c;ontribution may be modified by the
Ciey to reflect changes in sereet width, section thicl:ness, drainage; or sidewalk requirements, but said
contribution stiall not exceed $55,177.
41. Pav►nerit Tlie Developcr agrces t:o pay all of [he above identifed cantributinn at such time
the City deems necessary. 1'ayment shall be made within thit-ty (30) days after receiving notice from
the Ci .ty. If payment is not cimely receivcd, che City may immecliiitely access the funds secured by the
letter of credit clescribed below. A letler of credit, which gives the City a unilateral right to access the
ftinds pursuant to Chis agreernent from a finlncial institution, shall be provided tn lhe City upon
executio+l of this agreement and prior to acceptance ofthis agreement by tlle City.
5. Comnliance with 12CW 82.02.020. Payment collecte.d by the City will be hel<t in a
mitigation fee reserve accoiuit and may only be expended to fund the design, right-of-4vay acyuisition,

City shall be entitled to reimbursement from the mitigation fee reserve 'account tor any funds it msy

of the fe.e. Any funcls in che mitigation fec reserve aceount not expencled within fve (5) year5 5ha11 be

Agreement is required or desires to give to any other party shall be in writing and be either (1)

the assigns af the Yarties.
8. Govei•nini! Law. "1"his Agreement shall be construed in accordance with the laws of'thc State of Washinpton. Any action for enforcemenl Uf Chis Agreemenl shall be broubht in a court of
competent jurisdiction in Spolcane County, Washington or as othenvise provided by statute.
9. Dlodifications. No modification or amendment of this Agreement shall be valid untii the
same is recliieetl tn writing and eaecuted with the same formalities as the present Agreement.
IO. VV.91vCI'. Ni0 officer, employee, agent or otheitivise of the City has the power, right or
authority to waivc any of the condit:ions or provisions to t:his tAgreement. No waiver or any breach of
this Agreement shlll be held to be a waiver of any othe,r or subsequent breach.
H. Renresentation. This A.grcement forms a fiilly integrated agreement between the F'arties. No
otJier understancii.nDs, oral or othenvise, regardin3 the subject matter of this Agreement shall be decmecl to exist ar to bind any of the Parties hereto. All Parties have read and understand all of the
Agreement, and now state that no representation, pro►nise or agreernent not expressed in the
ALTeemenC Iias been made to induce any Parly to execute the same. .
12. AuthOritv. Both Part:ies tv this Agrcement represent and certify that they have fiill authority
and power to en#ee into and carty out ihis A~reement. Tl1e persons sigiiina this r~greemenc reprf:sent
