The City, in cooperalion \xrith Spokane County and the Washington State Deparnnent of Transportatiou, is planning to design and constsuet impravements to the SR 27 (Pines Road) and Mansfield Road corridor with Transportation Partnership Program (TPP) grant funds from the Transportation Improvemcnt Board ("I'IB) and Congestion ManagementlAir Quality (CMAQ) gant funds from the Spokane Regional Transportation Council (SKTC). The namc af the project is the Pines[Mansfield Comdor Congesiinn kelief Prnject ("1'roject") and the purpose of this projeet is to allcviate caisting and future traffic congestion in this area. The Project will reconfigure the WB ramps of I-90 at SR-27 (Pines l'Zd.), using the existing slip ramps to Indiana Ave. and Montsomery Ave. ViTF3 ot•F ramp traffic wiU use the slip ramp to a signalizeti intersection dt tndiana Ave. WB on-ramp traffic will use the slip ramp at Montgomery Ave. 1 o improve operation of the WB on-ramp and ensure safety, the portion of Montgcamery Ave. between 1'ines Rd. and the slip ramp will be one- way, westbound only. Therefore, to provide acccss to Pines Rd. for the praperties west of F'ines Rci.; Mansfield Ave. will be improved, with a traffic sibnal at the intersection of Mansfield Ave. & Pincs Rd. Curb, gutter, sidewall:s a.nd bil:e lanes will also be constructcd. 1n addition, a signal wi11 be i.nstalled at the Mirabeau 1'kuy & Pines Rd. intersectian to bring this intersection up to an acccptable level af service. 2. '1"he Developcr is the owner/developer of certain real property generally located within the SR 27 (E'ines Fzoad) and Mansficld Road corridor north of lnterstaie 901egally described in Cxhibit "A" ("Property"). 3. °I`he Developer is developing the Prnperty for residential andlor commercial uses (the "DevelaPment") which will increase t.raffic congestion and dircctly impact existing transportatian infrasi:ruclure along the 1'ines/Mansfield corridor f.rom and including the on- and off-ramps at I-90. Mitigation of thesc impacts will be required as pdrt of the devclopment of said property. 4. Thc Parties arc desirous of entering into an Agreement which provides far the payment af a proportionate share of the Project in consicieration for the allocatian of a specified number of P.M. 'Ifie lleveloper recognizes the need tU unprove the tr-affic congestion in the Pines/Mansfield corridor and has agreed to financial.ly participate in the Project by conlributing a pro-rata share of the required local matching funds. The DevelopEr's pro- rata share is based on the total number of'trips previou.sly cstimated for the laevelopment. 6. 1'ursuant to RCVJ 43.21 C.060, and R.CW 82.02.020, the Cit), has the authariry to allow a paymenl to mitiEate a direct impact that has been identified as a consequence of a propased clevclopment. The City (1) has icientified future road projects necessitated by planned developmcnt in certain area.s of the City; and (2) has identified a reasonable relationship betwcen unpacts gencrated by the Development to the transportation system and the financial contribution toward those impacts. 7. T'o mitigate the clirect impacts of the Development upon existing transportatiou facilitics, the Parties arc voluntarily entering into ttus Agreement pursuant to R.CW 82.02.020. 8. It is intended that this Agreement provide funds in order to mitigate the direct traffic-related impacts of the Development upon the environment which have been identifed through the SFPA review process and documcnted in the City File No. ZF-94-84 and 7E-5-98. AGIZFEMENT NOW, TIIEREFORE, in consideration of the mutual covenants and conditions hereafter set forth, the Dcveloper and the City liereto agree as follows: 1. Voluntarv Aereement. This Agreement, includiug all attached documents; is a voluntary agreement as that term is used in KCW $2.02.020. 1`he mitigafion Fees charged herein are Proportional to the trafiic-related impacts generated by the Development The parties acknowledge that the capital project is reasonably necessary lo mitigate the direct trafrc impact of the Iaevelopment. ln the cvent this mitigation agrcement is deternunEd by a court to be null and void the City shall rcfund the unexpended portion ormitic•atiaa fees. T'olloNving a termination of lhis agreement the Developer shall, as reasonably requireri, mitigate the direct trafflic impacts of the Development through the State Erivironmenta,l Policy Act. 2. Pruiect Funds. The Projec.t is being f-unded from several sources including, the Wa.sh.ingian State llepartment of Transpnrtaiion (WSU0'1), the Tll3, the SRTC; the City, and private developers. Funcls from WSDOT, Tll3, SR'YC and the City have been obligated. See "Exhibit B". 3. Mitip-ation Fee. Thc Developer shall pay $151,917, ($303.46 per P.M. Pcal: Hour trip, minus $25;000 credit for Kaght-a.f-Way Agreemcnt "iih WSDOT), which has been detcrnuneci to be the Developer's contribution to the Pmject for mitigation of future traffic impacts related to the DeveloPment. Pavment To begin the design of the ProjecL the Developer agrecs to pay all, or at least 20% of its m.itigation iee no later than February 25, 20115. A lettcr of credit, savings assignment; set-aside letter; or other appropriate mechan.ism thai gives the City a unilateral ri;ht to access the funds pursuant to tlus ageement fTOm a financial i.nstilution sha]1 also be provided to the (:ity no latcr than February 25, 2005 for the remaining 80% of the Developer's m.itigation fee. The remaining 80% of the lleveloper's mitigation f:ee shall be collected by the City no later than 90-days prior to the I'roject bid daie for construction. The City will notify the Dcveloper of the Proiect bid date whcn it is cieterm_incd. All iees paid by the Taeveloper shall be used as a portion of the local match requirecl for the '1`IF3 and SRTC grants relatcd to the design, righl-of-way acquisition, and construction of the Project. 5. Sitc Uevelopment. Building permits will be issucd for the Uevelopment wlten 1) this agrecment has been eYecuteci by the lleveloper and the City, and 2) the Developer's mitigation fees have been paid in accordance with Section 4 above, and 3) all other conditions of approval of the llevelopment required by state and loca.l laws are satisiied. Execution of this ageement releases the Devcloper from the reyuirement of constructing frontagc improvements on the Property, provided said fi-ontage improvements are included in the Project. lf f.rontage improvements a.rc not included in the ProjecL the Developer is responsible Coe constructing frontage improvements in addition t4 paying the mitigation fees. Payment collected by the City will be held in a mitigation fee reserve account and may only be erpended to fund the design, right-of- way acquisition; and construct.ion of the Project. 'The City shall be entitleci to rei.mbursement from the mitigation fee reserve accaunt for any funds it may expend for the dcsign, right-of- wdy acquisition, and cQnstruction of the Arojec:t prior to the collection of the fee. Any fi,nds in the mitigation fee reserve account not expended within five years shall be refunded by the City with interesl as provided in RCVV 82.02.020. 7. Committetl P.M. Peak Hour'1'rips. The City agrees to reserve within the Project up to a total of 58a P.M. Pea}:1-lour trips for the PrUperty until the Devclapmcnt is complete provided such reservation eomplies Nvith all federdl, state and local laws at the time application for a building pemut is made. No waiver ar any brcach of this Agrcement shall be held to be a waiver of any other or subsequent breach. 14. Rcnrescntation. 'f"his Agreement forms a fully integrated agreement behwcen the Parties. No othcr understandines, oral or othervvise, rcgarding the subject matter of this Agreement shall be decmed to exisc or t4 bind any of the Parties hereto.
