This Mitigation Agreement ("Agrcemenl") is entered into by and between
Centennial Proper[ies, Inc. ("llevcloper"), aWashington Corporation, having offices for the
transactian of business at 3320 N Argonne Road, Spokane, Washingon 99212, and the City
of Spokane Valley ("City"); a polilical subdivision of the State of Washington, herei.nafter
jnintly referred to as "Parties":
kECITALS
1. The City, 'vi coopcration with Spnkane County and the Washington State
Department of Transportation, is planninD to design and construct improvements to the
SR 27 (Pi.nes Iload) and Mansfield Road corridor with Tr-ansportation Partnership
Program ("1"PP) granl funds from the "1"ransport,ation Tmprovement IIoarcl (TIB) and
Congcstion Management/Air Quality (CMAQ) grant fiuids from the Spokane Rebional
TransPnrtation Council (SRTC). The naine of the project is the Pines/Mansf eld Comdor
Con;estion 12clief Projecl ("Project") and the purpose af tlus projcct is to alleviate
e;cisting and Future traffic congestion in this area.
"I`he Project will reconfigure the «r$ ramps of I-90 at SR-27 (Fines Rd.), using the
existing slip ramps to lndiana Ave. and Montgomery Ave. Wf3 off-ramp tmWic will use
the slip ramp to a signalized intersection at lndiana Ave. Vir}3 on-ramp traffic wiil use the
slip rainp at Montgomery Ave. To improve operation c7f the WIi on-ramp and ensure
safety, the portion of Mcmtgomery Ave. between Pines Rd. ar►d the slip ramp wi]l be one-
way, westbounci nnly. Therefore, to provide access to Yuies Rd. fUr the properties west
of Pines Rd., Mansfield Ave. will be improved, with a trafl`ic: signal at the intersectian of•'
Mansfield Ave. & Pines Rd. Curb, gutte_r, sidcwalks and bike laaes will also be
constnicted. ln additican, a signal will be insialled at the Mirabeau Ykwy & Pines Rd.
iuterseetion to bring this intersection up to an acceptable levcl of service.
2. The Iaeveloper is the owner/developer of ecrtain real Prcaperly generally loeateci
within the SR. 27 (F'ines Road) and Mansfield Road corricior north of Interstate 901egally
described in Exhibit "A" ("Property").
3. The I7eveloper is developing the Propercy for residcntial andlor commercia] uses
(the "Development") which vvill increasc traffie ccmgestion and directly impact existing
traiisportation infrastructure alonE the Pines/Mansfield corridor from and includin; the
ou- and off-ramps at 1-90. Mitigation ot'these i.mpacts will be required as part of dic
devclopment af said property.
4. The Partics are desirous of entering into an Agreement which provides for the
payment of a proportionate share of the Project in consideration f'or the allocation of a
specif:ied number of P.M. Peak Hour Lrips ajZd mitigalion nf Lraffic impacts associated
with the Dcvelopment.

5. 7"he Developer recogni-r..es the nef;d to improve the traffic congestion in the
PineslMansfield cnrridor and ha.s agreed to iinanciaLly parlicipate iti the Project by
contributi.ng a pro-rata share of the required local matching Iunds. 'I'he Develaper's pro-
rata share is based 4n the total number of trips previously estimated for the Developmcnt.
6. Pursuant to KCW 43.21C.060, and RCW 82A2.020, the Cicy has the authoriey to
allow apayment ta mifigate a direcl impact that has been identified as a consequence of a
propnsed dcvelopment. The City (l) has identified fuhirc mad projects necessitated by
planned dcvelopment in certain areas of the City; and (2) has identified a reasonable
relationship between impacts generated by the T)evelopment to the lransportation syslem
and the financial contribulion toward those impacts.
7. To mitigatc the direct impacLS af tlie 17evelopment upon exislulg transportation
facilities, the Parties are voluntdrily entering into th.is Aercement pursuant t4 RCW
82.02.020.
8. It is iutended that this rlgreement provide f~unds in order to m.itigate the direct
traf:ic-relatcd impacts of the Development upon the environment which have been
identified through the SEPA review process and documenled 'un the City File No. ZE-37-
96[F3SY-01-04 and Mirabeau Point Final Fnvironmental lmpact Statement (FLIS).
ACREEMENT
NOW, THEREFOKE, in consideration of the mutual covenanLs anci conditions hereafter
sel fort.h, the L7eveloper and the City hercto agree as follows:
l. Vuluntarv AL-reement. 1"his Ab eement, including all atiached documents, is a
voluntary agreement as that term is used in RCW 82.02.020. The mitigation fees
chareed herein are proportinnal to the traffic-related impacts ;encrated by the
Devclopment. Tlle parties acknowlecige that the eapital projeet is reasonably
-necessary tn mitigate the di.rect traffic impact of the Taeveloprnent. in the cvcnt this
mitigation agreement is determineti by a court tq be null and vqid the City shall
reTund the unexpended poriian of mitigation fees. rollowing a terminatian nf th.is
agreement the Developcr shall; as reasonably requircd, mitigate the direct traf_fc
impacts of the Developrnent through the Sfate Fnvironmental i'olicy Ac:t.
2. Proieet Funds. The Project is being funded from several sources including, the
Washington State Department af Transportation (WSi70T); the TlB, the SRTC, the
City, and private developers. Funds from WSIaOT, Til3, SRTC and the City have
been obli~ated. See "~,xhibit B".
3. 11litigation Fee. 1 hc 17eveloper shal l pay $151;730, ($303.46 per P.M. Peak Hour
trip), which has been determined lo be the llevelaper's contribution to the Project for
nutigation of future traffic impacts relateci to the i7evelopment. 'I'his lraffic mitigalion

fee shall be cYpended towards the desio , right-af way acyuisition; and construction
of the Project. 4. Pavment "fo begin the design of the Project; the Developer agrees to pa_y all, or at
least 20% of its mitigation fee no latcr than Februar,y 25, 2005. A lelter af credit,
savings assiguncnt, set-aside lctter, or nther appropriate mcchanism that givcs the
City a unilatcral right to access the funds pursuant to this agreement from a financial
instatution shall also be provided to the City no later than February 25, 2005 for the remauung 80% of the Developer's mitigalion fee. 'I'hc remaining 80% of the
T_7eveloper's mitigation i'ee shall be collected by the City no later than 90-days prior t(i
the Project bid datc for canstruction. The City will notify the 17evelOper of the
Project bid date whcn it is determined. All fees paid by the 17eveloper shall be used as
a portion of the local match required for the 7°TB and SRTC gxants related to ttic
design, riaht-of-way acquisition; anci construction pf the Projcct.
5. Site Devclonment. Building permits Will be issued for the llcvelopment when 1) lhis
agreement fias been eaecuted by the Developer and the City, and 2) the 17cveloper`s
miCigation fees have been paid in accordance with Section 4 above, and 3) all other
conditions of approval of the Development required by state and local laNs are
satisf ieci.
Cxecutinn of this agreement relcases the Developer from the requirement of
con5tructin; frontage improvemenis on the 1'roperty, provided said frontage
improvemcnts are i.ncluded in the Project. lf fTOntaae improvements are not included
in the Yroject, the Developer is responsible fbr canstructing frontage improvements in
addition to paying the mitigalion fees.
6. Comnliance with RCVV 82.02.020. Payment collected by the City will be held in a
uutigation fee reserve account and may nnly be expended to fund the design, right-af-
way ac,quisition, and construction of the Project. Payments shall be expended within
fivc years of collection. The City shaU be entitled to rei.mburscment from the
mitigation fee reserve account for any funds it may eapend for the design, right-of=
way ac•quisition, anci construction of'the Project priOr to the collection of the fee. Any
funds in the mitigation fee reserve account not expended within fivc years shall be
refunded by the City with inlerest as provided in RCW 82.02.020.
7. Committecl Y.M. Peak Hour Trins. The City agrees to reserve Nvithin the Project up
cn a total of 500 P.M. I'eak Haur trips for the Praperty until the Devclopment is
complete provided such reservalion complies wikh all federal, state and local laws at
the ti.me applicaiion for a builciing permit is made. "Complele" is clefineci a.s haviug
received all gavenunEntal permits and approvals nccessary to construct and
permanently occupy the Development. Tf the total number of P.M. Peak Hour trips for
the Developmenl exceeds the total number oi'reserved trips not:ed above, a new traffic
study shall be provided to determine if additional trafFic nvtigation is required.

9. Norice: All communications, nntices or dcmands of any l:.ind which a parly under

10. Successors. This Agreement shall be binding on and inure to the benefit of the
successors and the assiLms of the Yarties.
11. Governing Law. This Agrccment shaJl be construcd in accordance Nkith the laws of
the State o1' Washington. Any action for enforcemenf af this Agreement shall be
brought in a court of competent jurisdiction in Spokane County, Washington or as
otherw7se provided by statule.
12. ModiFcations. iNo modificatian or ameudment of lhis Agreement shall be valid until
the same is reduced to writing and caecuted with the sarnc formalities as the present
Agreement.
B. Waive.r. No off.icer, employee, agent or othcrwise af the City has the pUwer, right or
authority to waivc any of the conditions or provisions to tfus Agreement. No waiver
Ur any breach of this Agreement sball be held to be a waiver of any other or
subsequent breach.
14. Renresentation. This Agreement forrns a fully integrated agrecment between the
Parties. No olher understandings, oral or otherwise, regarding the subject matter of
this Agreemeut shall bc dcemed tn exist or to bind any of the Parties hereto. This
agreement shall meei the mitisation rcquirements for dircct traffic-related impacts of
the Development within the Project liauts as described in the Project description ui
Section 1 of the R.ecitals and as identifed and documented in the City rilc(s)

this Agreement represent thac lhey have authority to act for and bitid thcir respective
principals.
