This Mitigation Agreement ("AgreemenY') is entereci into by and between
1`homas Hanilton ("Developer"), havins offices for the transaction 4f business at F' O Box
14686, Spokane, Washington 99214, and the City nf Spokane Valley ("City"), a political
subdivision of the Stale of Washuigton, hereinafter jointly referred to as "Parlies":
RFCITALS
1. 'I'he City, in c;opperation with Spokane County and the Washington Statc
Department of Transportation, is planning to dcsign and canstruct iruprovements to the
SR. 27 (Pines Road) and Mansfield R.oad eorridor with Transportation Partnership
Prngram (TPP) gant f'unds from the Transportation Improvement Board (TTB) and
Congestion ManagemenUAir Quality (CMAQ) grant funds f.'rom the Spokane Regional
°l'ransportatiAn Council (SRTC). "I`he name af the project is the Pines/Mansfield Corridor
Congestion R.elief Project ("ProjecY') and the purpase of this project is to alleviate
existing and future trafCc congestion in this area..
'1`he Project will reconfigure the WB ramps nf 1-90 at SR-27 (Pines Rd.), using the
existing slip ramps to Indiana Avc. and Montgomery Ave. WB ot"f-ramp traf.f c will use
the slip ramp lo a signalired interscction at Tndiana Avc. WF3 on-ranp traffic N;ill use the
slip ramp at Montgomery Ave. To improve operation of tlie WI3 an-ramp arid ensure
safety, the portion of Montgomery Avc. between Pines Rd. and the slip ramp NArill be Une-
way, wcstbound only. Therefore, to provide access ta Pines Rd. for the properties west
of Pines Rd., MansfieJd Ave. NNill be improvcd, with a traFt7c signal at the intcrsection of
Mansfield Ave. Pines Rd. Curb; gutler, sidewalks and bike lancs,"rill also be
constructed. t.n addition, a signal will be iastalled at the Mirabeau Pkwy & Pines Rd.
intersection to bring this intersection up to an acceptable level of service.
2. The Developer is the oAmer/develaper of certain real property generally located
within the SR 27 (Pines Road) and MansEield Road corridor norlh of Interstate 90 lcgally
described i.n E.Yhibit "A" ("Froperty").
3. 1'he Dcvcloper is developing the Property for residential ancUor colnmercial uses
(the "Development") which will increase traf•Te congestion ancl directly i.mpact existing -
transporlation infrastructure along the Pines/Mansfield corridor from and including the
on- and off=r`cnps at I-90. Mitigation of these impacts 1,%rill be requircd as part of the
development of said property.
4. '1`he l'arcies are desirous of enlering iuto an Agreement wluch provides for the
payment oFa proportionate share of the Froject in consideration for the alJocation of a
specified nurnber of P.M. Peak Hour trips and mitigation of traf.f c impacts associated
witb the Development.

5. The lleveloper recognizes the need to imprnve the lraiTic congestion i.n the
Pincs/Mansf eld corridor and has agreed to financially partieipatc in the Project by
contributing a pra-rata share of the required local matching funds. "I"he laeveloper's pro-
rata share is based on the latal numbcr of trips previously estimated for the TJevelopment.
6. Pursuant to RCW 43.21 C.ObO, anci RCW 82.02.020, the City has the authority to
allow apayment to mitigate a direct i.mpact that has becn identified a.s a eonsequenee of a
proposcd development. The City (1) has identi.fied fui•ure road projects necessitaled by
planned development in cerlain areas of the City; and (2) has idcntified a rea..sanable
relationship between i.mpael.~ generated by the Taevelopment to the transportaiion system
dnd the financial contribution loward those impacts.
7. To mitigate the di.rect impacts of the llevelopment upon cxistuig transpartation
racilities; the I'arties are voluntarily entcring into tttis Agree.ment pursuant to RCVJ
82.02.020.
8. It is intended that chis Agrcement provide funcis in order to mitigate the ciireet
traffic-relatcd impacts of the Development upon the environmcnt.
ACREEMErT'1
NO`V, THER.EFURL°', in consideration of the mutual covenants and conditions bereafter
set fortti, the Developer and the Ci .ty hereto agree as follows:
1. Voluntarv Ap-rcement. '1 his Ageement, including all attacbed decuments; is a
voluntary ageement a.s that term is used in R.C`V 82.02.020. l-he mitigation fecs
charged herein are proportional to the traffic-related impacts generated by the
Development.l"he parties acknowledge that the capital praject is reasonably
necessary to mitigate the direct traffic impact of the .L7eve]opmenL In the cvent this
mitigation agreement is determined by a court to be null and v4id the City sha,ll
refund the unexpended portion of mitigation fees. FollovNiing a termination of tliis
agreement the Devcloper shall, as reasonably rcquired, miti€ate the direct traffic
impaets of the Developmenl through the State Environmental Policy Act_
2. Proiect Funds. The Project is being Funded fi-am several svurces including, the
Washingtnn State Department of Transportation (WSi70T), the TIB; the SR7"C, the
City, and private developers. Funds frem WSDO'1", T1B, SRTC and the City have
been obligatecl. See "L"xhibit B".
3. Mitip-ation Fee. "I"he Develnper shall pay $59,478, ($303.46 per P.M. Peak Hour
trip), which has been determined to bc the Developer's ccmtribution to the Project for
mitigation of ruture traff c impacts relateci to the llevclopment. This traffic
miligation fee shall be expended towards the design, right-of-way acquisition, and
construction of the Project.

4. Pavment "1'o begui the design af the Projcct, the Developer agrees to pay a11; or at
least 20% of its mitigalion fee no later than h'ebruary 25, 2005. A lerier of credit,
savings assignment, set-aside letter, or otber appropriate mechanism that gives the
City a unilateral right to access the funds pursuant to this agreemen/ from a financial
i.nskilulion shall also be provided tv the City no latcr than Februxry 25, 2005 for thc
remai.n.i.ng 80% of the lleveloper's mitigation fee. Thc remaining 80% of the
- Developer's mitigation fee shall bc collected by the City no later than 90-days prior to the Project bid date for cnnstruction. 1"hc City vvill noti_fy the Developer of the
Projec;t bid date «rhe❑ it is delenninecl. All fees paid by the Developer shall be used as
a portion of the local match requireci for thc 'I"lEi and SRTC grants related to the
design, right-of-way acquisition, anci construction of the Project.
5. Site lleveloament. Auilding permits will be issued for the Taevelopmcnt when 1) this
agreement has been executed by the Developer and the City, and 2) ihe Uevcloper's
mitigation fees havc bcen paid in accorclanee with Section 4 above, anci 3) all othcr
conditions of approval caf the Development required by state and local laws are

Fxecution of this agreement releases the Developer froui the requirement of
constructing f'rnntage improvements on the Property, provided said frontage
improvements arE ineluded in the 1'roject. Iffrontage improvements are not included
in the Project, the Developer is responsible for cUnstructing frontage improvements in
addition to paying the mitigation fees.
6. Comnliance with RCW 82.02.020. Payment collected by the City will be held in a
mitigation fee reserve account and may only be exPended to fund the desigm, right-of-
way acquisition, and wnstruclion of thc Project. Payments shall be expended within
five years of collection. Tbe City shall be cntitled to reimbursement from the
nutigation fee reserve account for any funds it may expend for the design, right-of-
way acquisition, and eonstruction of the Projecl prior to the collection of the fee. Any
funds in the mitigation fee rescrve account not expended Nvithin five years shall be
refunded by the City with interest as provided in RCW 82.02.020.
7. Committed P.M. Pcak Huur "l,rins. The City agrees to reserve with.i.n the Pra.ject up
co a total of 196 P.M. Peal: Hour trips for the Property until the Development is
complete provided such rescrvation complies %k7th all federal, state and local laws ai
the time applicatian for a building permit is made. "Complete" is defined as having
rcceived all governmental pcrmits and approvals nec:essary to construct and
permancntly occupy the Development. lf the total number of P.M. Yeak Hour trips for
thc Development exeeeds the total number of reserved trips noted above, a new traftic
stuciy shall be provided tn aetermine if additional traffic mitigation is required.
8. Coneurrenev: In accordance with the City's adopted concurreney standards pursuant
to RCW 36.70A, the P.M. Peak 14our trips mitigated herein shall be considereci to
have satisfied concunency for the Projcet from the Develanment as provided in
paragraph 7. Any remaining capacity shall be availablc to the general public.

10. Successors. This Agreement shall be binriing on and inure to the benefit of the
sueccssors and the astigms of the Yarties.
11. Governing Lxw. This Agreement shall be construed in accordance with the laws of
the State of Wa.shington. Any action for enforcement of this Agreement shall be
brought in a court of campctent jurisdiction in SPokane County, `Vashington or as
otherwise providcd by statute.
12. Mnclifications. No modificaiion nr amendment of this Agreement shall be valid unlil
the same is reduced to writing and executed with the same formalities as the present
Agreement.
13. Wxiver. No officer, employee; agent or othenuise af'the City has the power, right or
aulhority to waive any nf ihe conditions or provisions to lhis Agreement. No waiver
ar any breach of this Agreement shall bc held to be a waiver of any other or
subsequent breach.
14. Renresentation. This Agreemenl forms a fully integrated agreement between the
Parties. No other understanclings, oral or otlierwise, regarding the subject matter af
this Agreement shall be deemed to exist or to bind any of the Parties hereto. This
agTeemenc shall mcct the IIvtigation reyuirements for direct traffic-related impacis of
the Development within the F'raject limits as described in the Project description in
Seclion 1 of thc Recita,ls and as identified and documented in the City File(s)
referenced i.n Section 8 of the Recitals. This agreemcnt shall not superSede any other
cnnditians of approva] nnt directly related to traffic-related impacts of the
Developmenl within the I'roject linuts.
