FIRST AMENDMENT TO AGREEMENT
TO PURCHASE COMMERCIAL PROPERTY
THIS FIRST AMENDMENT TO AGREEMENT TO PURCHASE COMMERCIAL
PROPERTY ("Amendment") is made as of the di) day of January, 2015 (the "Execution
Date") between DARTMOUTH, LLC, an Idaho Hinged liability company (the "Seller") and the
CITY OF SPOKANE VALLEY, a Washington municipal corporation (the "Purchaser"),
collectively referred to as "Parties."
RECITALS
WHEREAS, the Parties entered into that certain Agreement to Purchase Commercial
Property dated December 9, 2014 for the property located at the southeast corner of Sprague
Avenue and Dartmouth Road in the City of Spokane Valley, County of Spokane, Washington
(the "Purchase Agreement"); and
WHEREAS, the Parties desire to extend the Closing Date as defined in the Purchase
Agreement.
AGREEMENT
For valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, Seller and Purchaser agree that the Purchase Agreement is amended as follows:
1. Closing Date. The Closing Date set forth in Section 5 is hereby amended to be no
later than February 6, 2015 or other sooner date as may be mutually agreed upon by
the Parties.
2. All Other Terms and Conditions Remain Unchanged. All other terms and
conditions of the Purchase Agreement remain unchanged, except as specifically
amended and modified by this Amendment. Capitalized terms not otherwise defined
in this Amendment shall have the meaning given those terms in the Purchase
Agreement.
3. Counterparts. This Amendment may be executed in any number of counterparts,
each of which when executed together shall constitute one and the same Amendment.
The Parties hereto have caused this Amendment to be executed as of the day and year
first written above.
