By and between Vera Irrigation District No. 15, a municipal coxp- ; oration, herein after called the "District" and Timberlane, Inc{ ; a h'ashington Corporation herein after callecl the "DeveloPer". WITNrSS : Whereas the District is a municipal corporation authorized undez state law to own,maintain and operate a sewaqe disposal system, , Whereas the developers are developing a parcel of land within the : service area of the District. . Whereas the Spokane County Planning Commission is insisting that ; the lands beinq developed by the developer be sezved by an 'independent sewage disposal system. ; 'zereas it is contemplated that the sewage system to be located on :aid lands being developed by the developer wi'll eventually be ' ownec?, maintair.ed and operated by the District. Whereas the District would be interested in assuming ownexship and operating such sewage disposal plant, only if the system met certain minimum standards as determined by appropriate engineexs, County Health Department, State Health Department and TnIashington State Polution Control Commission. F?hereas the Spokane County Planning Commission has indicatted to the developer that they will not grant a building permit for the con~ struction of any residences on the lands being developed by the developers until such time as the sewage disposal system has been constructed and is in operation, UNLESS the Di'stri:c't will agxee to see that the sewage disposal system is completed and that the District will not furnish any domesti,c water to the area now being developed, until or unless the sewage system is in full operati'on. Now, therfore, in consideration of a mutual covenant and agreements herein contained,,and of the promises of these parties each to the other, it is hereby agreed as follows: 1. The District will issue,lit's commitment•that it will see ~to and guarantee that the sewage disposal system planned by the developers and as approved by the above named agencies, is constructed and completed and further that it will not furnish ro.r Y. On completion of the construction of said sewer system and ~ it's approval and acceptance by the engineer for the District, ~ ~the County Health Department, the State Health Department and the Washington State Polution Control Commission~ ~ -the developers shall convey to the District the land upon ti which the sewage plant is located; the area used by it's k drain field; such additional area as may be req_uired by ~ any of the appropriate authoritics f.or future drain fields; ~ ~ easements for necessary right of wax for the-layinq of sewer lines, and outfalls, and oert}r a bill of sale of the personal property including any appropriate mains or laterals serving ~ . or to serve the plat developed by the developers. 3. Prior to conmencement of construction the District shall V . indicate it`s approval of the plans and specifications for construction of the sewage system together with the pertinent.• F,~.r mains, interceptors, laterals and outfall. . ' 4. The District shall have the right to inspect any phase of the project during construction. F' Fr 5. The sewer system herein referred to shall be completed within 180 calendar days from the commencement of construction. 6. Upon completion of the system as herein contemplated and it's approval and acceptance by the appropriate authozities the District shall take over the ownershipf maintenance n' ~and operations of said system, as in this agxeement is pxovided. - 7. It is acknowledged that the sewer system which is the subject ~ of this agreement has been engineered to serve only lands I ( belonging to the developers consisting of aQproximately 110 acres. It is agreed,that the system shall not be used ' j to serve other lands and further that if the system proves to be inadequate for the total development of the developers - lands that the District may restrict additional connections V at such time as the system's capacity has been reachedi ~ or in the alternative the developer will modify, expand oz otherwise increase the capacity of the system at his expense. 8. It is acknowledged that at some time in the future a system : of sewage disposal may be designed which will make unnecessary r, the continued operation of the sewage plant herein referred to. It is acknowledged that a portion of the so called sewage treatment plant to be conveyed to the District is to be ~ utilized as a drain field for the dispersal of liquids resulting from the plant operation. Construction of the sewage plant will be at the sole expense of the developers. Inasmuch as the District is being re-- •ruired to guarantee the completion of the said system it is ~ow a_qreed by and between these parties that the developers will providE a bond executed by a corporate bonding company in the full amount of the engineers estimates fox the construction of this sewage system. Said bond will be conditioned that if the developers fai:thfully pxosecute the completion of the sewage system herein contemplated to the point that this sytem is approved by the appropriate authorities, that all bills incurred for the labor and materials used in construction h,ave been paid,• and that all liens which may have been filed have been paid ax satisfied, then the said bond shall be null and void. But in the event that the District should be requixed to complete construction of the said sewaqe disposal system in accordance to the plans and specificatibns here--to-fore approved or to satisfy any liens for labor or materials, then the District shall be rei'mbxused for all expenses incurred by it in completing said agreement togethex with reasonable overhead, management and incidental expense. 11.
