This correspondence is in follow up to a phone conversation between Ross Kelley and Dick
Warren. in that conversation Ross indicated to Mr. Warren that the County would be willing to
provide certain Engineering Services commencing as of March 31, 2003 and running until the City
of Spokane Valley executes the document entitled "TNTERLOCAL AGREEMENT BETWEEN
SPOKANE COUN'rY AND THE CITY OF SPOKANE VALLEY REGARDING PROVISION
OF ENIGINEER.ING SERVICES FOR STREET, TRAFFIC AN`D STORM DRAINAGE
CAPITAL IN PROVEMENT PROJECT AND OTHER RELATED SERVICES" (` :Agreement").
It is the County's understanding that the City Council will initially consider the Agreement at its
April 22nd meeting with the hope of authorizing execution at a subsequent meeting. Pending such
action, the City has requested that the County continue to provide Engineering Services and
Capital Project Construction Services.
Accordingly, this correspondence is to act as a Memorandum of Understanding ("MOU") between
the County and City. Under the terms of the MOU the County will agree to provide Engineering
Services and Capital Project Construction Services as described in Section 4 of the Agreement
commencing m
March 31, 2003. Such services would be performed until both Parties formally
execute the Agreement (or one similar thereto) or either Party decides to tenninate this MOU upon
24 hours notice.

The County will charge the City all actual costs for providing Engineering Services and Capital
Project Construction Services as generally outlined in Attachments "l a and 1 V to the Agreement.
Billings will occur semimonthly on the 16"' and last day of the month for the first 15 days and the
remaining days of each month. Payments will be due within 30 days of each billing. hi the event
the Agreement is executed, in lieu of payment of actual costs hereunder, by mutual agreement of
the Parties, the Agreement may have an March 31, 2003 coniniencement date, in which instance no
fees for Engineering Services and Capital Project Construction Services will be payable pursuant to
the terms of this MOU, but instead will be payable pursuant to die Agreement.
I have enclosed a copy of the Agreement as referenced herein. The Agreement, for the purpose of
this MOU, will be made a part hereof and incorporated herein, as it concerns Engineering Services
and Capital Project Construction Services.
If this proposal is acceptable, please execute this MOU ui the space provided for hereinafter and
forward the original back to my attention. The County will start providing services upon receipt of
a faxed signed copy.

Memorandum of Understanding
Between the City of Spokane 'Walley and Spokane County
WIIER$A.S the City of Spokane Malley (CITY) has voted to incorporate and is planning
to contract with Spokane County (COUNTY) for engineering services.
WIEREAS an agreement for services between CITY and COUNTY is being prepared
covering services to be contracted, the budget estimates for such services, and rates to be
charged to the CITY. This memorandum of understanding will address procedural items.
VMEREAS both MY and COUNTS.' desire a seamless traa6t:ion in the responsibility
and operations of the transportation system with no loss or reduction in service.
THEREFORE, COUNTY and CITY do hereby agree as follows:
CONY agrees to perform the following responsibilities:
a. To provide engin.ccriug services in a timely manner.
b. To act as the grantee on .all existing project grants within the CITY
corporate limits.
c. To act as agent for CITY in making day-to-day decisions regarding project
issues such. as -funding, design, utility relocation, righA-of-way, plan and
.Specification preparation, and constcuction inspection.
d. To act as liaison for CCTY with grant funding agencies including out-of-
town
ut-of
town meetings;
e. To act as the contract agency on all CITY projects that begin construction
during year 2003.
L To inform CITY promptly'of any changes in project cost estimates.
g. - To review proposed project utility agreements with the CITY Public
Works Director.
h. To review proposed Right -of -Way Agreements with the CITY Public
Works Director.
i. To review project plans with MY staff at project inception, end at
approximately 30%, 60%, and 90% completion.
j. TA meet routinely with CITY staff to discuss non -project affairs.
k. Attend CTI'Y Council meetings during project award approval to explain
project aid answer questions concerning the project.
1. • To review proposed contract change orders with the CITY Public Works
Director.
m. To allow CITY access to project files for review purposes.
2. CITY agrees to perfoTrn the following responsibilities:
a. To promptly review all plans, specifications, and estimates for City street
projects prepared by COUNTY.
