04-049.00 TetraTech: Stormwater Utility Program AssessmentA AGREEMENT FOR PROFESSiON.AL SERVICES ff etraTech1KCM, Inc.] THIS AGREENIENT is made by and between the City of Spokane Valley, a code City of the State of Washington, hereinafter "City" and KCM, tnc. dba TetraTcch/KCM, Inc. hereinafter "Consultant,' jointly referred to as "parties." )iv CONIMERATION of the terms and conditions contained herein the parties agree as follows: 1. Work to Be Performed. The Consultant will provide all labor, services and material to satisfactorily complete the attached Scope of Services. A. Administration. The City Manager or designee shall administer and be the primary contact for Consultant. Prior to commencement of work, Consultant shall contact. the City Manager or designee to review the Scope of Work, schedule and date of completion. Upon notice from the City Manager or designee. Consultant shall commence work, perform the requested tasks in the Scope of Work, stop work and promptly cure any failure in performance under this agreement. B. Representations. The City has relied upon the qualifications of the Consultant in entering into this agreement. By execution of this agreement, Consultant represents it possesses the ability, skill and resources necessary to perform the work and is familiar with all current laws, rules and regulations which reasonably relate to the Scope of Work. No substitutions of personnel shall be rnade without the written consent of the City. Consultant shall be responsible for the technical accuracy of its services and documents resulting therefrom, and City shall not be responsible for discovering deficiencies therein. Consultant shall correct such deficiencies without additional compensation except to the extent such action is directly attributable to deficiencies in City furnished information. C. Modif cations. 'The City may modify this agreement and order changes in the work whenever necessary or advisable. The Consultant will accept modifications when ordered in writing by the City Manager or designee. Compensation for such modifications or changes shall be as mutually agreed between the parties. The Consultant shall make such revisions in the work as are necessary to correct errors or omissions appearing therein when required to do so by the City without additional compensation. 2. Term of Contract. This Agreement shall be in full force and effect upon execution and shall remain in effect. until completion of all contractual requirements. Either party may terminate this Agreement by ten (10) days written notice to the other party. In the event of such termination, the City shall pay the Consultant for all work previously authorized and satisfactorily performed in accordance with the Scope of Services prior to the termination date. 3. Compensation. The City agrees to pay the Consultant a Lump Sum amount of $44,920 920 as full compensation for Tasks 1 through 9 of the Scope of Services under this agreement. 4. Payment. The Consultant shall be paid monthly upon presentation of an invoice to the City for the percent of the work completed since the prior month's invoice. The City reserves the right to withhold payment under this agreement which is determined in the reasonable judgment of the City Manager or designee to be noncompliant with the Scope of Work, City Standards, City ordinances and federal or state standards. 5. Applicable Laws and Standards. The patties, in the performance of this agreement, agree to comply with all applicable Federal, State, local laws, ordinances, and regulations. 7. Relationship of the Parties. It is understood, agreed and declared that the Consultant shall be an independent Consultant and not the agent or employee of the City, that the City is interested in only the results to be achieved and that the right to control the particular manner, method and means in which the services are performed is solely within the discretion of the Consultant. Any and all employees who provide services to the City under this agreement shall be deemed employees solely of the Consultant. T'he Consultant shall be solely responsible for the conduct and actions of all employees under this agreement and any liability that may attach thereto. 8. Ownership of Documents. Ali drawings, plans, specifications, and other related documents prepared by the Consultant under this agreement are and shall be the property of the City. Consultant will not be held liable for the unauthorized reuse by the City or its representatives of documents or modifications thereof, including documents on electronic media, for any purpose(s) other than those authorized under this Agreement. 9. Records. The City or State Auditor or any of their representatives shall have full access to and the right to examine during normal business hours all of the Consultant's records with respect to all matters covered in this contract. Such representatives shall be permitted to audit, examine and make excerpts or transcripts from such records and to make audits of all contracts, invoices, materials, payrolls and record of matters covered by this contract for a period of three years from the date final payment is made hereunder. 10. Insurance. During the tern of the contract, the Consultant shall maintain in force at its own expense; the following insurance: A. Workers' Compensation .Insurance in compliance with RCW 51.12.020, which requires subject employers to provide workers' compensation coverage for all their subject workers and Employer's Liability or Stop Gap Insurance in the amount of $1,000,000.00; B. General Liability insurance on an occurrence basis with a combined single limit of not less than $1,000,000.00 each occurrence for bodily injury and property damage. It shall include contractual liability coverage for the indemnity provided under this contract. it shall provide that the City, its officers, Agreement for Professional Services Paige 2 of4 employees and agents are additional insureds but only with respect to the Consultant's services to be provided under the contract; C. Automobile Liability Insurance with a combined single limit, or the equivalent, or not less than $1,000,000.00 each accident for bodily injury and property damage, including coverage for owned, hired or non -owned vehicles; and D. Professional Liability Insurance with a combined single limit of not less than $1,000,000.00 each claim, incident or occurrence. This is to cover damages caused by the error, omission, or negligent acts related to the professional services to be provided under this contract. The coverage must remain in effect for at least two (2) years after the contract is completed. There shall be no cancellation, material change, reduction of limits or intent not to renew the insurance coverage(s) without thirty (30) days written notice from the Consultant or its insurer(s) to the City. As evidence of the insurance coverages required by this contract, the Consultant shall furnish acceptable insurance certificates to the City at the time the Consultant returns the signed contract. The certificate shall specify all of the parties who are additional insureds, and will include applicable policy endorsements, the thirty (30) day cancellation clause, and the deduction or retention level. Insuring companies or entities are subject to City acceptance. If requested, complete copies of insurance policies shall be provided to the City. The Consultant shall be financially responsible for all pertinent deductibles; self - insured retentions, and/or self- insurance. IL Indemnification and Hold Harmless. Each party shall indemnify and hold the other, its officers, employees, agents and volunteers harmless from and against any and ail claims, demands, orders, decrees or judgments for injuries, death or damage to any person or property arising or resulting from any negligent act or omission on the part of said party or its agents, employees or volunteers in the performance of this Agreement. Neither the City nor the Consultant shall be obligated to indemnify the other party in any manner whatsoever for the other party's negligence. 12. Waiver. No officer, employee, agent or other individual. acting on behalf of either party has the power, right or authority to waive any of the conditions or provisions of this agreement. No waiver in one instance shall be held to be waiver of any other subsequent breach or nonperformance. All remedies afforded in this agreement or by law, shall be taken and construed as cumulative, and in addition to every other remedy provided herein or by law. Failure of either party to enforce at any time any of the provisions of this agreement or to require at any time performance by the other party of any provision hereof shall in no way be construed to be a waiver of such provisions nor shall it affect the validity of this agreement or any part thereof. 13. Assignment and Uelet_yation. Neither party shall assign; transfer or delegate any or all of the responsibilities of this agreement or the benefits received hereunder without first obtaining the written consent of the other party. 14. Subcontracts. Except as otherwise provided herein, the Consultant shall not enter into subcontracts for any of the work contemplated under this agreement without obtaining written approval of the City. One subconsultant that will assist with the work is: Shaun Pigott Associates (Portland, OR). 15. Confidentiality. Consultant may from time to time receive information which is deemed by the City to be confidential. Consultant shall not disclose such information without the express consent of the Agreement for Professional Services Page 3 of 4 City or upon order of a Court of competent jurisdiction. 16. Jurisdiction and Venue. This Contract is entered into in Spokane County, Washington. Venue shall be in Spokane County, State of Washington. 17. Cost and Attorney's Fees. In the event a lawsuit is brought with respect to this Agreement, the prevailing party shall be awarded its costs and attorney's fees in the amount to be determined by the Court as reasonable. Unless provided otherwise by statute, any attorney fees awarded under this section to the prevailing party shall not exceed the total sum amount paid under this agreement. 18. Entire Agreement. This written agreement constitutes the entire and complete agreement between the parties and supercedes any prior oral or written agreements. This Agreement may not be changed, modified or altered except in writing signed by the parties hereto. 19. Anti - kickback. No officer or employee of the City, having the power or duty to perform an official act or action related to this Agreement shall have or acquire any interest in this Agreement, or have solicited, accepted or granted a present or future gift, favor, service or other thing of value from any person with an interest in this Agreement. 20. Business Registration. Prior to commencement of work under this Agreement, Consultant shall register with the City as a business. 21. Exhibits. Agreement for Professional Services Page 4 of 4 City of Spokane Valley; WA STORMWATER UTILITY PROGRAM ASSESSMENT including TRANSITION FROM SPOKANE COUNTY and UPDATE OF UTILITY FEES FOR 2005 TAX ROLLS [Tasks 1 through 9] - SCOPE OF SERVICES - PROJECT UNDERSTANDING The City of Spokane Valley established its Stormwater Utility in 2003. The primary activities of the Utility have been conducted under an agreement with Spokane County and now the City is interested in transitioning these activities Tito the internal operations of Spokane Valley. It is the City's intent, through this project, to better understand the scope of the activities that need to be addressed including: system maintenance, facility planning, water quality management, and regulatory compliance. The overall intent is to benchmark and assess the needs of the stonnwater system in order to provide effective and efficient services for utility ratepayers_ This benchmarking will include the collection of available physical feature inventory data to better understand the amount of infrastructure needed to be maintained, and to propose service levels and performance standards that enhance the stormwater system's performance. In addition, the project will produce a basic database used to enter information into proposed annual work plans, while estimating the value of specific functions, their frequency and costs. These work plans will reflect the recommended and fundable work activities of the stonnwater utility, including opportunities to transition operations like street sweeping from the Street Fund to the Stormwater Utility Fund. This work program will also provide an estimate of the funding required to support these levels of service. It will introduce approaches/options to enhance the cost- effectiveness of Spokane Valley's stonnwater operations, includuig contracting out for specific functions, where appropriate. The Stormwater Utility Program Assessment work will also include two related elements, namely the activities needed to: (a) transition the stonliwater program management and operations from Spokane County to the City of Spokane Valley, and (b) to update the utility fee charges for the County Assessor's inclusion in the 2005 tax rolls for affected properties. The recorrunended program will be developed with limited available stag'. At this time, it is anticipated the key staff will include: John Hohman and Neil Kersten (City of Spokane Valley) and Tammy Williams (Spokane County). Periodic status briefings will be made to the key staff, for obtaining input to the process by evaluating the issues, costs, alternatives, and directions proposed by the Consultant. Also include Spokane County maintenance staff, or others, that may be appropriate. 1C Finalize project scope / work program with the City and schedule an initial project briefing with the Project Team, or key City staff, as appropriate. ID Conduct initial (brief) interviews with individual staff who are currently managing stormwater activities (e.g., John Hohman, Neil Kersten, and Tammy Williams). This will help to benchmark the current activities, and will help establish the City's objectives in terms of stonmwater service delivery. IE. identify and obtain available background data from the City (and Spokane County) pertaining to existing stormwater system needs, work programs, identified neighborhood improvements and stormwater program budgets. 1 F Compile the existing data and establish proposed levels of service for areas including capital improvements, maintenance, water quality management, public information, customer service, utility administrative support, and regulatory compliance. TASK 2 Review and Consolidate Stormwater Utility Documentation and Conduct Initial Assessment Workshop 2A Consolidate the preliminary data collected in Task 1 and prepare a technical memorandum to the City regarding the current status of stormwater utility operations and maintenance activities. This memorandum will also provide a specific assessment for the following maintenance topics: • inventory data; • maintenance staffing; • equipment and materials; • service levels / performance standards; and • maintenance budgeting / activity accounting. 2B Conduct a workshop with the Project Team, or key City staff. as appropriate, to review the information collected in this initial benchmarking task. October 25, 2004 Shaun Pigott Associates - 2 - City of Spokane Valley Stornor Utility Program Assessment TASK 3 Define Functions /Activities and Proposed Work Program 3A Prepare a rough assessment of Spokane Valley's stormwater program that includes the followine: a map (modified from one available from Spokane County) depicting the major elements of the stormwater inventory to be maintained, and the location of neighborhood stormwater improvements identified (if any); • based on minimal input from the City and County, very limited field work by the Consultant, and available observations from other similar jurisdictions, provide a rough, qualitative condition assessment of this physical feature inventory; based on information developed in earlier tasks, from existing reports, and typical activities fi-om other similar jurisdictions, identify and suggest the stormwater fLuictions and activities within an initial annual work program which may include: • Capital Programs • Planning/Engineering • Administration • Maintenance • Water Quality • Regulatory Compliance • Public hiformation 3B Recognizing that the time available from City and COLITIty staff is very limited, the Consultant will develop an initial program plan and performance guides for these activities including: personnel, equipment, materials, and work procedures; 3C Based on the standards developed above and existing City /County labor, material, and equipment- costs, prepare preliminary estimates of stormwater resource requirements for the City of Spokane Valley. TASK 4 Consolidate Field Operations Data and Prepare Preliminary Maintenance Assessment Findings 4A Review the overall strengths and weaknesses of the current systems for maintenance delivery within the City's service area; 4B Identify and quantify possible opportunities for enhancement of service delivery in terms of the following factors: • field procedures and performance standards; • redundancies in maintenance activities and equipment; • outsourcing specific activities for the stormwater program; TetraTechlKCM, inc. October 25, 2004 Shaun Pigott Associates - 3 - City of Spokane Valley Stornor Utility Program Assessment • restructuring maintenance procedures and/or crew configurations for identified field activities. 4C Assess the nux of available equipment and staffing, opposite the identified needs, to effectively carry out the maintenance assiunents established for the program; 4D Prepare a draft "'Assessment Report" doci.unenting the Consultant's evaluation regarding the current system for maintenance and the prioritized opportunities for improving maintenance service delivery; 4E Review the draft Assessment Report with key City staff for review /comment; and /or 4F Present the draft Assessment Report to the entire Project Team, and others as may be appropriate, for their comment and direction. TASK 5 Review Critical Maintenance Areas 5A Within the context of directions established through the Assessment Report and the priorities established through the Project Team, or key City staff, as appropriate, prepare specific analyses and implementation plans for areas recognized as significant and affecting future maintenance service delivery efficiency. These areas may be actual, or somewhat hypothetical, and will likely include: • performance standards for primary stormwater maintenance; • activities, including frequencies; crewing configurations, procedures and equipment/material requirements; • opportunities for contracting out specific functions and define these opportunities in terms of cost/benefit/risk to the City; • procedure for the annual costing of specific maintenance activities with the objective of establishing a common budgeting database from which annual field maintenance work programs can be accurately forecast; and • pubfic /private system maintenance and the City's long -term direction regarding this issue and its cost impact on the City's stormwater maintenance program. 5E3 Prepare a draft "Critical 'Maintenance Area" Assessment Deport which will intend to address each of the areas listed above, plus will include staffing recommendations and the steps necessary to implement the proposed direction. October 25, 2004 Shaun Pigott Associates - 4 - City of Spokane Valley TASK 6 Prepare Financial Plan Stornor Utility Program Assessment 6A Working with the City's financial staff, and in conjunwon with Task 9, the Consultant Team will review the existing stonnwater utility customer account files to establish the amount of impervious surface currently within the City. 613 .Based on this customer data and the number of equivalent residential units (ERU), a financial forecast for the program will be prepared. 6C The program costs and the levels of service identified in the previous tasks will be reviewed in the context of the FRUs within the City to determine the rate impacts of the proposed level(s) of service. This will include costs related to neighborhood improvements, maintenance of the stonmwater system, regulatory compliance, water quality management, public information, and City indirect cost allocations to the stonnwater utility. 6D A Finwicial Report to the City will be drafted and reviewed with staff documenting the costs, levels of service and likely rate impacts of the proposed program plan(s). This report will include recommendations for transitioning specific operations, such as street sweeping, from the Street Fund to the Stormwater Utility Fund. TASK 7 Develop Final Report and Stormwater Utility Implementation Plan The initial Benchmark Report, Condition Assessment Report, Critical Maintenance Area Assessment Report, and Financial Report will be consolidated into a single document compiling the final recommendations for the City's stonnwater utility program. In addition, the report will emphasize the steps and contract agreements necessary to carry Out the proposed program within specified and agreed to timeframes. The document will also include survey data and comparative standards from other similar jurisdictions in the Pacific Northwest to demonstrate the reasonableness and implementability of the proposed program for Spokane Valley. This report will be presented to the City Council in a work session on Spokane Valley's Stornwater Utility. TASK 8 Transition Stormwater Utility Management from Spokane County During 2003 and 2004, Spokane County Utilities retained a portion of the duties for managing the City's Stornwater Utility. This included assisting with coordination for maintenance, among other things. This task will assist the City with undertaking other functions that are not addressed in the tasks above. For example, a formal procedure for adding and tracking stornwater management duties into the Utility will be developed. Key staff from Spokane County (e.g., Bill Galle, Brenda Simms, Tammy Williams) will be interviewed and their input will support the creation of a list of duties the City must take over from the County. The County has indicated they will no longer provide Utility management services for the City of Spokane Valley after the end of 2004. TetraTech/KCM, Inc. October 25, 2004 Shaun Pigott Associates - J - City of Spokane Valley Stornlor Utility Program Assessment TASK 9 Update Ledger of Stormwater Utility Fees for 2005 Tax Rolls Stormwater Utility fees are collected by the Spokane County Assessor via a line item charge on the property tax rolls. The annual fee amount for each parcel must be calculated and delivered to the .Assessor's office by mid- January of each year. hi the past, Spokane County Utilities staff (Bill Galle) has prepared this list of charges. Beginning in 2005, the City of Spokane Valley will be required to prepare the list. This task will assist the City in updating/preparing the ledger of fees; by perfonning the following services: • Coordinate with Spokane County Utilities to obtain all key information and records regarding Stormwater Utility customers within Spokane Valley's city limits. • Confirm the basis and the details for the fee ledger that Spokane County submitted, on behalf of the City of Spokane Valley, to the County Assessor for 2003 and 2004. • Obtain records from the City of Spokane Valley pertaining to development which took place around the time of the City's fornlation, and reconcile/add all new parcels and/or update the fee calculations for the previous ledger(s) prepared by Spokane County. It is understood that the extent of new development which must be included (for the City) is about 600 single family residential (SF.R) parcels and about 190 commercial parcels. The latter figure also includes existi i segregated commercial parcels that need to be adjusted for new illIperVious surface area, because the County indicated they have not made any adjustments (in the City) for commercial construction activity after 2001. • Using the rate per equivalent residential ucvt (ERU) established by the City Council, calculate the annual fee for each parcel and coordinate with the City and County to prepare the January 2005 Assessor's roll. The fee per each SFR parcel will be 1 ERU, however the fee for each commercial parcel will require the calculation of ERUs (to 2 decimal places) based upon impervious siu-face area, with 1 ERU = 3.160 square feet. It is assumed that existing City documents and drawings will denote the areas for calculating commercial ERUs for 2002, 2003 and 2004; field measurements are not anticipated to be done. ERU values (to 2 decimal places) for older commercial parcels will be calculated by dividing the available 2002 charges by 10.00 per FRU. MEETINGS Periodic project progress meetings will be conducted with the City to keep the parties informed of developments and upcoming key dates / deliverables. Finally, there will be one workshop / presentation with the City Council regarding the proposed program and a review of the recommended policy direction necessary to proceed with implementation of the Stormwater utility program plan recommendations. All meetings will be preceded by an agenda and followed up with a meeting sununary prepared by the Consultant. SCHEDULE The work will conmience upon notice -to- proceed, which is anticipated in late October 2004. The initial tasks will be performed during the first several weeks, with the Workshop in Task 2 held, about late- November. Subsequent task will be performed in December and January. The City Council presentation will likely be scheduled for December 2004 or early January 2005. Task 9 shall be completed before mid - January 2005, therefore the rate per FRU must be established before that deadline. TetraTech/KCM, Inc.
