04-012.00 Tetra Tech: Bioinfiltration Swales & Stormwater Mgmt Systems Evaluation0 AGREEMENT FOR PROFESSIONAL-SERVICES [TetraTech /KCNI, Inc.] THIS AGREEMENT is made by and between the City of Spokane Valley, a code City of the State of Washington, hereinafter "City" and KCM, .I.nc. dba TetraTech/i:CM, Inc. hereinafter "Consultant," jointly referred to as "panics." RK CONTSLCMERATION of the terms and conditions contained herein the parties agree as follows: 1. Work to Be Performed. The Consultant will provide all labor, services and material to satisfactorily complete the attached Scope of Services. A. Administration. The City Manager or designee shall administer and be the primary contact for Consultant. Prior to commencement of work; Consultant shall contact the City Manager or designee to review the Scope of Work, schedule and date of completion. Upon notice from the City Manager or designee Consultant shall commence work, perform the requested tasks in the Scope of Work, stop work and promptly cure any failure in performance under this agreement. R Representations. The City has relied upon the qualifications of the Consultant in entering into this agreement. By execution of this agreement, Consultant represents it possesses the ability, skill and resources necessary to perform the work and is familiar with all current laws, rules and regulations which reasonably relate to the Scope of Work. No substitutions of personnel shall be made without. the written consent of the City. Consultant shall be responsible for the technical accuracy of its services and documents resulting therefrom, and City shall not. be responsible for discovering deficiencies therein. Consultant shall correct such deficiencies without additional compensation except to the extent such action is directly attributable to deficiencies in City furnished information. C. Modifications. The City may modify this agreement and order changes in the work whenever necessary or advisable. The Consultant will accept modifications when ordered in writing by the City Manager or designee. Compensation for such modifications or changes shall be as mutually agreed between the parties. The Consultant shall make such revisions in the work as are necessary to correct errors or omissions appearing therein when required to do so by the Ciry without additional compensation. 2. Terra of Contract. This Agreement shall be in full force and effect upon execution and shall remain in effect until completion of all contractual requirements. Either party may terminate this Agreement by ten (10) days written notice to the other party. In the event of such termination, the City shall pay the Consultant for all work previously authorized and satisfactorily performed in accordance with the Scope of Services prior to the termination date.. I Compensation. 'fhe City agrees to pay the Consultant a Lump Sum amount of $49,630 as full compensation for Tasks 1 through 10 of the Scope of Services under this agreement. 4. Payment. The Consultant shall be paid monthly upon presentation of an invoice to the City for the percent of the work completed since the prior month's invoice. Applicable Laws and Standards. The parties, in the performance of this agreement, agree to comply with all applicable Federal, State; local laws, ordinances, and regulations. 7. Relationship of the Parties. It is understood, agreed and declared that the Consultant shall be an independent Consultant and not the agent or employee of the City, that the City is interested in only the results to be achieved and that the right to control the particular manner, method and means in which the services are performed is solely within the discretion of the Consultant. Any and all employees who provide services to the City under this agreement shall be deemed employees solely of the Consultant.. The Consultant shall be solely responsible for the conduct and actions of all employees under this agreement and any liability that may attach thereto. $. Ownership of Documents. All drawings; plans, specifications, and other related documents prepared by the Consultant under this agreement are and shall be the property of the City. Consultant will not be held liable for the unauthorized reuse by the City or its representatives of documents or modifications thereof. including documents on electronic media, for any purpose(s) other than those authorized under this Agreement. 9. Records. The City or State Auditor or any of their representatives shall have full access to and the right to examine during normal business hours all of the Consultant's records with respect to all matters covered in this contract. Such representatives shall be permitted to audit, examine and make excerpts or transcripts from such records and to make audits of all contracts, invoices, materials, payrolls and record of matters covered by this contract for a period of three years from the date Final payment is made hereunder. 10. insurance. During the term of the contract, the Consultant shall maintain in force at its own expense, the following insurance: A. Workers' Compensation Insurance in compliance with RC;W 51.12.020, which requires subject employers to provide workers' compensation coverage for all their subject workers and Employer's Liability or :Stop Gap Insurance in the amount of $1,000;000.00; B. General Liability Insurance on an occurrence basis with a combined single limit of not less than S 1,000,000.00 each occurrence for bodily injury and property damage. It shall include contractual liability coverage for the indemnity provided under this contract. It shall provide that the City, its officers, Agrecment for Professional Services Page 2 of 4 a employees and agents are additional insureds but only with respect to the Consultant's services to be provided under the contract; C. Automobile Liability Insurance with a combined single limit, or the equivalent, or not less than S 1,000,000.00 each accident for bodily injury and property damage, including coverage for owned, hired or non -owned vehicles; and D. Professional Liability Insurance with a combined single limit of not less than $1,000,000.00 each claim, incident or occurrence. This is to cover damages caused by the error, omission, or negligent acts related to the professional services to be provided under this contract. The coverage must remain in effect for at least two (2) years after the contract is completed. There shall be no cancellation, material change, reduction of limits or intent not to renew the insurance covcrage(s) without thirty (30) days written notice from the Consultant or its insurer(s) to the City. As evidence of the insurance coverages required by this contract, the Consultant shall furnish acceptable insurance certificates to the City at. the time the Consultant returns the signed contract. The certificate shall specify all of the parties who are additional insureds, and will include applicable policy endorsements, the thirty (30) day cancellation clause, and the deduction or retention level. insuring companies or entities are subject to City acceptance. If requested, complete copies of insurance policies shall be provided to the City. The Consultant shall be financially responsible for all pertinent deductibles, self- insured retentions, and/or self - insurance. 11. indemnification and Hold Harmless. Each party shall indemnify and hold the other, its officers, employees, agenLS and volunteers harmless Crom and against any and all claims, demands, orders, decrees or judgments for injuries, death or damage to any person or property arising or resulting from any negligent act or omission on the part of said party or its agents, employees or volunteers in the performance of this Agreement. Neither the City nor the Consultant shall be obligated to indemnify the other parry in any manner whatsoever for the other party's negligence. 12. Waiver. No officer, employee, agent or other individual acting on behalf of either party has the power, right or authority to waive any of the conditions or provisions of this agreement. No waiver in one instance shall be held to be waiver of any other subsequent breach or nonperformance. All remedies afforded in this agreement or by law, shall be taken and construed as cumulative, and in addition to every other remedy provided herein or by law. Failure of either party t o e nforce at any time any of the provisions of this agreement or to require at any time performance by the other party of any provision hereof shall in no way be construed to be a waiver of such provisions nor shall it affect the validity of this agreement or any part thereof. 13. Assignment and Delegation. Neither party shall assign, transfer or delegate any or all of the responsibilities of this agreement or the benefits received hereunder without first obtaining the written consent of the other party. 14. Subcontracts. Except as otherwise provided herein, the Consultant shall not enter into subcontracts for any of the work contemplated under this agreement without obtaining written approval of the City. Two subconsultants anticipated for the work are: 'Pony.Righellis (Las Vegas, NV) and GeoEngincers (Spokane, OVA). 15. Corifidentiality. Consultant may from time to time receive information which is deemed by Agreement for Professional Services Page 3 oF4 the City to be confidential. Consultant shall not disclose such information without the express consent of the City or upon order of a Court of competent jurisdiction. 16. Jurisdiction and Venue. This Contract is entered into in Spokane County, Washington. Venue shall be in Spokane County, State of Washington. 17. Cost and Attorney's Fees. In the event a lawsuit is brought with respect to this Agreement, the prevailing party shall be awarded its costs and attorney's fees in the amount to be determined by the Court as reasonable. Unless provided otherwise by statute, any attorney fees awarded under this section to the prevailing party shall not exceed the total sum amount paid under this agreement. 18. Entire Agreement. This written agreement constitutes the entire and complete agreement between the parties and supercedes any prior oral or written agreements. This Agreement may not be changed, modified or altered except in writing signed by the parties hereto. 19. Anti - kickback. No officer or employee of the City, having the power or duty to perform an official act or action related to this Agreement shall have or acquire any interest in this Agreement, or have solicited, accepted or granted a present or future gift, favor, service or other thing of value from any person with an interest in this Agreement. 20. Business Registration. Prior to commencement of work under this Agreement, Consultant shall register with the City as a business. 21. Exhibits. Page 4 of 4 SCOPE OF WORK This scope of work outlines the tasks and services the TUKCM team will provide to the City of Spokane Valley for the Swale Evaluation project. Project Understanding The project involves the evaluation of three design methods for Bio- infiltration Swales 1'13MP 1`5.30], and one design method for Biofiltration Swales [BNIP T5.401 based upon guidelines included in the June 2003 Final Draft Storonvater Management Manual fbr 17astern Washington (AIcl ural). In summary, the four design methods are: • Basic Design Method [8N1P T5.30] — emulates the Hydrograph Design Method (below) using pre - computed tabular results for a range of 24 -hour precipitation amounts and a range of infiltration rates. • Alternative Design Method [DNIP '5.30] (Spokane County's 0.5" method) — a simple volume -based method which assumes there is no infiltration during the runoff event. Spokane County also uses the Bowstring method to confirm swale sizing and the type and number of overflow drywells. (The Bowstring method is similar to a Modified Rational Method presented by Walesh in a 1979 paper entitled Deteni onl Retention Recei-voirc- Sizing Methods and 01her Considerations.) • Hydrograph Design Method [}3NfP T5.30] — a more rigorous storm and reservoir routing method that. produces the most scientifically accurate results, acknowledging the limitations of the science. This method uses the MRCS (formerly SCS) Method. This method was historically considered inappropriate for smaller drainage basins, which most land developments are. That limitation has been ignored by many jurisdictions who now allow the method. • Biofiltration Swale ,Method [BMP T5.401 — differing from the first three methods above, this method treats runoff that slowly flows through a prescribed length of vegetation in May 11, 2004 the bottom of a swalc, assuming no infiltration along the path, and is then discharged (to dry vells). Hydrologic Engineering Evaluation: The project will include hydrologic engineering calculations to evaluate the various sizes of swales that result from each method. Geotechnical Engineering Evaluation: The project will include review of available geotechnical engineering information pertaining to infiltration rates of local soils, in both unfrozen and frozen conditions. TASK 1 — PROJECT START -UP WORKSHOP Obtain the above- referenced documents, including spreadsheets and related guidance, and verify specific understanding of the scope of this project in a start -up workshop with the City of Spokane Valley. Preliminary work on Tasks 2, 3 and 4 will be performed and discussed at the workshop. The workshop is scheduled for two (2) days, with draft agenda topics as follows: • Introductions; confirm agenda • Scope of Work (10 tasks) and Schedule • Review of the design methods (summarized in the Project Understanding) from the Final Draft E, astern Washington Stormwater jifanual • Discussion of design storm types and their applicability (2 — 4 hours) • Initial findings and discussion for "Task 2 • Preliminary discussion for Tasks 3, 4 and 5 • Action items and follow -on meetings TASK 2 — REVIEW AND COMPARE THE PROPOSED DESIGN METHODS BNiP T5.30 (included in the June. 2003 Final Draft. Stornnvater rl4anagenient Manual for Eastern Washington) identifies three methods for sizing Bio - infiltration Swales. Also included in the .tune 2003 Final Draft Manual is BMTT5.40 for sizing Biofiltration Swales. These four methods (see Project Understanding) will be reviewed Spokane Valley — Swale Evaluation Tt/KCM • 1 for appropriateness specific to the City of Spokane Valley. From a general perspective, each method attempts to accomplish the same goal: quantify, during the treatment/disposal process, the facility size(s) and volume(s) needed to accommodate nrnoff which is often greater and more quickly generated due to development. In summary, the four methods are: • Basic Design Method — B NVA SW Manual. • Alternative Design Method — E WA SW Manual and Spokane County. • Hydrograph Design Method — F WA SW Manual. • Biofiltration Swale Method — E WA SW Manual. The four methods will be reviewed for comparability of assumptions and input values. This review will be conducted by separating the three technical processes for independent evaluation: hydrology, infiltration, and reservoir routing. For each technical process, each method's theory, algorithms, and parameters will be listed in comparative tables. This will provide clarity to the similarities and distinctions of each method. The comparison will be summarized in the form of a technical memorandum, and will be submitted to the City for review and validation of assumptions. TASK 3 — DEVELOP STEP -BY -STEP PROCEDURES FOR THE HYDROGRAPH DESIGN METHOD The Hydrograph Design Method, being the most complex of the three Bio- infiltration Swale methods, can result in the greatest degree of implementation variation by design professionals. A step -by -step procedure, with acceptable value ranges for input parameters, is not provided in the Manual, so will be developed to facilitate the evaluation process. The procedure will be developed using only the NRCS (SCS) Type lA and Type. 11 design storms. May 11, 2004 TASK 4 — EVALUATE INFILTRATION RATES Infiltration rates can vary greatly throughout a community. The use of rates based on the best information available allows for the implementation of more efficient iniiltration/treatmcnt facilities. Some of the design methods allow for infiltration during the runoff event, and some do not. A limiting situation might be that the ground is frozen and therefore does not infiltrate. if data is available, the frequency /probability of runoff occurring during frozen ground conditions will be considered. This frozen ground assumption will be investigated for several scenarios. Frozen ground is permeable if the grain size distribution is f:'avorable. Frozen clay is essentially impermeable, though frozen gravel can have permeability similar to the thawed condition. A. literature search will be performed to collect some usable data. f=ield sampling and testing is not proposed at this time. Also, high groundwater conditions are not expected to be a factor. One challenge will be to select a model that reasonably represents the conditions that Spokane Valley wants to consider. We'll also need to consider how frozen topsoil and grass inhibit infiltration, if that's part of the model, and if a drywell installation is negatively impacted by freezing conditions. Submitted in a technical memorandum, this task will establish several scenarios of ground conditions, attempt to bracket the worst, average and best cases, and make recommendations for how to use infiltration rates in the design methods, wherever and whenever it is believed appropriate. TASK 5 — CALCULATE, TABULATE, EVALUATE, AND REVIEW THE RESULTS WITH CITY Up to six real projects will be used as examples, as provided by the City, to compute bio- infiltration and biofiltration swale sizes. The tabulations will be of the resulting swale sizes, computed by each of the four methods, for each project. Recurrence intervals of 10, 25, 50 and 100 years will be used in the calculations. Spokane Valley — Swale Evaluation Tt/KCM • 2 The tabulations will then be evaluated by examining the range of results, considering the model assumptions and input values, and the three technical processes of: hydrology, infiltration, and reservoir routing, outlined in Task 2. The tabulations, together with a preliminary evaluation in the form of a technical memorandum, will be submitted to and reviewed in a meeting with the City. Task 6 — PREPARE DRAFT REPORT AND REVIEW RECOMMENDATIONS WITH CITY Based upon discussion of the results from Task 5, prepare formal recommendations in a report which sunmmarizes the work performed in all prior tasks. Deliver 10 copies to the City for internal use and review. Meet again with the City to discuss the recommendations and to finalize the report. Task 7 — COORDINATE WITH CITY AND ECOLOGY FOR REVIEW AND APPROVAL Coordinate with the City to assist in obtaining review and approval of the recommended methods from the Washington Department of May 99, 2004 Ecology. It is assumed that Ecology staff at their Headquarters office in Lacey, WA will be the point of contact. Task 8 — FINALIZE REPORT Based upon discussions and agreed resolutions with Ecology, City staff. and City Council, finalize the report and submit an electronic copy and 10 hard copies to the City. Task 9 — PRESENT TO CITY COUNCIL Make up to 2 presentations to City Council, during the course of this project, to provide pertinent information and oburin relevant input and direction. Task 10 — MANAGE PROJECT Provide management of consultant staff and coordination with subconsultants. Prepare and maintain project schedule. Provide monthly invoices and status reports of the work completed and the work scheduled. Project meetings are generally scheduled in other tasks, however separate status review meetings can be pro«ded if desired by the City.
