W I T N E S S E T H o WHEREAS, pursuant to the provisions of the Revised Code of Washington Section 36.32.120(6), the Board of County Commissioners of Spokane County has the care of County pro- perty and the management of County funds and business; and WHEREAS, the provisions of Chapter 58.17 RCW regu- late the subdivision of land within Spokane County; and WHEREAS, pursuant to the provisions of RCW Section 58.17.040(4), divisions of land into lots or tracts classified for industrial or commercial uses are not subject to subdividing when there is an approved binding site plan; and WHEREAS, the indemnitors hereinabove have acquired three parcels of property, which parcels of property are adjacent to each other and zoned commercial; one being ZE-257-79; the other ZE-5-82 and a third, consisting of 38,800 square feet zoned unrestricted commercial; and WHEREAS, the indemnitors hereinabove are desirous of combining all three parcels of property referred to hereinabove for the purpose of the construction of a retail grocery store on the northeast corner of the proposed par- cels of property, located at the intersection of Progress Road and Sprague Avenue; and WHEREAS, the indemnitors have asked the indemnitee whether or not they would be willing to release a building permit for the retail grocery store on the three parcels of property without the necessity of any further public hearings contending in part, that the prior approvals of ZE-257-79, ZE-5-82 and the 38,800 square foot unrestricted commercial rezone authorized the present proposed use and that RCW Section 58.17.040(4) allows the combination of the three parcels of property referred to hereinabove into one parcel of property for the purpose of a retail grocery storef NOW, THEREFORE, for and in consideration of Spokane County through the Spokane County Planning Department recognizing those parcels of property more particularly outlined in Attachment "A" attached hereto and incorporated herein by reference, as suitable for a retail/warehouse building as more particularly described in Attachment "A" attached hereto and incorporated herein by reference, the indemnitors hereby agree for indemnitors' successors and assigns to indemnify and hold harmless the indemnitee, its successors and assigns, and all its officers, and employees against any and all actions, causes of action, claims, demands, damages, costs, expenses (including attorneys' fees), suits and compensation on account of or in any way growing out of damages which may be claimed by any person, including surrounding property owners or contractors or sub- contractors to themselves or their property, either personal or real, by reason of Spokane County through the Spokane County Planning Department recognizing those parcels of pro- perty outlined in Attachment "A" attached hereto and in- corporated herein by reference, as one commercial property for the purpose of a retail/warehouse building, -2- It is understood that all other provisions of federal, state and local laws,.ordinances and regulations must be complied with by the indemnitors in conjunction with building on the parcel of property outlined in Attachment "A■ It is further understood and agreed by the parties hereto, that the indemnitors shall be responsible for com- plying with all conditions set forth in that correspondence dated December 20, 1984, a photocopy of which is attached hereto as Attacbment "B" and incorporated herein by reference, as a condition of the County's recognizing those three parcels of property set forth in Attachment "A" as a single buildable site. The indemnitors agree, at the option of the indem- nitee, to defend against any claims brought or actions sought against the indemnitee with respect to the subject of the indemnity contained herein, whether such claims or actions are rightfully or wrongfully brought or filed. This Indemnity Agreement contains the entire agreement between the parties hereto. The terms of this release are contractual and not merely a recital. The indemnitors recognize that the indemnitee bears certain risks in recognizing those parcels of property set forth in Attachment "A" as a single buildable site for the proposed development of a retail/warehouse building and accordingly as consideration for the County recognizing such is willing to execute this Indemnity Agreement and meet all conditions set forth in Attachment "B The terms of this release, are contractual, and not merely recitals. The indemnitors state that they have carefully read the foregoing agreement, know the contents thereof and that they have signed the same as their own free act and deed. -3- . These conditions are generally listed below: - That an 8-foot tall tree buffer spaced 15-feet apart along with general landscaping and a 6-foot chai•nlink sight-'obscuring fence be provided along the north property line. - That the proposed building shall not exceed 52,016 square feet of gross floor area. - That deliveries be limited in hours from 7:00 A.M. to 6:00 P.M. - That Right of Way dedication as required by the County Engineer be provided. - That landscaping along Progress Road and Sprague Avenue as approved by the Zoning Administrator be installed and maintained. - That the condition specifying that Mrs. Williams review the buffering along the north property line be complied with. - That a hold harmless agreement by the property owner be submitted to the Chief Civil Deputy Prosecuting Attorney. - That appropriate easements for the landscaping and solar access be sub- mitted concerning the property owner to the north. Said easements should address the continued maintenance of the landscaping.
