EASEMENT FOR LANDSCAPING, PERCOLATION,
SOLAR USE AND INTERFERENCE
FOR AND IN CONSIDERATION OF Ten Dollars ($10.00) and other
valuable consideration, the Grantors, C. HAROLD MIELKE and MARCIA
MIELKE, husband and wife, and DAVID MIELKE, a single person, hereby
convey and warrant to the Grantees, Y & D PROPERTIES, a Washington
general partnership, its successors and assigns, a perpetual non-
exclusive easement affecting the solar and air use and facilities
on the property described as:
The South half of Tract 58 EXCEPT the North one-third
of the West one (1) acre of said South half and that
part of Tract 62 lying North of the North line of the
right of way of Spokane Inland Empire Railway Company,
in VERA, in the County of Spokane, State of Washington,
as per map thereof recorded in Book "O" of Plats, page
30, in the office of the County Auditor of said County.
Grantees shall be entitled to plant trees and landscape a
10 foot strip over and across the South 10 feet of the West 303.10
feet of property described above, including use of that area for
surface water drainage percolation sometimes referred to as a
"208 grass percolation area".
Grantees shall be entitled to erect buildings, fences and
trees on the property adjoining and affecting toe property described
above.
Grantees shall bear all costs of expenses in connection there-
with and comply with all laws, rules and regulations imposed by the
County or other governmental agencies.
Grantors understand that this easement may result in interference
with the sunlight and natural flow of air over, across and around
Grantors' property and that is the purpose for which this easement
is granted.

INDEMNITY AGREEMENT
THIS INDEMNITY AGREEMENT, made and entered into

referred to as the "Indemnitors," and Spokane County, a poli-
tical subdivision of the State of Washington, hereinafter
referred to as the "Indemnitee," jointly, hereinafter
referred to along with the Indemnitor as the "Parties."
W I T N E S S E T H o
WHEREAS, pursuant to the provisions of the Revised
Code of Washington Section 36.32.120(6), the Board of County
Commissioners of Spokane County has the care of County pro-
perty and the management of County funds and business; and
WHEREAS, the provisions of Chapter 58.17 RCW regu-
late the subdivision of land within Spokane County; and
WHEREAS, pursuant to the provisions of RCW Section
58.17.040(4), divisions of land into lots or tracts
classified for industrial or commercial uses are not subject
to subdividing when there is an approved binding site plan;
and
WHEREAS, the indemnitors hereinabove have acquired
three parcels of property, which parcels of property are
adjacent to each other and zoned commercial; one being
ZE-257-79; the other ZE-5-82 and a third, consisting of
38,800 square feet zoned unrestricted commercial; and
WHEREAS, the indemnitors hereinabove are desirous
of combining all three parcels of property referred to
hereinabove for the purpose of the construction of a retail
grocery store on the northeast corner of the proposed par-
cels of property, located at the intersection of Progress
Road and Sprague Avenue; and
WHEREAS, the indemnitors have asked the indemnitee
whether or not they would be willing to release a building
permit for the retail grocery store on the three parcels of
property without the necessity of any further public
hearings contending in part, that the prior approvals of
ZE-257-79, ZE-5-82 and the 38,800 square foot unrestricted
commercial rezone authorized the present proposed use and
that RCW Section 58.17.040(4) allows the combination
of the three parcels of property referred to hereinabove
into one parcel of property for the purpose of a retail
grocery storef
NOW, THEREFORE, for and in consideration of Spokane
County through the Spokane County Planning Department
recognizing those parcels of property more particularly
outlined in Attachment "A" attached hereto and incorporated
herein by reference, as suitable for a retail/warehouse
building as more particularly described in Attachment "A"
attached hereto and incorporated herein by reference, the
indemnitors hereby agree for indemnitors' successors and
assigns to indemnify and hold harmless the indemnitee, its
successors and assigns, and all its officers, and employees
against any and all actions, causes of action, claims,
demands, damages, costs, expenses (including attorneys'
fees), suits and compensation on account of or in any way
growing out of damages which may be claimed by any person,
including surrounding property owners or contractors or sub-
contractors to themselves or their property, either personal
or real, by reason of Spokane County through the Spokane
County Planning Department recognizing those parcels of pro-
perty outlined in Attachment "A" attached hereto and in-
corporated herein by reference, as one commercial property
for the purpose of a retail/warehouse building,

It is understood that all other provisions of
federal, state and local laws,.ordinances and regulations
must be complied with by the indemnitors in conjunction with
building on the parcel of property outlined in Attachment
"A■
It is further understood and agreed by the parties
hereto, that the indemnitors shall be responsible for com-
plying with all conditions set forth in that correspondence
dated December 20, 1984, a photocopy of which is attached
hereto as Attacbment "B" and incorporated herein by
reference, as a condition of the County's recognizing those
three parcels of property set forth in Attachment "A" as a
single buildable site.
The indemnitors agree, at the option of the indem-
nitee, to defend against any claims brought or actions sought
against the indemnitee with respect to the subject of the
indemnity contained herein, whether such claims or actions
are rightfully or wrongfully brought or filed.
This Indemnity Agreement contains the entire
agreement between the parties hereto. The terms of this
release are contractual and not merely a recital. The
indemnitors recognize that the indemnitee bears certain
risks in recognizing those parcels of property set forth in
Attachment "A" as a single buildable site for the proposed
development of a retail/warehouse building and accordingly
as consideration for the County recognizing such is willing
to execute this Indemnity Agreement and meet all conditions
set forth in Attachment "B The terms of this release, are
contractual, and not merely recitals.
The indemnitors state that they have carefully read
the foregoing agreement, know the contents thereof and that
they have signed the same as their own free act and deed.

advised to contact legal counsel prior to executing this
agreement.
IN WITNESS WHEREOF this agreement has been executed

Re: Site Development for Parcels of Land Pertaining to Zone Change Files No.
ZE-542 and ZE-257-79 and Resolution #311--53.
This letter will hopefully serve as a summary of our discussions pertaining to
site development on the above parcels for a retail grocery store, located on thr
northeast corner of Progress Road and Sprague Avenue.
After consultations with our legal counsel, Chief Civil Deputy Prosecuting
Attorney, James Emacio, it is the posi'ti•on of the Planning Department that a
Change of Condi'ti'ons public hearing is not required for your project, provided
compliance with certain conditions are incorporated within the development.
These conditions are generally listed below:
- That an 8-foot tall tree buffer spaced 15-feet apart along with
general landscaping and a 6-foot chai•nlink sight-'obscuring fence be
provided along the north property line.
- That the proposed building shall not exceed 52,016 square feet of gross
floor area.
- That deliveries be limited in hours from 7:00 A.M. to 6:00 P.M.
- That Right of Way dedication as required by the County Engineer be
provided.
- That landscaping along Progress Road and Sprague Avenue as approved
by the Zoning Administrator be installed and maintained.
- That the condition specifying that Mrs. Williams review the buffering
along the north property line be complied with.
- That a hold harmless agreement by the property owner be submitted to
the Chief Civil Deputy Prosecuting Attorney.
- That appropriate easements for the landscaping and solar access be sub-
mitted concerning the property owner to the north. Said easements
should address the continued maintenance of the landscaping.

ZE-5-82 and ZE-257-79 and as agreed to within this letter be complied
with.
Of course, as you are aware, this letter is an Administrative Determination, which
would allow yourself as well as neighboring property owners the right of appeal
as specified within the Spokane County Zoning Ordinance and other applicable
procedures.
The Spokane County Planning Department agrees to release permits for construction
of your project when the terms as identified herein have been satisfied. Minor
adjustments- to the submitted site as required by the Planning Department or as
requested by your client, will be allowed when approved by the Zoning Adminis-
trator.

A INTRODUCTION
This matter having come before the Examiner Committee on January 10, 1980,
and the members of the Committee present being John Culler, Chairman, Kenneth
Kennedy and Paul Sceva, Jr , and there being the following persons present
who wish to request approval of a Zone Change, Mr. Keto, for a Zone
Reclassification, Agricultural to Commercial for the purpose of retail uses
B FINDINGS OF FACT
1 That the existing land use in the area is residential, K-Mart, and
undeveloped
2 That the Comprehensive Plan designates this area as appropriate for
agricultural, undeveloped or use under study
3 That the existing zoning of the property described in the application is
Agricultural
4 That the provisions of RCW 43 21C (The State Environmental Policy Act)
have been complied with
5 That the proper legal requirements for advertisement of the Agenda Item
have been fulfilled
6 That this proposal is not in conflict with the provisions of adopted regula-

The Hearing Examiner Committee, pursuant to the aforementioned, finds that the

II. ENVIRONMENTAL IMPACTS
1. (b,c,e) Overcovering and compaction will be required for con-
struction. A certain amount of topographic change may occur.
Wind and water erosion may also occur during construction.
The impacts should be minor.
2. (a) Additional commercial and vehicular activity may create
some air emissions but the effect on ambient air quality should
not be significant.
3. (b,h) Construction and paving may alter absorbtion rates and
drainage patterns to a slight degree. Use of septic tanks
may cause some deterioration in ground water quality.
4. (c) Landscaping will be completed as approved by the zoning
administrator.

Introduction: The State Environmental Policy Act of 1971, Chapter 43.21C, RC's, requires all state and local
governments agencies to consider environmental values both for their own actions and when licensing private
proposals. The Act also requires that an Envirormentai Impact Statement be prepared for all major actions
significantly (and "adversely", as per WAC 197-10) affecting the quality of the physical environment. The
purpose of this checklist is to help the agencies involved determine whether or not a proposal is such a
major action.
Please answer the following questions as completely as you can with the information presently available to
you. Please answer questions as "yes" or "maybe" if, in your opinion, even only slight impacts will result.
The reviewers of the checklist will be award of and concer themselves with the degree of imoact, asking you
for more information, if necessary. Where explanations of your answers are required, or where you believe
an explanation would be helpful to government decision-makers, include your explanation in the soace provided,
or use additional cages, if necessa r/. You should include references to any reports or studies of which you
are aware and which are relevant to the answers you provide. Complete answers to these ouestions now will

The following questions apply to your total proposal, not just to the license for which you are currently

II. ENVIRONMENTAL IMPACTS
1. (b,c,e) Overcovering and compaction will be required for con-
struction. A certain amount of topographic change may occur.
Wind and water erosion may also occur during construction.
The impacts should be minor.
2. (a) Additional commercial and vehicular activity may create
some air emissions but the effect on ambient air quality should
