Purpose ' The purpose of this association is to promote the health and general welfare of its members and in pursuance thereof, to construct, own and operate a swimming pool and otlier recreational facilities, together with such incidental objects as are appropriate in the conduct of its activities. 2. Location - The address of the association swimming pool is recorded as . 'Cimarron Drive at Riclgeview Drive, Spol:ane. The mailing address of the corporation is South 4028 Ridgeview Drive, Spokane; 6dashington, The mailing address may be changed at any time by a majority vote of the association members, provided that the new mailing address be the residence of a member of the association. . . ARTICLE II OFFICERS t • 1. Election to Office The officers shall consist of President, Vice-President, Secretary and Treasurer. They shall be elected at the annual membership meeting (Article VI:1). They shall hold office for one year. A vacancy shall be filled by majority vote at the next club meeting. 2. Duties (a). The President shall preside at all meetings of the . . members and of the Board. (k) Determine the annual,value of household membership. (1) Supervise the dissolution of the corporation when necessary (Article VIII). 3. Removal from Office (a) A member of the Board shall for.feit his office if he has failed to attend three consecutive meetings of the Board without excuse. The Board by majority opinion among themselves may ask any member to fill the-vacancy. (b) A director may be removed from his position at any meeting of ttie membership, of which he has specific notice, by a vote of a majority of the membership present. This shall be done by secret ballot. The membership shall then immediately vote for a new director, to be approved _ by a simple majority of those attending. . 4. Qualifications A club member may serve as a clirector but no officer other than the President shall serve as an officer of the club at the same time. No member of the Board of Directors is to receive any compensation for labor or services donated to the club. , -3- AR`I'IC'LL IV • ' MEMI3ERSHIP . ' 1. A9embers . (a) Full members: Each h-ousehold shall have one or two memb.ers as such may qualify. A mernber must be an adult living within tlie household. (b) Associate members: Those members other than full members, who reside at the home of a full member. These shall include children, relatives, and live-in liousehold gues ts and he lp . . , 2. Voting Privileges Each household sha11 have two votes regardless of ttze number of full members. Voting may be by written proxy. 3. Number of Members - The total number-of inemUers shall be limited to fifteen households. . 4. Application for Niembership . This shall be on a form supplied by the association, and submitted to the Secretary at any time. Secre-tary shall file application, writing an it date received. Application shall be signed by a sponsor (member.of the.association in good standing.)- 5. Election.to membership (a) -Declaring a vacancy: At any business meetin.g of the. association, the membership may declare that a vacancy exists, • or, if more than one, the number existing. This number of vacancies may be determined by oral vote if the vote is unanimous: If not, then a secret ballot must be cast, and the number of association vacancies existing will be determined by a majority vote of the total membership, not just those attending the meeting. (b) Mark of ballots: After (a) has been decided, there shall follow a period of one week for iiling of applications in addition to those already held by the Secretary. (This . wai't of one week may be eliminated by unanimous consent.) Then the Secretary shall, within three-days, notify the members in person, or by phone or mail, ot the names of the applicants. -4- There stial•1 follow five da.ys fo'r individual consideration of applicants. Before the end of this five days, the Secretary shall send . a list of the applicants to each rnember oL- the association, . along with an unmarked envelope. The voting member shall mark in tize box before each name a"yes" or ".no".indication whether that application is considered acceptable as a club member or not. . The voting member shall then seal the envelope, s.till un- marked.and place it inside a second envelope. This second envelope shall riave the voter's name written on the outside of it, and sha1J_ be returned to the Secretary within three days. . ~ . . (c) Absentee ballots: If a inembership election seems imminent, and a member expe'cts i:o be absent from home about that time (vacation, etc.) he should notify the Secretary and leave a forwarding-address if possible. Whether this is done or not, the Secretary shall make an effort to notify every member of candidates for election, and secure their ballots. Failing thi:s, the election of new members shall be postponed until every member can vote.. Abseni:ee voters may entrust another meriber of the club to deposit their envelopes with the Secretary. (u) Counting ballots: It shall be the business of the Secretary to determine that one envelope has been received from each member entitled to vote. . The Secretary sh.-.ll, withi.n a day or two, with the election committee and in their'presence, discard the outside, name- inscribed envelopes, and place the inncr, unmarked envelopes in a box iri sucn a way that none could be identified as having come from any particular.voter. . The committee sliall record the "yes" and "no" votes. An - applicant's.name shal*l be stricken.from the list the first time "no" is marked against it, and no further marks placed beside the name. The Secretary shall rnake a list of triose agplicants who have received unanimously favorable votes. Vacancies shall be filled from this list by order of date .of application, and according to the ntunber of vacancies declared existing. The Secretary shall send written notice to those families elected to membership. - . -5- 6. Residence Near Pool Membership'shall be restricted to those households whose - . property adjoins Ridgeview Drive as it exi'sts at the time of the adoption of these by-laws*and those households where.property adjoins the association proper_ty except as provided in Article IV:8. A member family that moves uw.ay from the neighborhood shall continue as associ.ation members if-they wish. 7. Plural Membership It is not impossible tlzat some one household may acquire other household interests as they are available, with the plan of becoming eventually sole owner of the pool, with. intent to dissolve the corporation. -Such a plan-is permissible, provided: (a) The members vote unanimous consent each time a house- hold interest is purchased by a household already holding one or more household.interests; (b) each housePiold holding more than one liousehold interest agrees that it has but two votes in any club business; (c) annual dues and club assessments are to be based upon the number of householcl interests. 8. Termination of P^.embership (a) Should a tiouseliold wisYi to witliaraw irom the club, one voting member of the houseYiold sha11 submit a written* resignation to the Board of Directors. ihis letter shall be dated when received and kept by the Secretary in the. club file. The withdrawing member shall then have tNe option to proceed as follows: . 1. The withdrawing menLbers, if he is selling his house, may sell his membershi.p with his house without offerinq it to any other part. 2. In the event the withdrawing member is neither selling his house nor the purchaser of his house if he is selling, wishes to purcliase tlie membership, the association sliall have the right to purchase it at an amount which the Board of Directors shall annually determiize to be the value of the membership, . or ttie Board of Directors may allow an approved applicant who would be the first eligible porson on the applicant list,to purchase at the price -G- determined. The Board oF Directors must act • either to purchase or to approve an applicant to purchase and said purchase made within ten . . (10) days from the dai:e of notice that.said membership is a.vailable to the Board or an available applicant. . 3. In the event the 13oard of Directors or an available applicant does not purchase said . interest within ten (10) days after receipt or . proper notice, the withdrawing members may sell to any household at any price.. b. Non-payment of dues or assessments: At the discretion of the Board, any member'and family loses all privileges at the time hebecomes financially in arrears, until dues or . assessments are brought current. (c) Misconduct: 'Serious unacceptab.le social beliavior should be brought to the attention of the Board of Directors, and they shall discuss the situati-on with the offender ( and his parents, if the offender is a-minor) , in a meeting of the Board called especially for.the purpose. The Board may im- pose restrictions. If, after three-such meetings to consider the same type oF.offense, the member continues to violate club . standards, the pcnalty may be the loss of privileges for that person for no more than the remainder of the season. ' ARTICLL V Monies l. Capital Contribution Each charter household shall have deposited with the.Treasurer $200.00 by April 1, 1974. an additional sum of $1,300.00 sYiall have been paid into the treasury by each household by . May 15, 1974. 2. Rnnual Dues Dues shall be payable monthly in advance, as determined by The Board. Pool privileges may be clenied any member family delinquent, until dues or assessments are paid. No portion of the dues.shall be refunded to any member for .any reason. . . -7- . 3. Special Assessments vo special assessments shall be le"vied against the membership unless specifically authorized by vote of the entire member- ship. Ii the amount involved is over $50.00, per household - ' annually, the approval must be by a two-t}zirds approval. 4. Expan,sion . ' No special assessments shall be levied against the member- ship for purposes of expansion unless specifically authorized-by a vote of the entire membership, in which . event the approval must be unanimous. 5. Surplus Fund Included in the budaet each year shall be funds set aside for future major repairs or replacEments. ARTICLE VI MEETINGS ' • 1. The Annual Membership Meeting shall.take pla'ce each year in the montri ot Fellruary at the home of any member-wlio volunteers to have the meeting. The secretary shall notify each memYjer of the annual meeting at least five days in advance. Business: Elect new officers arid new F3oard of Directors Receive committee reports and Treasurer's report A quorum shall consist of two-thirds of the members. 2. Board of Directors shall meet each year no later than , MarcYi 31. `1'he main business. at t}Iis meeting shall be discussion under-inclividual study after submission of it . by the Treasurer no later than the last day of January. The Board of Directors at this meeting'shall determine the annual dues. for ttie coming year. A quorum of four directors shall be necessary to transact business. • . ARTICLE VII STAIVDING C014MITTEES 1. `rhe Equipment Committee shall have supervision over the pool, grounas, ana equipmenL, and their improvemeni: and maintenance, and shall set up tlie pool cleaninq schedule. '1'he Vice- -8- President of the club shall be the chairman of this committee. 2'. The Schedule Comnittee sha11 s,rheuule particular events, such as club parties, private parties, swimming classes, scriool, etc. . 3. The.Pool Rules COITUTIlt tC.'G shall prepare rules of liealth and good conduct in connection with the operation of the pool. . 4.. The Nomination and Election Committee shall, before February 1 of each yEar, prepare a list of nominees of offices of the club as wEll as a]_ist for Director positions, and present the two listg to the Secretary. This committee shall also assist duringelection of new members to the club. . ARTICLL VIII . DISSOLUTION OF THE CORPORATION l. Ridgeview Recreation Association inay be dissolved and its affairs terminated voluntarily by the written request . of two-thir•ds of.t;ze members. Such request must be addresse3 to the directors and specify reasons why the termination of the affairs of the corporation is deemed advisable; and name three pcrsons, members of the corporation, to act in liquidatinn. They slzall then proceed accordirrg to Corporation Laws of the State of Washington, Chapter 24.04.090. . (a) The pool rnay be sold outright to any individual or. group of individuals. This shall be voted acceptable by two-thirds consent of voting members. (b) Should the pool not be sold; or acquired through mernbership holdings (Article IV:7), and the physical properties deteriorate so as to be prohibitively expensive to renovate, the equipment may be sold wherever possible, in whatever manner possiUle, and the remainder of the equipment scrapped. The pool site shall-then be covered with earth, andthe real estate. returned as nearly as possible to the state it was • when first purchased by the corporation. (c) The committee is empowered to levy any special - assessment necessary to pay for this procedure. Snould any monies remain in the treasury follovaing dissolution of the corporation, they shall be divicled among the remaining members', accorda.ng to the nuniber of lzousehold memberhsips held, not according to the number of voting rights. -9- . .
