of$594.00, the receipt of which is hereby acknowledged, convey(s) and grant(s) to the CITY OF

Iso SPOKANE VALLEY (City), a municipal corporation in the State of Washington and its assigns,
Grantee,a Utility Easement over, under,upon, and across the hereinafter described lands situated in
the City of Spokane Valley, County of Spokane, State of Washington:
For legal description and additional conditions, see Exhibit A attached hereto and made a
part hereof.
The Utility Easement as shown hereon is hereby granted to the City of Spokane Valley and its
authorized agents, and to the public for road purposes, including but not limited to traffic signal
conduit,junction boxes, pull boxes, and associated wiring and the installation and maintenance of
said signal equipment, and other uses deemed necessary by the City of Spokane Valley for the
safety and welfare of the Public. No objects will be placed in said Easement that would obstruct
the sight distance necessary for safe and efficient vehicular movement. Any other Easements '\
granted or dedicated within this Utility Easement,are subject to the City of Spokane Valley
approval prior to usage.
The Utility Easement and the agreements and duties provided for herein shall run with the land and
shall be binding on, and shall inure to the benefit of the parties referenced herein,their heirs,
successors and assigns.

The Grantee shall defend;indemnify,and hold the Grantor harmless from any and all claims,injuries,
damages, losses, or suits including attorney fees, arising out of negligent conduct of the City in
performance of the activities or operations performed by the City or arising out of issuance of this
easement, except for injuries and damages caused by the negligence of the Grantor.
The Utility Easement described herein shall run with the land. No modification of the boundaries of
said Utility Easement shall be made without the prior approval of the City.
