7.3 Other provisions LIQUIDATED DAMGES - The Contractor agrees to pay the Owner liquidated
damages, as hereiaafter provided. These liquidated damages are for the purpose vf aay
delay c'aused to, or intereference Witb the operatioas of, the~0ataer. The OWaer sAd the
ContZactor agree that sucb damage canaot be reasonably determiaed at this time. Sucb
damages are very difficult to accurately estimate because of numerous factors, includiag,
but not limited to, loss of good-will, loss of passenger ridership, aad iaconvenieace

forecast of all factors aow knowa and available for consideration relating to the delay

The Owner and Contractor agree that tbe'liquidated damagea provided for her,ein reflect
• poten'tial cost. The potential damage reflects additional cost, iacludiag the co9t of
time, delay, and interference vith efFicient operatioae. The liquidiated damagea apply
solely to delay aad interference in the Ovner'a operatioa and does aot apply to any
other event or damage vhicb may accrue uader the Coatract, including, but not limited
to, damage proximately cauaed by the Contractor ia the operatioa of its service.

The Contractor sutborizee the Ovaer, aay time sfter liquidated damages accrue and fiom
time to time thereafter to the fulleat extent petmitted bylaw, to set off and apply any
and all sums due aad o,ving to the Contractor at any time held by the Owner and/or accrued
under the Contract, irrespective of whether or not tbe Owner has made aay demaad under
the Contract. The Owner agrees to advfae the Codtractor of apy set off and applicatian made
by such Owner,,provided that the failure to give auch notification shall not affect the
