16-162.01 Spokane Valley Arts Council: Economic Dev Grant AMENDMENT TO THE OUTSIDE AGENCY GRANT AGREEMENT BETWEEN THE
CITY OF SPOKANE VALLEY AND SPOKANE VALLEY ARTS COUNCIL

For good and valuable consideration,the legal sufficiency of which is hereby acknowledged, City and the
Entity mutually agree as follows:
1. Purpose: This Amendment is for the Outside Agency Grant Agreement for economic development
services by and between the Parties, executed by the Parties on November 15, 2016, and which terminates
on December 31, 2017. Said agreement shall be referred to as the "Original Contract" and its terms are
hereby incorporated by reference. Total compensation under the Original Contract is not to exceed
$48,601.00.
-2. Original Contract Provisions: The Parties-agree to continue tb abide by those terms and conditions of
the Original Contract and any amendments thereto which are not specifically modified by this
Amendment.
3. Amendment Provisions: This Amendment is subject to the amended provisions set forth below. All
such amended provisions are hereby incorporated by reference herein and shall control over any
conflicting provisions of the Original Contract, including any previous amendments thereto.
Section 3 of the Original Contract is hereby amended as follows:
Entity shall use the funds received from City for economic development services solely for the
purposes and in accordance with the proposal submitted by Entity to the City and its presentation
to the City Council on September 21, 2016, with a modification to the monumental bronze
production to be produced from Rise of the Schitsu`Umsh to Coup Ponies as approved by City
Council on December 20, 2016, incorporated herein by reference. Entity shall perform the
services and work set forth in the proposal and presentation as modified and promptly cure any
failure in performance.
City has relied upon the representations made by Entity in the proposal and presentation. By
execution of this Agreement, Entity represents that the funds will be used for economic
development services in accordance with all current laws, rules, and regulations. No substitutions
of purpose or use of the funds shall be made without the written consent of the City. City shall
make decisions and carry out its other responsibilities in a timely manner.
4. Compensation Amendment History: This is Amendment #1 of the Original Contract. The history of
amendments to the compensation on the Original Contract and all amendments is as follows:
