the Managing Partner to be wrthin the scope of the authonty granted to hun by this Agreement and in
the best iaterests of the Partnerslup The Partnership and tbe Farmers shall indemmf'y and save

Transfer of Parteershm Intere.st
5 1 Deflmhon of the Term "Transfer"_ The term "transfer" sball refer to any disposiUon of a
Partnership mterest, whether voluntary or invoiuniary, inciudng but oot lunlted to sales, exchanges,
gifts, transfers, pledges, and transfers to legal representatives or suceessors at death, uicompetence or
dissotution An "involuntary iransfer" shall refer to any traasfer by operaUon of !aw to any person
other than the Partnersbip mcluding, but aot lmted to, a Partner's trustee m bankruptcy, pursuant to
a mantal property division, a purchaser m any credrtor's or court sa.le, or guardian or conservator of
an mcompetent Partner or a legal representative or sur,cessor of a de,ceased Partner A traasfer of a
Partnership wterest shall not result un the dLssoluUoa of the Partaerslup as to the remaining Partners

the Partnerslup Iu the event a Partner de.sires to transfer all or a portion of his Partnerstup interest to

right to purcbase the mter+est
The sellu~g Partner shall notify the Partners and the Parmership m wntuig, by registered mail
at the laiter's last kaown address, of such transfer, withdrawal, or offer and provide a copy of smd offer
The Partnersimp shall then be allowed ten (10) days from the date of receipt of the notice, not countmg
the day of receivmg the same, within which to elect m wnbng to acquire the interest, or to decline to do

(a) The Parmer makes an assigameat for the benef t of creditors, files a voluntary petiUon
in bankruptcy, or is adjudicated uisolvent or bankrupt,

any proceedmgs relahng to hunself or rtself uader any federal or state law relaUng to
bankruptcy, insolvency, reorganizatioa or similar laws,
(b) If any Partner has a proceeding commenced against hun or it relating to the appomtment
of a truste,e, hqwdator, or receiver, or pursuant to any proceedings under any federal or state
law relatuig to bankruptcy, insolvency, reorganization or sunilar laws, wluch proceeding is not
disnussed withm nmety (90) days after the filmg of such proceeduig,
(c) If any Partner suffers his or its mtere.st ui the Partnership to become subject to aoy
attachment, levy, execuUon, or other judicial seizure,
(d) If any Partaer fails to contnbute capital to the Partnership as provided in Paragraph 3 2
(e) If a Partner transfers bis or its uiterest m the Partnerstup in violation of Article V, or
(Q If aay Partner breaches or fails to perform any otber provision of this Agreement and
such breach or faAure is not cured wythin thirty (30) days after wntten notice
7 2 Bemedi Upon any Partner becoming a defaulring Parmer, the otlier Partaers by
unaumous agreement may
(a) Dmolve and ternainate the Partnership and offset agamst any amount to be distnbuted
to the defaulaag Partner the damages caused the Partnership by the defaultmg Partner,
(b) Elect to purchase the interest of the defaultmg Partner pursuant to Article V,
(c) Exercise the remedies provided ia ArUcle III for a failure to contnbute capytal
(ti) Pursue any remedy at law or w eqwty against the defaulting Partner
A defaul tuigPartner shall have no nght to vote upon or otberNnse panccipate m inanagement
of the Partnerslup, regardless of whether the remauimg Partners have commenced to exercne auy
available iaemedies
ARTICLE VIII
iaissQlLtQn and Te ination of the Partnershin
8 1 Dissolution The Partnership shall be deemed dissolved upon the occorrence of any of the
following events
(a) Expuabon of the Partnership term,
(b) The wnttea consent of eighty percent (80%) of the Partnerslup Umts,
(c) The bankruptcy of the Partnershup busuiess,
(d) The disposition of substantially aU of the Partnerslup assets
No Partner shall have ihe nght to d2ssolve the Partnership for any reason other than set forth above
or to vvithdraw froin the Partnerslup other than as set forth in Article VI
8 2 Wmdme Un the P_a ershin On any dissoluUon, the Partnership shall immediatrely
commence to wuid up rts affairs The Partners shall Gontmue to share profits and losses in the same
proporhons as before dissolution
Any Partnerslup asset dLstnbuted in kind in the hquidation shall be valued in accord with
the procedure descnbed ia Paragraph S 7 and treated as though the asset were sold and the cash
proceeds were distnbuted The dfference between the value of the Partnesship asset dismbuted ui kand

and its book value shall be treated as a gam or loss on sale of the Partnerslup asset and shall be credited
or charged to the Partners ui a pro rata manner Any agsets distnbuted m kuid shall be subject to aU
operaUag agreeraents or other agreements relating thereto wh.icb shall sumve the terminaUon of the
Partnership
The Partnership shaU dLstnbute the Partnerstup assets as follows
(a) To creditors, including Partners who are creditors, to the extent otherwue pernutted by
taw, m satLsfacUon of LabiLdes of the Partnership other than liabilrties for distnbution to
Partners as provided in Paragrapb 6 l,
(b) To Partners and former Partners in satLsfachon of babilhues for distnbutions under, aad
(c) To Partners first for the return of theu contnbuUons and secoadly, respeccung theu
PartnershYp uiterests, in the proporUons m which the Partners share distnbuUons
8 3 Terminatinn Upon the completion of the dissoluuon, wmding up, uqwdaUon, and
distnburion of the liqwdatioa proceeds or the assets not hqwdated, the Partnerstup shall ternunate
ARTICLE IX
Arbitratian
91 Occasions for Arbitratioe In the event of disputes amoag the Partners as to matters of
Partnerslup business, wluch caanot be resolved by a vote of the Partners in accord vnth Article 4 l, such
disputes shall be resolved by arbitration m accord vtinth the provislons of this Anccle aad the Partners
wmve their nght to praceed in courts of laws or equity as to these matters
9.2 Procedure In the event of such dispute as descnbed in the preceduig arttcle, the majonty
of the Partners, though less than necessary to control, shall agree vvithm thirty (30) days among
tbemselves and select an arbrtrator The minonty in interest of the Partners shall, w»thm a sunilar
period, sunlarly agree and select a different arbrtrator, and the two arbitrators so chosen shall select
a thud wnthui one week of their selecuon, and the three so chosen, by majonty vote, shall render a
de.cimon withm thurty (30) days, which decision shall be buiding on the parties and which decision may
be coafirmed w a court of law, if necessary, in accord wrth the provisions of RCW 7 04

true books of account on the cash basis of accountmg In such bootis tbere shall be entered fully and
accwately each transaction of the Partuerslup and such books of account shaU at a11 tunes be
mamt.amed at the principal place of business of the Partnerslup and shall be open to the reasonable
inspection and exariunauon of the Partners or theu duly authorized representatrves

10 3Rcports aod Tax ReitLrns Upon the request of any Partner, the Parmership shall supply
to such Partner a balance sheet, profit and toss statemenfi, cash dow statement and a report as to the
status of the occupancy of the Partnership properties and any other items wluch the Partnership shaU
coasider to be matenal Withn sixty (60) days after the end of each fiscal year, the Partaetslup shall
prepare or cause to be prepared and shall send to each person who was a Partner at any trme durmg the
year a balance sheet of the Partaershup as of the end of such fiscal year and statements of mcome and
expense, Partner's equrty and changes m finanoat posrUon for the year, a cash flow statement, and such
other and addiUonal reports as the Partnership shall deem relevant In additioa, the Partnership shall
prepare or cause to be prepared the Partnerslup tax return for the year ihea ended and shall cause it to
be filed wrth the Internal Revenue Servioe In addition, the Fartnership sha11 forward to each Partner
or to any person who was at any tnne duflng the year a Partner, such tax in.formatioa as shall be
neoessary for the preparanon by each Partner af hls federal income tax return, aad if necessary state

10 4 Tax Elections Wrth respect to sU methods of tax accountng of the Partnership, the
Partaership shau elect io use, so far as peimrtted by the provisions of the Iaternal Revenue Code of 1954

This Agreement shall be amended w afly respect upon the affirmative vote of seventy-6ve
percent (75%) of the Partnerslup Umts, provided however, wrthaut the consent of each Partner to be
adversely affected by the amendment, #he amendment shall not be amended so as to alter the intere.st
of a Pariner m the profits or losses or in the cash distnbutioas of the Partnership

As we have discussed in the past, portions of the recently constructed curb on the
northside of Valleyway, east of McDonald Road, do not provide for an ar.ceptable
cross-secbon From our research, conversations wrth Spokane County and field
surveys, this is the result of
1) Reconsbvction of Vaileyway, lowenng pavement elevations below those
wasting pnor to c:onstrucbon,
2) Porbons of the new curb bemg constructed higher than designed, and
3) New curb des+gn assuming type A mstead of type B curb and gutter
On June 19, 1992 a design was approved by Spokane County for the construcbon of
type B curb along the north side of Vaileyway between McDonald Road and a private
drive east of McDonald
This design was based on pavement elevaUons ewsbng prior to this date Spokane
Courrty had also prepared plans for the widernng of McDonald as well as the
replacement of a portion of Vaileyway Their curb return elevations at the east end of
the northeast curb return at McDonald and Vaileyway were used in the Vaileyway curb
design Spokane County plans did not mclude elevafions for the replacement of
Valleyway
According to Spokane County, paving of McDonald Road and Valleyway was
completed the flrst week of August 1992 Also, per Spokane County, the Inland
Engineenng 0 Plonning • Surveying 0 Environmenfal Anolysis
Pacific Engineenn8 approved design for Valleyway was not constructed, instead the
pavement was replaosd using a strsught grade between the constructed curb retum
and a sawcut jomt some 100 to 150 feet east This change m the pavement elevabons
voided the approved design Spokane County did not notify Inland Paofic Engineering
of this so curb plans could be revised
in April 1993 a permrt was issued and the Valleyway curb was constructed m
c~ accor d a n c e w i dh ~ e a p p r o v e d ( n o w o b s o l e t e) p l a n s

We are eager to resolve this matter as soon as possible Mornes are bemg wdhheld
as secunty to complete the pavmg and sidewalk adjaoent to the subject curb
Therefore we would like to propose the following soluflon
1) Remove the ewsting Valleyway curb between station 0+60 (ten(10) feet
east of ewsting curb retum), and statron 2+ 00
2) Accept the remmning curb between stabon 2+00 to an ewsting curb
retum at stabon 2+73 53 Port,ons of this area would have cross slopes
(firom edge of pavement to curb edge) less than 296, 1 ej

3) Replace the curb from 0+60 to 2+Q0 per the new curb calculafions

cross drairnng from the north side of Velleywey to the south side

This solution would require the removal and replac;emerrt of approximately 140 feet of
type B curb
Finally, we would like to propose that the cost be equally shared by the county,
engmeer and curb oontractor We believe this to be a faur arrangement and would
~ ~,hope the Courrty and contractor would agree
Related, but separate, pavement at the end of the subject curb retum has left a 7 to
8 inch curb exposure This will require an oveday in order to properiy transiton from
the County's type A to type B curb on Valleyway
