For good and valuable consideration,the legal sufficiency of which is hereby acknowledged,City and the
Infrastructure Management Services,LLC(IMS)mutually agree as follows:
1. Purpose: This Amendment is for the Contract for services related to developing the City's pavement
management long-term scenarios analysis by and between the Parties,executed by the Parties on May 18,
2017,and which terminates on December 31,2017. Said contract shall be referred to as the"Original
Contract"and its terms are hereby incorporated by reference. Total compensation under the Original
Contract is not to exceed$73,190.00.
2.Original Contract Provisions:The Parties agree to continue to abide by those terms and conditions of
the Original Contract and any amendments thereto which are not specifically modified by this
Amendment.
3.Amendment Provisions:This Amendment is subject to the following amended provisions,which are
either as follows,or attached hereto as Appendix"A". All such amended provisions are hereby
incorporated by reference herein and shall control over any conflicting provisions of the Original
Contract,including any previous amendments thereto.
Paragraph 2 extending the contract end date.
Paragraph 3 increasing the total compensation due under the contract.
4.Compensation Amendment History: This is Amendment#2 of the Original Contract. The history of
amendments to the compensation on the Original Contract and all amendments is as follows:

APPENDIX"A"
1. Paragraph 3 (Compensation)of the Original Contract is hereby amended to change the total
compensation paid from$75,910.00 to$90,910.00. Paragraph 3 of the Original Contract is amended
to read as follows: City agrees to pay Consultant$90,910.00,(which includes Washington State
Sales Tax if any is applicable)as full compensation for everything done under this Agreement,as set
forth in Exhibit B. Consultant shall not perform any extra,further,or additional services for which it
will request additional compensation from City without a prior written agreement for such services
and payment therefore.
The City agrees to pay up to$90,910.00 as full compensation for everything furnished and done
under this contract, in accordance with the provisions outlined in the scope of work,as previously
and/or presently amended.
2. The Scope of Work,(Exhibit 1)of the Original Contract, is hereby amended to include the following
additional tasks and/or services:
Consultant/Contractor shall complete the following:
A. Update the data provided as part of Contract Amendment#1 to capture 2017 survey data of the
City's roadway network.The assessment will be arrived at using open source technical materials
relating to the configuration of garbage and recycling trucks,and then applied to the Spokane
Valley roadway network.The final results can then be used as a basis for discussions with local
service providers.Delivery of this task to be completed by January 10,2018.
B. Provide pavement preservation scenario analysis based on configuration of parameters used to
evaluate the current and future network conditions and the applicable projected budgeting
impacts.The scenario analysis will be a coordinated effort based on agreeable parameter
manipulation to depict various network condition and budget outcomes.Delivery of this task
shall be ongoing and completed by January 31, 2018.
3. Paragraph 2(Term of the Contract)of the Original Contract is hereby amended to change the
completion date from December 31,2017 to December 31,2018. Paragraph 2 of the Original
Contract is amended to read as follows:This Agreement shall be in full force and effect upon
execution and shall remain in effect until completion of all contractual requirements have been met as
determined by City. Consultant shall complete its work by December 31,2018,unless the time for
performance is extended in writing by the Parties. Either Party may terminate this Agreement for
material breach after providing the other Party with at least 10 days' prior notice and an opportunity
to cure the breach. City may,in addition,terminate this Agreement for any reason by 10 days'notice
to Consultant. In the event of termination without breach,City shall pay Consultant for all work
previously authorized and satisfactorily performed prior to the termination date.
