Rambo, for and in consideration of mutal benefit, and other valuable consideration, the receipt of which is hereby acknowledged, grant(s) to the CITY OF SPOKANE VALLEY (City), a municipal corporation in the State of Washington, a Drainage Easement over, under, upon, and across the hereinafter described lands situated in the City of Spokane Valley, County of Spokane, State of Washington: For legal description and additional conditions, see Exhibit A and B attached hereto and made a part hereof. This Drainage Easement granted to the City and its authorized agents is for the sole purposes of allowing construction, maintenance, and use of the easement area for public roadway storm water treatment, storage, conveyance, and infiltration. The Grantor(s) shall provide continuous vehicle and truck access to the above-described lands to the City in order to construct, maintain, clean, repair, and replace drainage appurtenances at the will and pleasure of the City. The City accepts complete and total responsibility for the construction and perpetual maintenance of the storm water facilities located within said Drainage Easement. The City shall defend, indemnify, and hold the Grantor harmless from any and all claims, injuries, damages, losses, or suits including attorney fees, arising out of negligent conduct of City in performance of the activities or operations performed by the City or arising out of issuance of this easement, except for injuries and damages caused by the negligence of the Grantor. The Drainage Easement described herein shall run with the land. No modification of the boundaries of said Drainage Easement shall be made without the prior approval of the City.
