18-083.00 SV Chamber of Commerce: Business Showcase iS-(753 vGREATER SPOKANE VALLEY CHAMBER OF COMMERCE Exhibitor Agreement—The Business Showcase Rules&Regulations Exhibit Hours:The Greater Spokane Valley Chamber of Commerce(the Chamber)shall determine and publicize the exhibit hours. Exhibitors will be admitted to the Mirabeau Park Hotel (the Facility)two (2)hours prior to show opening time. Spaces will be ready for exhibitor move-in at noon,Thursday, May 10, 2018. Exhibits must be in place no later than 1:30 p.m. Exhibits cannot be dismantled until Thursday, May 10, 2018 at 6:30 p.m. At this time, exhibitors are expected to remove all items from their exhibit space, unless they receive written prior approval by the Chamber.The Chamber reserves the right to restrict exhibitor participation in future shows if this policy is violated. Payment and Terms: Exhibit space fees and payment is expected and due prior to move-in at the show at noon, Thursday, May 10, 2018. If Exhibitor fails to pay the entire exhibit fee prior to move-in, or fails to comply with any of the terms and conditions or rules and regulations, the Chamber may reassign or resell the exhibit space to another party. If the show is cancelled or not held for any reason whatsoever, this agreement shall be cancelled. Exhibitor's sole and exclusive remedy shall be to receive a/fund of all amounts actually paid. Cancellation of Exhibit Space: All cancellations must be in writing. Exhibit fees may be fully refunded with written cancellations received before April 24, 2018. Refunds will not be issued after April 24, 2018. Booth Assignment: The Chamber will make every attempt to assign Exhibitors their preferred exhibit space as available; however, the Chamber reserves the right to make a final determination of all space assignments. Exhibit spaces are assigned on a first-come, first-serve basis. The Chamber will have no liability for its failure or inability to comply with the Exhibitor's requests, and the Exhibitor shall have no right to cancel this contract due to such failure. Subletting of Exhibit Space: Exhibitor may not assign this contract and may not permit or sublet any part of its assigned exhibit space for use by any other business or firm, unless the Chamber has provided written approval. Exhibit Content: The Business Showcase is designed to provide a showcase of goods and services for business and professional industries.The Exhibitor may not, under any circumstances, display or promote goods or services other than its own goods and services.The Chamber reserves the right to refuse rental of space to any company whose display of goods and services is not, in the opinion of the Chamber, compatible with the general character and objectives of the show. Only one company is permitted to occupy each booth space, unless an equal number of adjoining exhibit spaces are purchased. Exhibit Space Packages: Exhibitors are responsible for providing their own company signage. Banners, signage, easels and any and all exhibitor items and decorations are to be displayed within the confines of the rented exhibit space as defined below: • Exhibit Booth/Corner Booth Spaces(5'x7') includes an 8' high pipe and drape back wall, 3' high pipe and drape side walls, a 6' clothed, skirted table, two padded chairs. • Display Table Space(5'x8') includes an 8' high pipe and drape back wall, a 6' clothed, skirted table and one padded chair. Property Loss or Damage: The Chamber shall not be responsible for any loss of or damage to any property of Exhibitor or of its personnel, representatives, agents, employees, contractors, patrons, guests, licensees or invitees. Exhibitor's property shall remain under their custody and control in any transit to and from the Facility and within the confines of the Facility. Neither the Chamber, nor its service contractors, nor the Mirabeau Park Hotel, nor any of the officers, staff members or directors of any of the same are responsible for the loss or damage to property of Exhibitors or of its exhibit space personnel, representatives, agents, employees, contractors, patrons, guests, licensees or invitees from theft, fire, accident, vandalism or any other cause and Exhibitor expressly waives and releases any claim or demand against any of them by reason of any damage to or loss of any property. Exhibitor shall be solely responsible for the loss of or damage to any property of Exhibitor's personnel, including but not limited to Exhibitor's personnel, representatives, models, demonstrators, and actors. Accordingly, it is the Exhibitor's responsibility to secure its own insurance or otherwise protest itself and its property and the property of its exhibit space personnel against loss or damage. Indemnification: Exhibitor hereby assumes responsibility for and agrees to indemnify, save and hold harmless, the Greater Spokane Valley Chamber of Commerce, their managers, officers, directors, members, sponsors, employees, agents, and assigns, and the Mirabeau Park Hotel, and their managers, officers, directors, members, sponsors, employees, agents, and assigns from and against any loss, damage, claim, including a breach of these rules and regulations, liability and expense(including reasonable attorneys' fees), including personal injury, including death resulting therefrom, or property damage or loss, arising out of or in connection with Exhibitor's participation in the 2017 Business Showcase, except Exhibitor is not responsible to indemnity for the indemnity's gross negligence or willful misconduct. Exhibitor understands that neither the Chamber nor the Spokane County Fair&Expo Center, maintains insurance covering the Exhibitor's property and it is the sole responsibility of the exhibitor to obtain such insurance. Commercial General Liability Insurance: Commercial General Liability Insurance is mandatory for all exhibitors. Exhibitors are required to carry commercial general liability insurance, including products and completed operations, contractor's personal injury, and blanket contractual liability insurance at limits of at least$1,000,000 per occurrence/$2,000,000 aggregate. Certificate of Insurance must state the following: Coverage Period: "May 10, 2018 to include move in and move out" Certificate Holder: Greater Spokane Valley Chamber of Commerce, 1421 N Meadowwood Ln, Ste 10, Liberty Lake WA 99019. WCIA has at least $1 million per occurrence limit of liability coverage in its self insured layer that may be applicable in the event an incident occurs that is deemed to be attributed to the negligence of the member. WCIA was created by an interlocal agreement among public entities and liability is self funded by the membership.
