The Grantors, SPW/DIST, LLC, a Delaware limited liability company, for and in
consideration of-fin Do conveys and grants unto the City of Spokane Valley, a municipal
corporation of State of Washington, and its assigns, Grantee, under the imminent threat of the
Grantee's exercise of its right of Eminent Domain,the right,privilege and easement over,upon,
and across the hereinafter described lands for the purpose of constructing a driveway
approach.
The temporary rights herein granted shall terminate on ahcn 7 202S-
Said lands being situated in Spokane County, State of Washington, and described as
follows:

TEMPORARY EASEMENT
The City shall defend, indemnify, and hold the Grantor harmless from any and all claims,
injuries, damages, losses, or suits including attorney fees, arising out of the negligent conduct
of City performance of the activities or operations performed by the City or arising out of
issuance of this easement, except for injuries and damages caused by the negligence of the
Grantor.
It is understood and agreed that delivery of this temporary easement is hereby tendered and that
the terms and obligations hereof shall not become binding upon the City of Spokane Valley
unless and until accepted and approved hereon in writing for the City of Spokane Valley,by its
authorized agent.
