20-041.03 Amento Group: City Hall InspectionsCONTRACT AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF SPOKANE VALLEY AND AMENTO GROUP Spokane Valley Contract # 20-041.03 For good and valuable consideration, the legal sufficiency of which is hereby acknowledged, City and the Amento Group mutually agree as follows: 1. Purpose: This Amendment is for the Contract for the inspections of City Hall by and between the Parties, executed by the Parties on February 10, 2020, and which terminates on December 31, 2021. Said contract is referred to as the "Original Contract" and its terms are hereby incorporated by reference. 2.Original Contract Provisions: The Parties agree to continue to abide by those terms and conditions of the Original Contract and any amendments thereto which are not specifically modified by this Amendment. 3. Amendment Provisions: This Amendment is subject to the following amended provisions, which are either as follows, or attached hereto as Appendix "A". All such amended provisions are hereby incorporated by reference herein and shall control over any conflicting provisions of the Original Contract, including any previous amendments thereto. 4. Compensation Amendment HistorX: This is Amendment #3 of the Original Contract. Paragraph 3 (Compensation) of the Original Contract is hereby amended to change the total compensation paid from $60,000.00, to $90,000.00. Paragraph 3 of the Original Contract is amended to read as follows: City agrees to pay Consultant an awted upon hourly rate!lp to a maximum amount of $90,000,00, plus reimbursable costs as full compensation for ever lt�ung done under this Agreement, as set forth in Exhibit A. Reimbursable Expenses are in addition to compensation for Basic and Additional Services and include expenses incurred by Amento Group and Amento Group's employees and consultants m the interest of the Project. Reimbursable costs shall include the following: A. Expense of transportation in connection with the Project reimbursable at the rate charged by Amento Group; paid parking at jobsite; expenses in connection with authorized out-of-town Navel, if applicable; and fees paid plus 15% markup for securing_ approval of authorities having jurisdiction over the Project or any other vendor invoice paid by Amento Group on behalf of the City. B. Expense of in-house reproductions, special exhibit and chart printing and supplies; equipment rental; po e, express deliveries, and handling and/or printing or reproduction of Drawings, SSpecitications and other documents. C. Expense of additional insurance coverage or limits requested by the City in excess ofthat normally carried by Amento Group. Consultant shall not perform any extra, further, or additional services for which it will request additional compensation from City without a prior written agreement for such services and payment therefore The City agrees to pay up to $90,000.00 plus expenses as full compensation for everything furnished and done under this contract, in accordance with the provisions outlined in the scope of work, as previously and/or presently amended. 2. Communication and Coordination: Communicate and coordinate with Project Representatives regarding report and schedule. Communicate and coordinate with Consultants regarding report coordination, review, and planning. Meet with Project Representatives and Consultants as needed. 2. Review Project Documentation: Review pertinent documents relative to building information and materials associated with report. 3. Research: Conduct product research as needed. 4. Report: Prepare Building Condition Assessment Report, including observations, findings, and preliminary scope of repair. Compile and integrate Consultants' reports into Building Condition Assessment Report. This is a budget. Actual time will be invoiced on an hourly basis. Notes: 1. Architectural and Construction Management Services: Additional planning steps and services might be required for this Project, including architectural and construction management services. These services will be further determined once the building condition assessment, preliminary scope of repair, and ROM pricing are complete. The insurance provided to such governmental entity does not apply to: a. Any "bodily injury", "property damage" or "personal and advertising injury" arising out of operations performed for the governmental entity; or b. Any "bodily injury" or "property damage" included in the "products -completed operations hazard". J. INCIDENTAL MEDICAL MALPRACTICE 1. The following replaces Paragraph b. of the definition of "occurrence" in the DEFINITIONS Section: b. (2) An adjustment for depreciation and physical condition will be made in determining actual cash value in the event of a total "loss". AIRBAGS The following is added to Paragraph B.3., Exclu- sions, of SECTION III — PHYSICAL DAMAGE COVERAGE: Exclusion 3.a. does not apply to 'loss" to one or more airbags in a covered "auto" you own that in- flate due to a cause other than a cause of "loss" set forth in Paragraphs A.1.b. and A.1.c., but only: a. If that "auto" is a covered "auto" for Compre- hensive Coverage under this policy; b. The airbags are not covered under any war- ranty; and c. The airbags were not intentionally inflated. We will pay up to a maximum of $1,000 for any one 'loss". L. AUTO LOAN LEASE GAP The following is added to Paragraph A.4., Cover- age Extensions, of SECTION III — PHYSICAL DAMAGE COVERAGE Auto Loan Lease Gap Coverage for Private Passenger Type Vehicles In the event of a total 'loss" to a covered "auto" of the private passenger type shown in the Schedule or Declarations for which Physical Damage Cov- erage is provided, we will pay any unpaid amount due on the lease or loan for such covered "auto" less the following: (1) The amount paid under the Physical Damage Coverage Section of the policy for that "auto"; and COMMERCIAL AUTO (2) Any: (a) Overdue lease or loan payments at the time of the 'loss'; (b) Financial penalties imposed under a lease for excessive use, abnormal wear and tear or high mileage; (c) Security deposits not returned by the les- sor; (d) Costs for extended warranties, Credit Life Insurance, Health, Accident or Disability Insurance purchased with the loan or lease; and (e) Carry-over balances from previous loans orleases. M. BLANKET WAIVER OF SUBROGATION The following replaces Paragraph A.6., Transfer Of Rights Of Recovery Against Others To Us, of SECTION IV — BUSINESS AUTO CONDI- TIONS: 6. Transfer Of Rights Of Recovery Against Others To Us We waive any right of recovery we may have against any person or organization to the ex- tent required of you by a written contract exe- cuted prior to any "accident" or 'loss", pro- vided that the "accident' or "loss" arises out of the operations contemplated by such con- tract.
