20-024.01 Northwest Winterfest: Lodging Tax Grant CONTRACT AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF
SPOKANE VALLEY AND NORTHWEST WINTERFEST

For good and valuable consideration,the legal sufficiency of which is hereby acknowledged,City and the
Entity mutually agree as follows:
1.Purpose:This Amendment is for the Tourism Promotion Agreement for tourism promotion by the Entity
in Spokane Valley, by and between the Parties, executed by the Parties on March 3, 2020, and which
terminates once all funds expended by Entity are reimbursed. Said contract is referred to as the"Original
Contract"and its terms are hereby incorporated by reference.
2.Original Contract Provisions:The Parties agree to continue to abide by those terms and conditions of the
Original Contract and any amendments thereto which are not specifically modified by this Amendment.
3.Amendment Provisions:This Amendment is subject to the following amendments:
Section 8 is hereby amended as follows: Payment. City shall reimburse Entity periodically upon
presentation of an invoice to City. Entity shall be responsible for providing written evidence
demonstrating that the City funds were used for tourism promotion. Qualified expenditures shall
be incurred expended in calendar year 2020 and paid by Entity no later than January 15,2021. awl
the-City shall not reimburse any expenditures incurred made prior to or after calendar year 2020 or
paid after January 15,2021. The proof of expenses and payment shall be forwarded to the Finance
Director at the below stated address no later than January 4421 2021.
City reserves the right to withhold payment of funds under this Agreement which is determined in
the reasonable judgment of the City Manager or his designee to be noncompliant with the scope of
work,City standards,and City ordinances,or federal or state law.
All such amended provisions are hereby incorporated by reference herein and shall control over any
conflicting provisions of the Original Contract,including any previous amendments thereto.
4.Compensation Amendment History:This is Amendment#1 of the Original Contract. The compensation
amount set forth in the Original Contract is not being amended as part of this Amendment.
The parties have executed this Amendment to the Original Contract this 4-- day of January,2021.
