Box 85 Newman Lake, WA 99025 Re: Implementation of fourth year renewal option and agreement to implement fourth year option in 2022 due to ongoing COVID-19 pandemic, Agreement for Crave! Food and Drink Festival, Contract No. 17-020. Dear Tom: The City executed an Agreement for provision of marketing services related to Crave! on March 6, 2017, by and between the City of Spokane Valley, hereinafter "City", and Vision Marketing, and as assigned in 2018 to JAKT Foundation, hereinafter"Contractor" and jointly referred to as "Parties." The original Agreement states that it was for one year, with four optional one-year terms possible if the parties mutually agree to exercise the options each year. The City has since exercised three of the four possible option years since the original agreement in 2017. The City desires to exercise the fourth option year. However, in 2020, the world was drastically affected by the ongoing COVID-19 pandemic. In Washington State, the Governor has issued several proclamations and orders significantly impacting gatherings and events such as Crave! Given the uncertainty surrounding the COVID-19 pandemic and possible governmental limitations and public health and safety issues of conducting Crave! during a pandemic, the Parties agree that it is in their best interests to utilize the services for the fourth option year in 2022 instead of 2021. By signing this letter, the Parties agree to exercise the fourth option year in 2022 and that no services under the Agreement will be required or paid for in 2021. By signing this letter, the Parties agree the Agreement shall terminate on December 31, 2022. The Compensation for services in the fourth option year in 2022 as outlined the Agreement, shall not exceed $50,000. In the event the Consultant enters into a grant award agreement with the City for a different amount of lodging tax revenue funding for 2022, the City shall directly pay such amount pursuant to this option year renewal so that the total Compensation of combined lodging tax revenue and direct payment pursuant to this agreement is equal to $50,000. The history of the annual renewals and dollar amounts, including the amounts for this option year renewal is set forth as follows: 2017 Original contract amount $50,000 2018 Renewal (1st) $20,000 in City funds plus $30,000 in lodging tax revenue via LTAC grant contract#18-025. 2019 Renewal (2"d) $28,500 in City funds plus $21,500 in lodging tax revenue via a LTAC grant, contract#19-012. 2020 Renewal (3`d) $ City shall pay such amount so that the total of lodging tax and direct compensation equals $50,000. Currently,the Parties anticipate these amounts to be $31,400 in City funds plus $18,600 in lodging tax revenue via a LTAC grant, as approved by City Council on December 10,2019. 2021 —Renewal (4th year delayed until 2022) $0 2022 —Renewal (4th) $ City shall pay such amount so that the total of lodging tax and direct compensation equals $50,000. All of the other contract provisions contained in the original Agreement shall remain in place and remain unchanged if both parties agree to exercise the fourth optional one- year term for 2022. Nothing herein shall preclude Consultant from applying for and using lodging tax funds in 2021 for any purpose.
