21-061.00 Winston & Cashatt Lawyers: Bankruptcy Issues Contract No.21-061 AGREEMENT FOR PROFESSIONAL SERVICES Winston& Cashatt Lawyers THIS AGREEMENT is made by and between the City of Spokane Valley,a code City of the State of Washington,hereinafter"City"and Winston&Cashatt Lawyers,hereinafter"Lawyers,"jointly referred to as"Parties." IN CONSIDERATION of the terms and conditions contained herein,the Parties agree as follows: 1. Work to Be Performed. Lawyers shall provide legal services to the City pursuant to the Scope of Services,attached as Exhibit A. A.Administration. The City Manager or designee shall administer and be the primary contact for Lawyers. Prior to commencement of work,Lawyers shall contact the City Manager or designee to review the Scope of Services and anticipated work schedule. Upon notice from the City Manager or designee, Lawyers shall commence legal services,perform the requested tasks in the Scope of Services, and stop providing their legal services as required under this Agreement. B. Representations. City has relied upon the qualifications of Lawyers in entering into this Agreement. By execution of this Agreement,Lawyers represent they possess the ability,skill,and resources necessary to perform the legal services and are familiar with all current laws,rules,and regulations which reasonably relate to the Scope of Services. No substitutions of agreed-upon personnel shall be made without the prior written consent of City. Lawyers represent that the compensation as stated in paragraph 3 is adequate and sufficient for the timely provision of all professional services required to complete the Scope of Services under this Agreement. Lawyers shall be responsible for the technical accuracy of their services and documents resulting therefrom,and City shall not be responsible for discovering deficiencies therein. C. Standard of Care. Lawyers shall exercise the degree of skill and diligence normally employed by attorneys licensed in the state of Washington, engaged in the same profession, and performing the same or similar services at the time and location such services are performed. D. Modifications. City may modify this Agreement and request changes in the legal services whenever necessary or advisable. Lawyers shall accept modifications when requested in writing by the City Manager or designee,so long as the additional services are within the scope of Lawyers' area of practice, and within the bounds of the Rules of Professional Conduct. Compensation for such modifications or changes shall be as mutually agreed between the Parties. 2. Term of Contract. This Agreement shall be in full force and effect upon execution and shall remain in effect until completion of all contractual requirements have been met as determined by City, or unless otherwise agreed to by the Parties, subject to the Rules of Professional Conduct. Either Party may terminate this Agreement for material breach after providing the other Party with at least 10 days'prior notice and an opportunity to cure the breach. City may,in addition,terminate this Agreement for any reason by 10 days' written notice to Lawyers. Agreement for Professional Services Winston&Cashatt Page 1 of 8 Contract No.21-061 3. Compensation. City agrees to pay Lawyers an agreed upon hourly rate up to a maximum amount of $25,0000 per year as full compensation for legal services provided under this Agreement, as set forth in Exhibit B. Lawyers shall not perform any extra,further,or additional legal services for which it will request additional compensation from City without a prior written agreement for such services and payment therefore. City also agrees to pay and/or reimburse Lawyers for any and all costs incurred by Lawyers in performance and furtherance of the legal services provided to the City pursuant to the Scope of Services. 4. Payment. Lawyers shall be paid monthly for their attorneys' fees and costs incurred upon presentation of an invoice to City. Applications for payment shall be sent to the City Finance Department at the below- stated address. City reserves the right to withhold payment under this Agreement for that portion of the work(if any)which is determined in the reasonable judgment of the City Manager or designee to be noncompliant with the Scope of Services,City standards,City Code,and federal or state standards. 5.Notice. The Parties,in the performance of this Agreement,agree to comply with all applicable federal, state, and local laws and regulations. Lawyers state that their documents and legal services shall conform to all federal, state,and local statutes and regulations. 7. Certification Regarding Debarment, Suspension, and Other Responsibility Matters — Primary Covered Transactions. A.By executing this Agreement,the Lawyers certify to the best of their knowledge and belief that it and its principals: 1. Are not presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from covered transactions by any federal department or agency; 2. Have not within a three-year period preceding this proposal been convicted of or had a civil judgment rendered against them for commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (federal, state, or local) transaction or contract under a public transaction; violation of federal or state antitrust statutes or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records,making false statements,or receiving stolen property; 3. Are not presently indicted for or otherwise criminally or civilly charged by a governmental entity (federal, state, or local) with commission of any of the offenses enumerated in paragraph(A)(2)of this certification; and Agreement for Professional Services Winston&Cashatt Page 2 of 8 Contract No.21-061 4. Have not within a three-year period preceding this application/proposal had one or more public transactions(federal,state,or local)terminated for cause or default. B. Where the prospective primary participant is unable to certify to any of the statements in this certification,such prospective participant shall attach an explanation to this Agreement. 8.Relationship of the Parties. It is understood and agreed that Lawyers shall be independent contractors and not agents or employees of City,that City is interested in only the results to be achieved, and that the right to control the particular manner, method, and means in which the services are performed is solely within the discretion of Lawyers. Any and all employees, contractors and/or agents who provide services to City under this Agreement shall be deemed employees, contractors, and/or agents solely of Lawyers. The Lawyers shall be solely responsible for the conduct and actions of all its employees,contractors and/or agents under this Agreement and any liability that may attach thereto. 9. Ownership of Documents. All documents prepared by Lawyers under this Agreement, except for any attorney work product and/or attorney-client privileged communication of Lawyers, are and shall be the property of City,and may be subject to disclosure pursuant to chapter 42.56 RCW or other applicable public record laws. City shall be permitted to retain these documents, for the City's use. City shall have unrestricted authority to publish, disclose, distribute, and otherwise use, in whole or in part, any such documents prepared under this Agreement, provided that Lawyers shall have no liability for the use of Lawyers' work product outside of the scope of its intended purpose. 10. Records. Subject to the Attorney-Client Privilege, the Attorney Work Product rule, and the Rules of Professional Conduct,the City shall have access to and the right to examine during normal business hours the City's files and records of the Lawyers,but only with respect to the matters and legal services covered in this Agreement. Such representatives shall be permitted to audit, examine,make excerpts or transcripts from such records, and to make audits of all contracts, invoices, materials,payrolls, and record of matters covered by this Agreement for a period of three years from the date final payment is made hereunder. Subject to the Attorney-Client Privilege, the Attorney Work Product rule, and the Rules of Professional Conduct, the City may authorize Lawyers in writing to allow the State Auditor the same access and right to examine during normal business hours the City's files and records of the Lawyers,but only with respect to the matters and legal services covered under this Agreement. The Parties understand that Lawyers make use of Electronic Storage, and agree to its use. 11. Insurance. Lawyers shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the legal services hereunder by Lawyers, their agents, representatives, employees, or contractors. A. Minimum Scope of Insurance. Lawyers' required insurance shall be of the types and coverages as stated below: 1. Automobile liability insurance covering all owned, non-owned, hired, and leased vehicles. Coverage shall be at least as broad as Insurance Services Office(ISO) form CA 00 01. 2.Commercial general liability insurance shall be at least as broad as ISO occurrence form CG 00 01 and shall cover liability arising from premises,operations,stop-gap independent Agreement for Professional Services Winston&Cashatt Page 3 of 8 Contract No.21-061 contractors and personal injury, and advertising injury. City shall be named as an additional insured under Consultant's commercial general liability insurance policy with respect to the work performed for the City using an additional insured endorsement at least as broad as ISO CG 20 26. 3. Workers' compensation coverage as required by the industrial insurance laws of the State of Washington. 4.Professional liability insurance appropriate to Lawyer's profession. B.Minimum Amounts of Insurance. Lawyer shall maintain the following insurance limits: 1. Automobile liability insurance with a minimum combined single limit for bodily injury and property damage of$1,000,000 per accident. 2. Commercial general liability insurance shall be written with limits no less than $2,000,000 each occurrence,and$2,000,000 general aggregate. 3. Professional liability insurance shall be written with limits no less than$2,000,000 per claim and$2,000,000 policy aggregate limit. C.Other Insurance Provisions. The Lawyers'policies are to contain,or be endorsed to contain,the following provisions for automobile liability and commercial general liability insurance: 1. Lawyers' insurance coverage shall be primary insurance with respect to the City. Any insurance, self-insurance, or self-insured pool coverage maintained by City shall be in excess of Lawyers' insurance and shall not contribute with it. 2. Lawyers shall provide City and all additional insured for this work with written notice of any policy cancellation within two business days of their receipt of such notice. 3.If Lawyers maintain higher insurance limits than the minimums shown above,City shall be insured for the full available limits of commercial general and excess or umbrella liability maintained by Lawyers, irrespective of whether such limits maintained by Lawyers are greater than those required by this Agreement or whether any certificate of insurance furnished to the City evidences limits of liability lower than those maintained by Lawyers. 4. Failure on the part of Lawyers to maintain the insurance as required shall constitute a material breach of the Agreement, upon which the City may, after giving at least five business days' notice to Lawyers to correct the breach, immediately terminate the Agreement, or at its sole discretion,procure or renew such insurance and pay any and all premiums in connection therewith, with any sums so expended to be repaid to City on demand, or at the sole discretion of the City, offset against funds due Lawyers from the City. D.Acceptability of Insurers. Insurance is to be placed with insurers with a current A.M.Best rating of not less than A:VII. As evidence of the insurance coverages required by this Agreement, Lawyers shall furnish the City with original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the Agreement before commencement of the legal services. 12.Indemnification and Hold Harmless. Lawyers shall,at its sole expense,defend,indemnify,and hold harmless City and its officers, agents,and employees, from any and all claims,actions, suits,liability,loss, costs,attorney's fees,costs of litigation,expenses,injuries, and damages of any nature whatsoever relating to or arising out of the wrongful or negligent acts,errors,or omissions in the services provided by Lawyers, Lawyers' agents, subconsultants, and employees to the fullest extent permitted by law or the Rules of Professional Conduct. 13.Waiver. No officer,employee,agent,or other individual acting on behalf of either Party has the power, right,or authority to waive any of the conditions or provisions of this Agreement. A waiver in one instance shall not be held to be a waiver of any other subsequent breach or nonperformance. All remedies afforded in this Agreement or by law shall be taken and construed as cumulative and in addition to every other remedy provided herein or by law. Failure of either Party to enforce at any time any of the provisions of this Agreement or to require at any time performance by the other Party of any provision hereof shall in no way be construed to be a waiver of such provisions nor shall it affect the validity of this Agreement or any part thereof. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of this Agreement. 14. Assignment and Delegation. Neither Party shall assign, transfer, or delegate any or all of the responsibilities of this Agreement or the benefits received hereunder without prior written consent of the other Party. 15. Subcontracts. Except as otherwise provided herein, Lawyers shall not enter into subcontracts for any of the legal services contemplated under this Agreement without obtaining prior written approval of City. 16.Confidentiality. Lawyers may, from time-to-time,receive information which is deemed by City to be confidential. Lawyers shall not disclose such information without the prior express written consent of City or upon order of a court of competent jurisdiction. 17. Jurisdiction and Venue. This Agreement is entered into in Spokane County, Washington. Disputes between City and Lawyers shall be resolved in the Superior Court of the State of Washington in Spokane County. 18. Cost and Attorney's Fees. The prevailing party in any litigation or arbitration arising out of this Agreement shall be entitled to its attorney's fees and costs of such litigation(including expert witness fees). 19. Entire Agreement. This written Agreement constitutes the entire and complete agreement between the Parties and supersedes any prior oral or written agreements. This Agreement may not be changed, modified, or altered except in writing signed by the Parties hereto. 20.Anti-kickback. No officer or employee of City,having the power or duty to perform an official act or Agreement for Professional Services Winston&Cashatt Page 5 of 8 Contract No.21-061 action related to this Agreement shall have or acquire any interest in this Agreement, or have solicited, accepted,or granted a present or future gift, favor,service,or other thing of value from any person with an interest in this Agreement. 21.Assurance of Compliance with Applicable Federal Law. During the performance of this Agreement, the Lawyers,for themselves,their assignees,and successors in interest agree to comply with all applicable federal laws and regulations,including those laws and regulations regarding non-discrimination. 22. Business Registration. Lawyers shall register with the City as a business prior to commencement of work under this Agreement if it has not already done so. 23. Severability. If any section,sentence,clause,or phrase of this Agreement should be held to be invalid for any reason by a court of competent jurisdiction,such invalidity shall not affect the validity of any other section,sentence,clause,or phrase of this Agreement. 24.Exhibits. Winston & Cashatt shall assist the City of Spokane Valley with legal issues related to bankruptcy, judgment lien foreclosure, receivership, and other similar types of actions. The Parties agree that such assistance will primarily be related to those issues as they arise in code enforcement matters, including nuisance, chronic nuisance, and development regulation violations. Specific assignments may include investigation of claims,all aspects of litigation,appeals,and additional legal representation or consultation tasks as assigned by the City in writing. The work will be as directed in writing by the City as issues emerge and subject to Winston&Cashatt availability and confirmation that no client conflicts exist. 2. Conflicts of Interest. Winston&Cashatt or the attorney who is selected to represent the City shall abide by the Rules of Professional Conduct as they pertain and/or apply to Conflicts of Interest,whether actual or potential conflicts of interest regarding the legal services and representation of the City pursuant to this Agreement. The parties agree that Winston&Cashatt regularly assists its clients with zoning issues, including in front of the hearing examiner,as well as municipal criminal cases,involving the City. The parties agree that the municipal criminal cases will not normally be seen as a conflict. The parties agree that given the nature of the legal services and advice provided under this Agreement, in some instances assistance to clients on zoning matters may create an actual or potential conflict (for example when the City pursues a nuisance abatement action against a client who has filed for bankruptcy). Winston & Cashatt shall notify the City with regard to any case possibly involving the City for an evaluation of a potential conflict. Nothing herein shall obligate the City to waive any conflict. 3. Confidential Information. All confidential communications between the City,its officers,employees or agents, and Winston& Cashatt,whether oral or written, and all documentation or work product, whether prepared by Winston&Cashatt or the City,shall be considered privileged and shall not be disclosed,except by the written consent of the City Attorney. Agreement for Professional Services Winston&Cashatt Page 7 of 8 Contract No.21-061 EXHIBIT B—FEE SCHEDULE Billing shall occur on an hourly basis unless another method(such as per project)is agreed to in writing by both parties. 1. Each billing statement shall be set forth for each date services were performed: a. A brief summary of the services provided,including a reference to the specific matter; and b. The number of hours,or fractions of hours spent by each provider; and c. The hourly rates of each provider. If the Parties have agreed to a manner of payment other than hourly,the billing statement shall provide such information as necessary to allow the City to confirm the payment owed and services provided. 2. Expenses and disbursements shall be shown in detail: a. Air travel shall be approved by the City in advance and is reimbursable at coach rates(or equivalent);and b. The City shall not be charged for courier service or other expedited mail delivery,unless the urgency was caused or directed by the City; and c. Billings for experts or consultants retained by Winston&Cashatt shall be provided in substantially similar format as outlined above. 3. Any changes in the fee schedules in this Exhibit shall be discussed with and subject to acceptance by the City Attorney prior to implementation. 4. Winston&Cashatt has been retained because of its expertise. The City shall not be billed for basic general legal or technical research necessary to educate staff or less experienced attorneys without advance City approval. The City shall not be billed for any time spent in preparing or reviewing Winston &Cashatt's billings to the City or for internal quality control procedures. Unless approved in advance, the City will not reimburse for time spent by more than one attorney attending meetings,witness interviews,depositions,hearings, and the like. 5.
