1 The Grantor, WOLFF PLACE, LLC, a Washington Limited Liability Company,
for and in consideration of SEVENTEEN THOUSAND THREE HUNDRED EIGHTY-EIGHT
AND NO/100 ($17,388.00) Dollars , conveys and grants unto the CITY OF SPOKANE
VALLEY,a political subdivision of the State of Washington and its assigns, Grantee,under
the imminent threat of the Grantee's exercise of its rights of Eminent Domain,a perpetual,non-
exclusive easement over,under,upon and across the hereinafter described lands for the purpose
of ingress and egress, construction, inspection and maintenance of a retaining wall. Said lands
;."' shall be kept free and clear of any buildings or structures, except for the existing monument
sign which will be allowed to remain or be replaced with a similar sign of the same dimensions
in the same location.
Said lands being situated in Spokane County, State of Washington, and described as
follows:

The City shall defend,indemnify and hold the Grantor harmless from any and all claims,
injuries, damages, losses or suits including attorney fees, arising out of negligent or conduct of
City in performance of the activities or operations performed by the City or arising out of
issuance of this easement, except for injuries and damages caused by the negligence of the
Grantor.
It is understood and agreed that delivery of this easement is hereby tendered and that
the terms and obligations hereof shall not become binding upon the City of Spokane Valley
unless and until accepted and approved hereon in writing for the City of Spokane Valley, by
its authorized agent.
