("Sunshine") for its solid waste transfer,transport,and disposal services this past year. We very much appreciate your hard work and customer service and we look forward to our ongoing partnership. 2023/2024 Rate Based on CPI This letter is regarding the rates for 2023/2024 effective December 1, 2023. All capitalized terms herein shall have the same meaning as set forth in the Agreement unless otherwise defined. As you are aware,pursuant to Section 5.3 of the Agreement, Sunshine is entitled to an automatic increase in the Service Fee and Organics Fee equal to: 90% of the percentage change in the average CPI for the 12 month period July 1 through June 30 of the calendar year the adjustment becomes effective as compared to the CPI average for the preceding twelve month period and multiplying the result by the then applicable Service Fee and Organics Fee. The rate increase was originally effective December 1, 2015, and has and will occur each December 1 thereafter. Pursuant to our discussions, we understand that this automatic increase will result in an increase of 5.698%to the Service and Organics Fees,which would result in increased rates as follows (rates do not include additional administrative fee amount): • Service Fee: o Prior to adding 3.6%refuse tax: $119.87 per ton (from$113.41 per ton last year) o After adding 3.6%refuse tax: $124.19 per ton • Service Fee minimum: o Prior to adding 3.6%refuse tax: $19.81 per ton (from$18.74 last year) o After adding 3.6%refuse tax: $20.52 • Organics Fee: $65.13 per ton (from$61.62 per ton last year) • Organic Fee minimum: $13.01 (from$12.31 last year) Administrative Fee Pursuant to Section 5.4, Sunshine is required to pay the City an annual administrative fee of $125,000. This fee may be "added, as applicable, to the fees set forth in Section 5.2, as adjusted,to make up the total tipping fees that[Sunshine] charges."The additional rate shall be"based upon the annual projected tonnage of Acceptable Waste." For the 2023/2024 year, the projected tonnage is estimated to be 89,000 tons of waste. Based on this tonnage, the City fee would be $1.40 per ton to collect the full $125,000 administrative fee. The City has utilized the administrative fee in past years to buy down the total tipping fee (composed of the Service Fee plus Administrative Fee) and/or the Service Fee minimum rates. This year the City desires to have both the total tipping fee and the Service Fee minimum rates assessed at their full amounts. 2023/2024 Rates Total tipping fee: we request that the total tipping fee be assessed at its full amount. Service Fee minimum: we request that the Service Fee minimum rate be assessed at its full amount.To reduce coin-handling at the scale house,Sunshine may impose a fee less than this amount pursuant to contract section 5.2(A)(1). If this option is exercised we request that Sunshine notify the City of the amount to be charged before it is imposed. Based on the above,the rates for 2023/2024 will be as follows. • Total tipping fee: $119.87 per ton (Service Fee) + $1.40 per ton (administrative fee) = $121.27 per ton ($125.64 per ton including the 3.6%refuse tax) • Service Fee minimum=$19.81 ($20.52 including the 3.6%refuse tax) (up to 320 pounds per trip) We request that the Organics Fee be assessed at its full amount as follows (note - refuse tax of 3.6% does not apply to yard waste). • Organics Fee: $65.13 per ton. • Organic Fee minimum: $13.01.To reduce coin-handling at the scale house,Sunshine may impose a fee less than this amount pursuant to contract section 5.2(B). If this option is exercised we request that Sunshine notify us of the amount to be charged before it is imposed. At this time, we understand that you have estimated 89,000 tons of solid waste for 2023/2024. Further,we understand you have estimated there will be approximately 25,300 trips at the Service Fee minimum rate. We request that for 2023/2024 you collect and remit to the City the resulting total administrative fee amount based upon the actual tonnage collected rather than on estimated amounts. We request that you provide calculations of these amounts (fees, tonnage, trips, etc.) with each quarterly remittance of the administrative fee. These adjustments will go into effect in accordance with the Agreement as of December 1, 2023. If you agree with the above fees as set forth herein, please sign below to acknowledge the receipt and concurrence to set the rates as provided herein. Please return two copies to the City for execution. A fully executed original copy evidencing the agreement between the City and Sunshine for the new rates will be mailed to you for your files. This letter shall supplement the Agreement solely as provided herein but shall not otherwise amend or modify the Agreement and all terms of the Agreement shall remain in full force and effect. ADDITIONAL INSURED - CONTRACTORS - OPERATIONS AND COMPLETED OPERATIONS - WITH ADDITIONAL INSURED REQUIREMENT IN CONSTRUCTION CONTRACT This endorsement modifies insurance provided under the following: COMMERCIAL GENERAL LIABILITY COVERAGE PART 1. Additional Insured —Operations A. Section II — Who Is An Insured is amended to include as an additional insured: (1) Any person or organization for whom you are performing operations when you and such person or organization have agreed in writing in a contract or agreement that such person or organization be added as an additional insured on your policy; and (2) Any other person or organization you are required to add as an additional insured under the contract or agreement de- scribed in Paragraph 1. above. Such person(s) or organization(s) is an add- tional insured only with respect to liability for "bodily injury", 'property damage" or "per- sonal and advertising injury" caused, in whole or in part, by: a. Your acts or omissions; or b. The acts or omissions of those acting on your behalf; in the performance of your ongoing opera- tions for the additional insured. B. With respect to Additional Insured - Opera- tions, coverage is limited as follows: This insurance does not apply to "bodily in- jury" or "property damage" occurring after: (1) All work, including materials, parts or equipment furnished in connection with such work, on the project (other than ser- vice, maintenance or repairs) to be per- formed by or on behalf of the additional insured(s) at the location of the covered operations has been completed; or WN GL 139 06 18 (2) That portion of "your work" out of which the injury or damage arises has been put to its intended use by any person or or- ganization other than another contractor or subcontractor engaged in performing operations for a principal as a part of the same project. 2. Additional Insured —Completed Operations A. Section If — Who Is An Insured is amended to include as an additional insured: (1) Any person or organization for whom you are performing operations when you and such person or organization have agreed in writing in a contract or agreement that such person or organization be added as an additional insured on your policy; and (2) Any other person or organization you are required to add as an additional insured under the contract or agreement de- scribed in Paragraph 1. above. Such person(s) or organization(s) is an addi- tional insured only with respect to liability for "bodily injury", 'property damage" or "per- sonal and advertising injury" caused, in whole or in part, by: a. Your acts or omissions; or b. The acts or omissions of those acting on your behalf; and included in the "products -completed op- erations hazard". With respect to Additional Insured — Com- pleted Operations, coverage is limited as fol- lows: (1) A person or organization's status as an in- sured under Additional Insured — Com- pleted Operations continues only for the period of time required by any written con- tract or agreement. (2) The insurance provided to the additional insured does not apply to "bodily injury", "property damage" or "personal and ad- vertising injury" arising out of "your work" for which a consolidated (wrap-up) insur- ance program has been provided by the prime contractor -project manager or owner of the construction project in which you are involved. 3. Primary and Noncontributory The following is added to the Other Insurance Condition and supersedes any provision to the contrary: Primary And Noncontributory Insurance This insurance is primary to and will not seek con- tribution from any other insurance available to an additional insured under your policy provided that: (1) The additional insured is a Named Insured un- der such other insurance; and (2) You have agreed in writing in a contract or agreement that this insurance would be pri- mary and would not seek contribution from any other insurance available to the additional insured. 4. Other Provisions Applicable to Additional In- sured — Operations and Additional Insured — Completed Operations A. The Amendment of Insured Contract Defini- tion (Endorsement CG 24 26) does not apply to an additional insured. B. The coverage provided under Paragraph f. of the definition of "insured contract" under Sec- tion V — Definitions does not apply to an ad- ditional insured under this endorsement un- less required by a written contract or agreement. C. The insurance afforded to such additional in- sured only applies to the extent permitted by law; and If coverage provided to the additional insured is required by a contract or agreement, the in- surance afforded to such additional insured will not be broader than that which you are re- quired by the contract or agreement to provide for such additional insured. With respect to the insurance afforded to these additional insureds, the following is added to Section III — Limits Of Insurance: If coverage provided to the additional insured is required by a contract or agreement, the most we will pay on behalf of the additional insured is: (1) The minimum amount required by the contract or agreement; or (2) The Limits of Insurance shown in the Dec- larations; whichever is less. This endorsement shall not increase the ap- plicable Limits of Insurance shown in the Dec- larations. E. With respect to the insurance afforded to these additional insureds, the following addi- tional exclusion applies: This insurance does not apply to: "Bodily injury", "property damage" or "per- sonal and advertising injury" arising out of the rendering of, or the failure to render, any pro- fessional architectural, engineering or survey- ing services, including: (1) The preparing, approving, or failing to prepare or approve, maps, shop draw- ings, opinions, reports, surveys, field or- ders, change orders or drawings and specifications; or (2) Supervisory, inspection, architectural or engineering activities. This exclusion applies even if the claims against an additional insured allege negli- gence or other wrongdoing in the supervision, hiring, employment, training or monitoring of others by that insured, if the "occurrence" which caused the "bodily injury" or "property damage", or the offense which caused the "personal and advertising injury", involved the rendering of or failure to render any profes- sional services by you with respect to your providing engineering, architectural or survey- ing services in your capacity as an engineer, architect or surveyor.
