We will further discuss the format by which we will provide our evaluation, and we will prepare a budget projecting fees and costs for Ahlers Cressman & Sleight PLLC should the City decide it would like our firm to take over the litigation through trial. We welcome the City of Spokane Valley as a client of AxLERS CRESSMAN & SLEIGHT PLLC. Although our firm has many clients, each is singularly important to us. We have found that it is important to express as clearly as possible our expectations and intentions when taking on a new legal representation. For that reason, and because the law requires us to put certain information in a written agreement with clients, we have prepared this letter agreement and enclosed Billing and Payment Policy. This letter describes the basis on which our firm will provide legal services to you, and bill for services. 1. Professional Undertaking The most important point in this letter is that we will do our utmost to serve you effectively. The philosophy of AxLExs CRESSMAN & SLEIGHT PLLC is to provide high -quality work. We cannot guarantee the success of any given venture, but we will strive to represent your interests vigorously and efficiently. I will have primary responsibility for your representation. However, to provide the best possible service, we will utilize other attorneys and legal assistants in the office in the best exercise of our professional judgment. If at any time you have questions, concerns, or criticisms, please contact us at once. 314017.1/ GENERAL.3 December 7, 2023 Page 2 2. Fees We take into account many factors in billing for services rendered, and we will review all statements before they are issued to ensure that the amount charged is appropriate. The principal factor is our usual schedule of hourly rates for the attorneys and legal assistants who performed the work. Our schedule of hourly rates for attorneys, paralegals, and other members of the professional staff is based on years of experience, specialization in training and practice, and level of professional attainment. Our attorneys' hourly rates for calendar year 2023 range from $300 to $575. Our paralegals' hourly rate is $250. My 2023 hourly rate is $575. My partner, Masaki (Saki) James Yamada, will also assist with this matter. His 2023 hourly rate is $475. Our rates increase annually and we will base our budget on 2024 rates, which are currently being determined. Our clients sometimes request estimates of anticipated fees for a particular matter. The estimates we render are not a guarantee of the maximum fee, and events often occur which substantially alter our predictions. Actual fees may exceed any estimates given. Similarly, at our clients' request, we have frequently rendered opinions as to the probability of success or failure of a particular matter. Such opinions are not guarantees of the result to be obtained, but simply reflect our best professional judgment based upon the information available to us at the time. 3. Costs Often it is necessary for us to incur expenses for items such as travel, lodging, meals, long distance telephone and fax charges, expert fees, and deposition expenses. Similarly, some matters require substantial amounts of costly ancillary services such as photocopying and computerized legal research. As a result of billing delays by outside vendors, some charges may be billed later than the period in which the corresponding legal services were rendered. In order to allocate these expenses fairly and keep billable rates as low as possible for those matters which do not involve such expenditures, these items are separately itemized on our statements as "costs advanced." When costs advanced exceed $100, a 5% handling fee will be charged. We do require that our clients pay all significant costs directly. 4. Billings Our statements generally will be prepared and mailed during the month following the month in which services are rendered and costs advanced. Enclosed is a brief statement of our Billing and Payment Policy. We expect payment within thirty days after the statement date. Late Payments We are confident that our clients make every effort to pay us promptly and know you will do likewise. Occasionally, however, a client has difficulty in making timely payment. To avoid burdening those clients who pay their statements promptly with higher fees reflecting the added costs we incur as a result of clients who are delinquent, a monthly charge is added for late payments. This charge is assessed on the last day of each month against all fees and costs which were billed before the beginning of the month and remain unpaid at the end of the month. The late payment charge is 1 % per month. Payments received are first applied to late charges and then to costs and fees. In the unlikely event that we are required to institute legal proceedings to collect fees and costs owed by you, the prevailing party would be entitled to reasonable attorneys' fees and other costs of collection. Naturally, we do not expect that any of the provisions of this paragraph will have to be applied to you and look forward to a wholly amicable relationship. 6. Arbitration In the event any disputes arise between us as to unpaid billings for fees and costs or any other matter relating to our representation of you, such disputes shall be resolved by arbitration. Arbitration shall be by one arbitrator if agreement as to that arbitrator is reached within twenty days of the date of service of a notice of intent to arbitrate. In the absence of an agreement as to one arbitrator, you shall select an arbitrator, and we shall select an arbitrator within forty days from the date of service of any notice of intent to arbitrate, and the two arbitrators shall select a third arbitrator within twenty days from the date the last arbitrator is selected. The decision of any two of the three arbitrators shall be binding upon all parties. The arbitration shall be subject to the rules of arbitration set forth in Chapter 7.04A of the Revised Code of Washington. The arbitrators' fees and other administrative fees, if any, shall be borne equally by the parties. Naturally, we do not expect that any of the provisions of this paragraph will have to be applied to you and look forward to a wholly amicable relationship. 7. Advanced Fee Deposit We regularly require an advanced fee deposit from our clients before rendering services. In your case, we do not require an advanced fee deposit. It may be necessary for us to require that an additional advanced fee deposit be paid by you from time to time. This could occur when we are about to spend a substantial amount of time on your matter, when we are about to start a trial or arbitration, or when we foresee that costs advanced on a matter may amount to a substantial sum. In the event we require an additional advanced fee deposit from you, and such advanced fee deposit is not paid, we reserve the right to suspend further services and/or withdraw as counsel until the advanced fee deposit is paid or arrangements for payment are made. 314017.1/ GENERAL.3 December 7, 2023 Page 4 8. Termination You have the right to terminate our representation at any time. We have the same right, subject to an obligation to give you reasonable notice to arrange alternative representation. 9. Information You understand that the accuracy and completeness of any document or presentation prepared by us is dependent upon the accuracy of information submitted by you to us. To that end, you agree to review all such information for its accuracy and completeness prior to supplying it to us. You further represent that any material, information, reports, and financial statements, whether rendered orally or in writing, furnished to us by you will be accurate, and that we may rely upon the truth and accuracy of such information. AND How MUST I PAY? Mutual Understanding Welcome. We are pleased to have you as a client. Our billing and payment procedures are designed to be as clear as possible. Experience has shown us that the client/attorney relationship gets off to a better start when there is a mutual understanding about fees and payment of them. Close Contact We believe in staying in touch with clients to ensure that the legal work we do proceeds as smoothly as possible and that our billings are accurate and understandable. If you have any questions about your billings, the Billing Department will provide an answer. Billing You will be billed on a monthly basis. Time is recorded daily on all services performed for you. The information of each person's daily work is inputted into our computer. At the end of each monthly billing period, a statement is mailed to the client. Date of Payments The amount owing on each statement is due and payable within 20 days of the statement date. Arrangements for payment of fees and costs on an extended or deferred basis must be made in advance. Questions About Billings If you wish to ask about your billings, please contact our Billing Department as soon as you receive your statement. If no comment about the invoice is received within 30 days of the statement date, we will assume the statement is acceptable. Overdue Payment Charge In the event payment is not received within 30 days of the statement date, a service charge of one percent (1%) per month on the unpaid balance will be made to cover the cost of handling your account. Fortunately, almost all clients pay their accounts in a fair and timely manner. Occasionally, however, an account becomes delinquent. 314017.1/ GENERAL.3 AC S December 7, 2023 Page 6 Delinquent Account Procedures One month after the date of the initial statement, if payment has not been received, a second statement (we call it a "rebill") is issued with a reminder note that the charge of one percent (1%) of the unpaid balance will be applied (with the request that our Billing Department be contacted if there is a question about the statement). If payment has not been timely received, we reserve the right to immediately suspend services or to withdraw as your counsel. In fairness to most of the firm's clients who pay their bills promptly each month, these procedures have been established so that only those clients whose accounts become delinquent will bear the cost of collection. Exceptions to these policies can be made only by the Managing Partner of the firm, and not by the individual attorneys. Credit Checks It is the general practice of the firm to conduct credit checks on all new clients, the result of which may not be available until after the initial conference. Information from that credit check may result in the primary attorney subsequently requiring a retainer or other financial arrangements. If you are unable to make such financial arrangements, it may be necessary for the firm to withdraw from your representation.
