24-162.00SpokaneTribeOfIndiansSurplusSnowPlowVehicle Contract No.24-162 Agreement for Sale of Vehicle THIS AGREEMENT is made by and between the City of Spokane Valley,a code City of the State of Washington,hereinafter"Seller"and the Spokane Tribe of Indians,hereinafter`Buyer,"jointly referred to • as"Parties." This AGREEMENT outlines the Terms and Conditions for the Sale of Vehicle and associated equipment from the City of Spokane Valley(Seller) to the Spokane Tribe of Indians(Buyer). 1) The vehicle for sale is Seller Fleet No. 5-207,a 1997 International Truck with associated winter operations equipment,bearing Vehicle Identification Number(VIM 111TGGAHT7VH397359. • 2) The Seller agrees to sell the vehicle and associated equipment for the sum identified in Seller Invoice No. 85,attached hereto and fully incorporated by reference herein,to the Buyer on the terms contained herein. 3) The Seller,through actions of the City Council,has deemed this vehicle surplus. 4) The City Manager,as required by Spokane Valley Municipal Code(SVMC)3.49.020,has approved of the disposition of this vehicle by this sale as being in the best interest of the City. 5) The Buyer has inspected the vehicle and is purchasing the vehicle".AS IS" 6) The Buyer is to receive the vehicle at the Seller's Street Maintenance Shop (17002 E Euclid Ave, Spokane Valley)and bears all risk of loss or damage to the vehicle once Buyer takes possession thereof at the Seller's Street Maintenance Shop. 7) The Buyer shall not receive the vehicle until Invoice No. 85 is paid in full. 8) Seller provides no express or implied warranty for the vehicle or associated.equipment. 9) The Parties shall work together to complete any required documents and steps,including,but not limited to,Bill of Sale,Report of Sale,and any other steps or forms to transfer title of ownership. 10)Buyer shall be responsible for all taxes and fees required to transfer and acquire a new title of ownership. 11) The laws of the State of Washington shall control this transaction. Disputes between the Parties shall be resolved in the Superior Court of the State of Washington in Spokane County. 12) The prevailing party in any litigation or arbitration arising out this sale shall be entitled to its attorney's fees of such litigation or arbitration(including expert-witness fees). �Tocea— The Parties have executed this Agreement this " day of SeSeinibeit 2024.
