24-165.00FocalForensicsRedactionVoiceAlterationServices C a I 0.4 forensics Client Working Agreement Whereas Focal Forensics is a professional, forensic service of good standing; Client City of Spokane Valley wishes to engage Focal Forensics to provide forensic services, culminating in the production of specific forensic report or("Deliverables"), as set forth in the quote or scope of work. Therefore the undersigned agree as follows: 1.PROJECT DESCRIPTION. Focal Forensics agrees to perform the following services, in accordance with the following specifications and those set forth in the attached scope of work Deliverables/Project description: Video/Audio/Document/Image Redaction Services See Scope of Work" 2.DELIVERY DATE. Based on the attached or agreed upon, Deliverables Document and Production Schedule, Focal Forensics agrees to deliver to Client the final deliverables as set forth in the Scope of work. 3.PROPOSAL TIMEFRAME. The project shall proceed as outlined below. Finally, should the Client choose to solicit future work from Focal Forensics, this Agreement may be renewed, subject to a mutually agreed upon amendment to the Scope of work for the new project deliverables. 4.CONFIDENTIALITY AND OWNERSHIP. All Deliverables are property of the Client, Focal Forensics will never reproduce,publish or display the Deliverables. The Client retains the exclusive right of ownership to the work,products, inventions and confidential information produced for the Client by the 1 CONTRACTOR, and the CONTRACTOR shall not disclose any information,whether developed by the CONTRACTOR or given to the CONTRACTOR by the Client. The parties agree that the Client will own the work,products, inventions or information produced by the CONTRACTOR pursuant to this Contract. 5.FEES AND CHARGES. 5.1 Fees.In consideration of the services to be performed, Client agrees to pay Focal Forensics the fees, set forth in the quote provided to the client or in accordance with the Scope of work. 6.TIMING. COMPANY will prioritize performance of the Deliverables as may be necessary or as identified in the Scope of work, and will undertake commercially reasonable efforts to perform the Deliverables within the time(s) identified in the Scope of work. Client agrees to review Deliverables within the time identified in the production Scope of work for such reviews and to either promptly, (i) approve the Deliverables in writing or(ii)provide written comments and/or corrections sufficient to identify Client's concerns, objections or corrections. COMPANY shall be entitled to request written clarification of any concern, objection or correction. Client acknowledges and agrees that COMPANY's ability to meet any and all scheduled timeframes is entirely dependent upon Client's prompt performance of its obligations to provide materials,written approvals and/or instructions pursuant to the Scope of work, and that any delays in Client's performance or Changes in the Deliverables requested by Client may delay delivery of the Deliverables. Any such delay caused by Client, shall not constitute a breach by COMPANY of any term, condition or its obligations under this Agreement. 7.INDEMNIFICATION/LIABILITY 7.1 By Client. Client agrees to indemnify, save and hold harmless COMPANY from any and all damages, liabilities, costs, losses or expenses arising out of any claim, demand, or action by a third party arising out of any breach of Client's responsibilities or obligations, representations or warranties under this Agreement. Under such circumstances, COMPANY shall promptly notify Client in writing of any claim or suit; (a) Client will have sole control of the defense and all related settlement negotiations; and(b) COMPANY will provide Client with commercially reasonable assistance, information and authority necessary to perform Client's obligations under this section. Client will reimburse the reasonable out-of-pocket and legal expenses incurred by COMPANY in providing such assistance. 7.2 By COMPANY. Subject to the terms, conditions, express representations and warranties provided in this Agreement, COMPANY agrees to indemnify, save and hold harmless Client from any and all damages, liabilities, costs, losses or expenses arising out of any finding of fact which is inconsistent with 2 COMPANY's representations and warranties made herein, except in the event any such claims, damages, liabilities, costs, losses or expenses that arise directly as a result of gross negligence or misconduct of Client provided that (a) Client promptly notifies COMPANY in writing of the claim; (b) COMPANY shall have sole control of the defense and all related settlement negotiations; and(c) Client shall provide COMPANY LLC with the assistance, information and authority necessary to perform COMPANY's obligations under this section.Notwithstanding the foregoing, COMPANY shall have no obligation to defend or otherwise indemnify Client for any claim or adverse finding, or fact, arising out of, or due to, Client Content, any unauthorized content, improper or illegal use, or the failure to update or maintain any Deliverables provided by COMPANY. 7.3 Limitation of Liability. IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY LOST DATA OR CONTENT, LOST PROFITS,BUSINESS INTERRUPTION OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF RELATING TO THE MATERIALS OR THE SERVICE PROVIDED BY COMPANY, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES,AND NOTWITHSTANDING THE FAULURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. 8.GENERAL 8.1 Modification/Waiver. This Agreement may be modified by the parties. Any modification of this Agreement must be in writing, except that COMPANY invoices may include, and Client shall pay, expenses or costs that Client authorizes by electronic mail in cases of extreme time sensitivity. Failure by either party to enforce any right or seek to remedy any breach under this Agreement shall not be construed as a waiver of such rights nor shall a waiver by either party of default in one or more instances be construed as constituting a continuing waiver or as a waiver of any other breach. 8.2 Notices.All notices to be given hereunder shall be transmitted in writing by electronic mail. Notice shall be effective receipt of email. 8.3 No Assignment.Neither party may assign,whether in writing or orally, or encumber its rights or obligations under this Agreement or permit the same to be transferred, assigned or encumbered by operation of law or otherwise, without the prior written consent of the other party. 8.4 Force Majeure. COMPANY shall not be deemed in breach of this Agreement if it is unable to complete its services hereunder or any portion thereof by reason of fire, earthquake, labor dispute, act of God or public enemy, death, illness or incapacity of COMPANY or any local, state, federal,national or 3 international law, governmental order or regulation or any other event beyond COMPANY's control(collectively, "Force Majeure Event"). Upon occurrence of any Force Majeure Event, COMPANY shall give notice to Client of its inability to perform or of delay in completing the Services and shall propose revisions to the Scope of work pursuant to section 7 above. 8.5 Governing Law and Dispute Resolution. The formation, construction, performance and enforcement of this Agreement shall be in accordance with the laws of the United States and the state of WA without regard to its conflict of law provisions or the conflict of law provisions of any other jurisdiction. The parties specifically consent to the local, state and federal courts located in the State of WA . The parties hereby waive any jurisdictional or venue defenses available to them and further consent to service of process by mail. 8.6 Severability.Whenever possible, each provision of this Agreement shall be interpreted in such a manner as to be effective and valid under applicable law, but if any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall nevertheless remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid or enforceable provisions. 8.7 Headings. The numbering and captions of the various sections are solely for convenience and reference only and shall not affect the scope,meaning, intent or interpretation of the provisions of this Agreement nor shall such headings otherwise be given any legal effect. 8.8 Integration. Law enforcement agencies redact records it produces under the Public Records Act, under specified circumstances. These circumstances include: (A) to remove personal data or information, including home addresses, telephone numbers and the identities of family members; (B) to preserve the anonymity of complainants and witnesses; (C) to protect confidential medical, financial or other information protected by federal law or which would cause "an unwarranted invasion of personal privacy that clearly outweighs the strong public interest in records about misconduct and serious use of force"; and (D) where there "is a specific, articulable, and particularized reason to believe that disclosure of the record would pose a significant danger to the physical safety of the peace officer, custodial officer, or another person." CONTRACTOR RESPONSIBILITY: To comply with State Law or Client requirements, Contractor shall redact but not limited to the following types of information, as applicable, to each incident: See attachment A 1. Any names, date of birth (DOB), social security numbers,phone numbers, addresses, witness/bystander license plates, and images of the public,witnesses, or deceased. 2. Images or license plates of an undercover officer vehicles. 3. Any personal information related to officer family members, including names. 4. Any attorney client privilege portions of interviews where they thought they were speaking privately, but video did not get shut off appropriately. 5. Medical information from officers/deputies given during interviews,prescription medications, etc. Should the Client require specific redactions different from those listed above or by state law, the client shall provide specifications using Attachment A. Those items will be used and considered the redaction items and guidance for the Scope Of Work. Item list will be attached to contract for reference. Attachment A must be approved for all work. Contractor shall provide"draft" copies of materials produced for review by CLIENT prior to providing final product. Videos produced shall be sole property of the CLIENT and shall be used and distributed or disseminated by the CLIENT at the CLIENT's discretion. Copies of source material used to create critical incident videos and any "draft" work product shall be treated as confidential and shall not be released to the public or other agency. All material shall be either returned to CLIENT or permanently destroyed/deleted by Contractor once final product is accepted as complete by CLIENT. Contractor shall maintain a security program consistent with federal and state laws, 5 regulations, and standards as per Exhibit A, Federal Bureau of Investigation Criminal Justice Information Services Security Addendum, attached hereto and by reference incorporated herein. CONTRACTOR RATES: Contractor shall invoice CLIENT for services rendered per the following rate schedule 1. Up to three (3)hours at$7.00 per minute 2. Greater than three (3)hours at$5.00 per minute 3. Invoices shall be sent by email to the following address: CLIENT RESPONSIBILITY: Client shall request service from Contractor as needed by contacting: Steve Bufalino 847-309-9080 Steve@focalforensics.com Zac Giammarrusco 970-319-1148 zac@focalforensics.com client shall provide raw materials (video/audio recordings, digital graphics, etc.)that require redaction. client shall review all draft redacted material to verify that all items requested for redaction have been removed. client Shall provide accurate and detailed redaction guidelines for each case. 6 EXHIBIT A FEDERAL BUREAU OF INVESTIGATION CRIMINAL JUSTICE INFORMATION SERVICES SECURITY ADDENDUM The goal of this document is to augment the CJIS Security Policy to ensure adequate security is provided for criminal justice systems while (1) under the control or management of a private entity or (2) connectivity to FBI CJIS Systems has been provided to a private entity (contractor). Adequate security is defined in Office of Management and Budget Circular A-130 as "security commensurate with the risk and magnitude of harm resulting from the loss, misuse, or unauthorized access to or modification of information." The intent of this Security Addendum is to require that the Contractor maintain a security program consistent with federal and state laws, regulations, and standards (including the CJIS Security Policy in effect when the contract is executed), as well as with policies and standards established by the Criminal Justice Information Services (CJIS)Advisory Policy Board (APB). This Security Addendum identifies the duties and responsibilities with respect to the installation and maintenance of adequate internal controls within the contractual relationship so that the security and integrity of the FBI's information resources are not compromised. The security program shall include consideration of personnel security, site security, system security, and data security, and technical security. The provisions of this Security Addendum apply to all personnel, systems, networks and support facilities supporting and/or acting on behalf of the government agency. 1.00 Definitions 1.01 Contracting Government Agency(CGA)-the government agency,whether a Criminal Justice Agency or a Noncriminal Justice Agency, which enters into an agreement with a private contractor subject to this Security Addendum. 1.02 Contractor-a private business,organization or individual which has entered into an agreement for the administration of criminal justice with a Criminal Justice Agency or a Noncriminal Justice Agency. 2.00 Responsibilities of the Contracting Government Agency. 2.01 The CGA will ensure that each Contractor employee receives a copy of the Security Addendum and the CJIS Security Policy and executes an acknowledgment of such receipt and the contents of the Security Addendum. The signed acknowledgments shall remain in the possession of the CGA and available for audit purposes.The acknowledgement may be signed by hand or via digital signature (see glossary for definition of digital signature). 3.00 Responsibilities of the Contractor. 3.01 The Contractor will maintain a security program consistent with federal and state laws, regulations, and standards (including the CJIS Security Policy in effect when the contract is executed and all subsequent versions), as well as with policies and standards established by the Criminal Justice Information Services (CJIS)Advisory Policy Board (APB). 4.00 Security Violations. 4.01 The CGA must report security violations to the CJIS Systems Officer(CSO)and the Director, FBI, along with indications of actions taken by the CGA and Contractor. 4.02 Security violations can justify termination of the appended agreement. 4.03 Upon notification, the FBI reserves the right to: a. Investigate or decline to investigate any report of unauthorized use; b. Suspend or terminate access and services, including telecommunications links. The FBlwill provide the CSO with timely written notice of the suspension. Access and 7 services will be reinstated only after satisfactory assurances have been provided to the FBI by the CGA and Contractor. Upon termination, the Contractor's records containing CHRI must be deleted or returned to the CGA. 5.00 Audit 5.01 The FBI is authorized to perform a final audit of the Contractor's systems after termination of the Security Addendum. 6.00 Scope and Authority 6.01 This Security Addendum does not confer, grant, or authorize any rights, privileges, or obligations on any persons other than the Contractor, CGA, CJA (where applicable), CSA, and FBI. 6.02 The following documents are incorporated by reference and made part of this agreement: (1) the Security Addendum; (2) the NCIC 2000 Operating Manual; (3) the CJIS Security Policy; and (4) Title 28, Code of Federal Regulations, Part 20. The client will also provide redacted transcripts to assist in the redaction process; however, transcripts are often inaccurate compared to the audio. To ensure accuracy, Focal will thoroughly review all media. The client will also provide accurate and detailed redaction guidelines, specifying items to be redacted, which may include, but are not limited to, names, dates of birth, Social Security numbers, or other personally identifiable information. Voice Alterations: The below techniques will be used for all identified individuals requiring voice alterations. • The specific filters we use require us to input a value that goes down to the .0001 or tenth hundreds. • If we were to use a simple filter and change the voice by a standard number, say (-5), this is something that could easily be reversed. • Since our settings are highly complex, it's very unlikely that someone would be able to reverse our settings that would be something similar to -359.0184 • Beyond that, we also wipe all relevant audio metadata to clear any indications of what program or settings were used to disguise the voice. 2
