FCS GROUP prepared the City's indirect cost allocation plans for 2005. An indirect cost allocation plan is a critical financial planning tool that enables the City to recover the cost of overhead functions from direct service providers within the City. For example, the City's current overhead functions include City Attorney, City Services and Contract Administration. An indirect cost allocation plan will provide the City a defensible basis for allocating the cost of these overhead functions throughout the City utilizing appropriate workload factors based on industry best practices FCS GROUP's model utilizes a two- step cost allocation methodology. This two-step methodology, which is widely accepted as the gold standard by oversight agencies such as the federal Office of Management and Budget, and the Washington State Auditor, will ensure that the indirect cost centers are fully loaded and appropriately allocated to direct service departments. For the 2024 cost allocation plan,we expect all work will be completed within approximately six(6)months from notice to proceed, depending on the City's ability to gather the detailed data needed for the study. Work Plan TASK I I KICK-OFF MEETING Conduct one(1) remote kick-off meeting with the City's Project Manager and other key City staff to discuss project goals, objectives, and requirements. We will use this meeting to review and discuss the general study methodology and outcomes, data requirements, and availability of cost allocation factors. Allocation factor data represents workload or organizational information that can serve as a basis for allocating indirect expenses to direct service functions. Deliverables • Facilitate one(1) remote meeting to kick off the study, discuss and confirm the study's objectives, project schedule, and key milestones/expectations. TASK 2 I DATA COLLECTION AND VALIDATION Provide a written request for data ahead of the kick-off meeting. Our request typically includes full-year actual and current year budgeted operating line-item detail,an updated citywide organizational chart, and allocation factor data for at least one full year.Of note, several recent FCS GROUP clients have moved to using multi-year allocation factor data to smooth out variability in data.We can work with the City to explore and apply this approach. We will review the initial data provided, respond with any clarifying questions, and request additional information if needed. Deliverables • Prepare an initial request for information. • Transmit the data request to the City via email prior to the kickoff meeting under Task 1. TASK 3 I PREPARE THE COST ALLOCATION MODEL WITH 2 CFR 200 Prepare a full-cost and an OMB Title 2 CFR Part 200 indirect cost allocation model. Indirect cost centers will be allocated based on fully loaded costs and will use appropriate cost allocation factors that will be determined in collaboration with the City's project team. Indirect cost rates and an OMB Title 2 CFR Part 200 indirect cost rate will be calculated. Deliverables • Utilizing the information from Task 2, prepare a cost allocation model, and calculate the fully loaded indirect cost rate and OMB Title 2 CFR Part 200 indirect rate. TASK 4 I REVIEW RESULTS WITH CITY PROJECT TEAM FCS GROUP will facilitate up to five(5)remote meetings with the City's project team. Meetings include: (1)review model framework;(2)review allocation factors to validate and discuss what the City had identified and if this is reasonable and easy to maintain going forward;(3)review personnel and non-personnel cost allocations; (4)provide a model walk through for initial results and model work sheet flow; and,(5)review the preliminary study results. We will collect staff comments and concerns, and any updated input data for integration into the final model deliverable. Deliverables • Attend up to five(5) remote meetings to review model framework, allocation factors, personnel and non-personnel cost allocation, model review and flow demonstration, and the preliminary full cost and the OMB Title 2 CFR Part 200 indirect rates. TASK 5/DOCUMENTATION Prepare a written draft full-cost allocation plan and a written draft OMB Title 2 CFR Part 200 plan identifying overhead cost pools and their allocation factors, allocation amounts, and resulting overhead rates. After receiving feedback and comments from the City's project team,we will finalize the cost allocation plan. Deliverables • Prepare and transmit a draft written cost allocation plan (in Word format)and cost allocation model(in Excel format)for the City to review and comment. • Finalize written cost allocation plan, reflecting City comments and feedback. • Transmit an electronic copy of the final report(PDF format), an electronic copy of the cost allocation model (Excel format)to the City. TASK 6/LEADERSHIP PRESENTATION Facilitate one(1)remote meeting with the City's departmental leadership team and appropriate staff to discuss the results of the study,compare/contrast the change in the indirect allocated charges under the City's current methodology, and facilitate general questions and answers. Deliverables •Attend one(1) remote meeting with the City's leadership team and appropriate staff. TASK 7/CONDUCT MODEL TRAINING AND ADDITIONAL SUPPORT We will conduct one(1) remote model training session for City staff on model inputs, framework, modeling techniques, and updating the model. An accompanying written users guide will also be provided. BLANKET ADDITIONAL INSURED - WRITTEN CONTRACTS (ARCHITECTS, ENGINEERS AND SURVEYORS) This endorsement modifies insurance provided under the following: COMMERCIAL GENERAL LIABILITY COVERAGE PART 1. The following is added to SECTION II — WHO IS AN INSURED: Any person or organization that you agree in a "written contract requiring insurance" to include as an additional insured on this Coverage Part, but: a. Only with respect to liability for "bodily injury", "property damage" or "personal injury"; and b. If, and only to the extent that, the injury or damage is caused by acts or omissions of you or your subcontractor in the performance of "your work" to which the "written contract requiring insurance" applies. The person or organization does not qualify as an additional insured with respect to the independent acts or omissions of such person or organization . The insurance provided to such additional insured is limited as follows: c. In the event that the Limits of Insurance of this Coverage Part shown in the Declarations exceed the limits of liability required by the "written contract requiring insurance", the in- surance provided to the additional insured shall be li mited to the limits of liability required by that "written contract requiring insurance". This endorsement shall not increase the li mits of insurance described in Section III — Limits Of Insurance. d. This insurance does not apply to the render- ing of or failure to render any "professional services" or construction management errors or omissions. This insurance does not apply to "bodily in- jury" or "property damage" caused by "your work" and included in the "products - completed operations hazard" unless the "written contract requiring insurance" specifi- cally requires you to provide such coverage for that additional insured, and then the insur- ance provided to the additional insured ap- plies only to such "bodily injury" or "property damage" that occurs before the end of the pe- riod of time for which the "written contract re- quiring insurance" requires you to provide such coverage or the end of the pol icy period, whichever is earlier. 2. The following is added to Paragraph 4.a. of SEC- TION IV — COMMERCIAL GENERAL LIABILITY CONDITIONS: The insurance provided to the additional insured is excess over any valid and collectible "other in- surance", whether primary, excess, contingent or on any other basis, that is available to the addi- tional insured for a loss we cover. However, if you specifically agree in the "written contract requiring insurance" that this insurance provided to the ad- ditional insured under this Coverage Part must apply on a primary basis or a primary and non- contributory basis, this insurance is primary to "other insurance" available to the additional in- sured which covers that person or organization as a named insured for such loss, and we will not share with that "other insurance". But this insur- ance provided to the additional insured still is ex- cess over any valid and collectible "other insur- ance", whether primary, excess, contingent or on any other basis, that is available to the additional insured when that person or organization is an additional insured under any "other insurance". 3. The following is added to SECTION IV — COM- MERCIAL GENERAL LIABILITY CONDITIONS: Duties Of An Additional Insured As a condition of coverage provided to the addi- tional insured: a. The nature and location of any injury or damage arising out of the "occurrence" or offense. b. If a claim is made or "suit" is brought against the additional insured, the additional insured must: L Immediately record the specifics of the claim or "suit" and the date received; and ii. Notify us as soon as practicable. The additional insured must see to it that we receive written notice of the claim or "suit" as soon as practicable. c. The additional insured must immediately send us copies of all legal papers received in con- nection with the claim or "suit", cooperate with us in the investigation or settlement of the claim or defense against the "suit", and oth- erwise comply with all policy conditions. d. The additional insured must tender the de- fense and indemnity of any claim or "suit" to any provider of other insurance which would cover the additional insured for a loss we cover. However, this condition does not affect whether this insurance provided to the addi- tional insured is primary to that other insur- ance available to the additional insured which covers that person or organization as a named insured. 4. The following is added to the DEFINITIONS Sec- tion: "Written contract requiring insurance" means that part of any written contract or agreement under which you are required to include a person or or- ganization as an additional insured on this Cover- age Part, provided that the "bodily injury" and "property damage" occurs and the "personal in- jury" is caused by an offense committed: a.
