Spokane Valley Contract#23-242.01 For good and valuable consideration,the legal sufficiency of which is hereby acknowledged,City and the Contractor mutually agree as follows: 1.Purpose:This Amendment is for the Contract for Linear Parks and Roadways by and between the Parties, executed by the Parties on December 29,2023,and which terminates on December 31,2026. Said contract is referred to as the"Original Contract"and its terms are hereby incorporated by reference. 2.Original Contract Provisions:The Parties agree to continue to abide by those terms and conditions of the Original Contract and any amendments thereto which are not specifically modified by this Amendment. 3. Amendment Provisions: The Original Contract is subject to the following amended provisions,which are enumerated below and further reflected in"Appendix A". All such amended provisions are hereby incorporated by reference herein and shall control over any conflicting provisions of the Original Contract, including any previous amendments thereto. Increase Original Contract amount by the allowed CPT-U increase of 2.4%.equal to$11,014.80 pre- tax. (2)Update ST-1 Appendix A and 13 to incorporate one revised and two new RLS areas added to the scope of work and shown in Exhibits 1,2,and 3 attached to Appendix A of this Amendment and incorporated herein;these added and revised areas increase the contract amount by an additional$7,580.00. f3)Section 5,5.1 of the Special Provisions is clarified and makes reference to a new Appendix G added to Section 8 of the Special Provisions. 4. Compensation Amendment History: This is Amendment#1 of the Original Contract. Pursuant to section 1.19 of the Special Provisions, the total compensation for 2025 is increased by $11,014.80 to take into account the CPI-U of 2.4%. Further, pursuant to Paragraph 4(Compensation)of the Original Contract,the City's request for additional quantities of service as reflected in this Appendix"A"section 2 below and as outlined by Exhibits 1,2,and 3 to this Amendment, result in an increase of$7,580.00. The total compensation to be paid to the Contractor for 2025 shall be$477,544.80 plus applicable sales tax. 2. Additional Quantities of Service. Per 1.16.1 and 1.16.2 of the Special Provisions,Exhibits 1,2,and 3 to this Appendix "A", are incorporated herein by this reference, and detail the additional quantities of service for Roadway Landscape Maintenance(RLS). Additionally,Appendices A&B in Section 8 of the Special Provisions are amended as shown in Exhibits 4, and 5 to this Appendix "A" to reflect these additional service areas. The RLS location(s) in Exhibits 1, 2 and 3, all of which are non-taxable, are described below: Exhibit 1. Sprague Ave,from University to Herald. This existing roadway landscaped area was increased in size with a 2024 City road project.. The City requests full landscape maintenance of new swales/rock shrub beds and existing grass berms/trees. We would like push mowers or floating push mowers to be used within this area to prevent tire rutting or sod scalping. Existing area maintained=25,000 SF. New area added=27,000 SF. Total area for 2025 maintenance=52,000 SF. $1,400.00 adjustment in 2025. Exhibit 2. 4th and Conklin, northwest corner. The City is taking over maintenance of the landscaped roadway corner. The area is within City road right-of-way. Existing area to maintain = 21,000 SF. $4,763.00 adjustment in 2025. Exhibit 3. 15th Alleyway. This was a City maintenance project re-building a rock ditch. The area is within City road right-of-way. Weed spray only. New area=4,000 SF. $1,417.00 adjustment in 2025. 3. Minor Changes, Corrections, and Clarifications. Per 1.16.1 and 1.16.2 of the Special Provisions, Section 5.5.1 of the Special Provisions is hereby amended to include the following minor changes, corrections and clarifications and read as follows: 5.5.1 General Requirements Trail bollards, benches, picnic tables, mile markers, decorative trash receptacles, and other trail amenities shall be the responsibility of the Contractor to be kept clean and in good working condition. Trail Bollards shall be removed and immediately placed back in position whenever access is required by the Contractor on the trails. Bollards shall remain locked and not left unsecured. Benches,picnic tables,informational kiosks,doggie pot stations,or other trail fixtures shall be wiped clean, or pressure washed when needed due to minor graffiti or other material. Acceptable products and tools for graffiti removal are listed in Section 8,Appendix G. Contractor may not use products or tools other than those listed in Appendix G without prior written approval from the City. Extensive graffiti,missing or damaged bollards,gates, locks,or other park fixtures needing replacement or repair shall be immediately reported to the Administrator or designee and may be eligible for compensation under Unanticipated Maintenance as outlined in Chapter 7. 2 4. Minor Changes, Corrections, and Clarifications. Per 1.16.1 and 1.16.2 of the Special Provisions, Exhibit 6 to this Appendix"A"is added to the Special provisions as Appendix G. Section III - Limits of Insurance, the following is added: With respect to the insurance afforded to the additional insureds described in Paragraphs a. through h. above, the most we will pay on behalf of such additional insured is the amount of insurance: (1) Required by the contract or agreement; or (2) Available under the applicable Limits of Insurance shown in the Declarations; whichever is less. This provision shall not increase the applicable Limits of Insurance shown in the Declaration. 2. Damage To Premises Rented to You SECTION III — LIMITS OF INSURANCE, Paragraph 6. is replaced by the following: 6. Subject to Paragraph 5. above, the Damage to Premises Rented to You Limit is the most we will pay under Coverage A for damages because of "property damage" to any one premises, while rented to you, or in the case of damage by fire, while rented to you or temporarily occupied by you with permission of the owner. (2) (b) is replaced by the following: (b) A watercraft that you do not own that is: (i) Less than 50 feet long: and (ii) Not being used to carry persons or property for a charge. B. If Paragraph A. does not apply, Paragraph g. (2) of 2. EXCLUSION under SECTION I — COVERAGES, COVERAGE A — BODILY INJURY AND PROPERTY DAMAGE LIABILITY is replaced by the following: (2) A watercraft that you do not own that is: (a) Less than 50 feet long; and (b) Not being used to carry persons or property for a charge. 5. SUPPLEMENTARY PAYMENTS A. Under Section I - Supplementary Payments - Coverage A and B, Paragraph 1.b., the limit of $250 shown for the cost of bail bonds is replaced by $10,000; B. NOTICE OF OCCURRENCE The following is added to Paragraph 2. of Section IV - Commercial General Liability Conditions - Duties In The Event of Occurrence, Offense, Claim or Suit: Your rights under this Coverage Part will not be prejudiced if you fail to give us notice of an "occurrence", offense, claim or "suit" and that failure is solely due to your reasonable belief that the "bodily injury" or "property damage" is not covered under this Coverage Part. However, you shall give written notice of this "occurrence", offense, claim or "suit" to us as soon as you are aware that this insurance may apply to such "occurrence", offense, claim or "suit." 10. BROAD KNOWLEDGE OF OCCURRENCE The following is added to Paragraph 2. of Section IV - Commercial General Liability Conditions - Duties in The Event of Occurrence, Offense, Claim or Suit: You must give us or our authorized representative notice of an "occurrence", offense, claim, or "suit" only when the "occurrence", offense, claim or "suit' is known to: (1) You, if you are an individual; (2) A partner, if you are a partnership; (3) An executive officer or the employee designated by you to give such notice, if you are a corporation; or (4) A manager, if you are a limited liability company. 11. EXPANDED BODILY INJURY Section V - Definitions, the definition of "bodily injury" is changed to read: "Bodily injury" means bodily injury, sickness or disease sustained by a person, including death, humiliation, shock, mental anguish or mental injury by that person at any time which results as a consequence of the bodily injury, sickness or disease. 12.
