AGREEMENT REGARDING RAILROAD SIGNAL CROSSING UPGRADE AT VISTA ROAD IN CITY OF SPOKANE VALLEY THIS AGREEMENT, made and entered into by and between the City of Millwood, a municipal corporation of the State of Washington, having offices for the transaction of business at 9103 E. Frederick Avenue, Millwood, Washington 99206, hereinafter referred to as "Millwood" and the City of Spokane Valley, a municipal corporation of the State of Washington, having offices for the transaction of business at 10210 E Sprague Ave., Spokane Valley, Washington 99206, hereinafter referred to as "Spokane Valley," jointly hereinafter referred to as the "Parties." Millwood and Spokane Valley agree as follows. SECTION NO. 1: RECITALS AND FINDINGS A. Millwood has planned improvements known as the Argonne Road Empire to Liberty Congestion Relief Project (the "Millwood Road Project"). B. As a result of the Millwood Project, Union Pacific Railroad ("UPRR") is requiring improvements to the railroad crossing signals where UPRR's tracks cross (i) Argonne Road in Millwood (USDOT Crossing No. 662514H) and (ii) Vista Road in Spokane Valley (USDOT Crossing No. 662512U). The UPRR crossing at Vista Road is referred to herein as the "Vista Road/UPRR Crossing." C. UPRR intends to submit a petition to the Washington Utilities and Transportation Commission ("WUTC") for an order authorizing the railroad signal improvements at the Vista Road/UPRR Crossing and identifying the responsibilities for payment of the improvements. The draft petition is attached hereto as Exhibit A. D. Millwood and Spokane Valley agree that the improvements to the Vista Road/UPRR Crossing are necessary solely because of the planned improvements of the Millwood Argonne Road Project. E. Millwood desires Spokane Valley to waive its right to a hearing before the WUTC, and Spokane Valley desires to have no financial responsibility for the signal improvements at the Vista Road/UPRR Crossing necessitated by the Millwood Argonne Road Project. F. Absent either agreement between Millwood and Spokane Valley, or Spokane Valley asserting its rights at a hearing before the WUTC, the WUTC may enter an order requiring Spokane Valley to pay for a portion of the Vista Road/UPRR Crossing signal improvements. The Parties enter into this Agreement in order to delineate who, as between the Parties to this Agreement, is responsible for the costs of the Vista Road/UPRR Crossing signal improvements allocatable to a municipality under RCW 81 .53.261 — .295. SECTION NO. 2: PURPOSE The purpose of this Agreement is to reduce to writing the Parties' understanding as to the terms and conditions under which Millwood will pay for all costs associated with the Vista Road/UPRR Crossing signal improvements that are the responsibility of local jurisdictions per RCW 81.53.261 — .295. SECTION NO. 3: DURATION This Agreement shall commence on the date the last signature is affixed hereto, and shall expire after the Vista Road/UPRR Crossing signal improvements have been completed and all costs assessed against either Millwood or Spokane Valley by the WUTC or UPRR, or another agency or court having lawful jurisdiction, for installation of said improvements have been paid by Millwood. SECTION NO. 4: PARTIES RESPONSIBILITIES: A. In consideration for Spokane Valley's commitments herein, Millwood agrees to pay for all costs that have been or could have been allocated to Spokane Valley under RCW 81.53.261 — .295 in relation to the Vista Road/UPRR Crossing signal improvements. B. In consideration for Millwood's commitments herein, Spokane Valley agrees to waive its right to a hearing before the WUTC regarding the petition for Vista Road/UPRR Crossing signal improvements, provided the filed petition is in substantially the same form as attached Exhibit A. SECTION NO. 5: NOTICE All notices or other communications given hereunder shall be deemed given on: (1) the day such notices or other communications are received when sent by personal delivery; or (2) the third day following the day on which the same have been mailed by first class delivery, postage prepaid addressed to Millwood or Spokane Valley at the address set forth below for such Party, or at such other address as either Party shall from time to time designate by notice in writing to the other Party: Millwood: City of Millwood Mayor or his/her authorized representative 9103 E. SECTION NO. 7: MODIFICATION This Agreement may be modified in writing by mutual written agreement of the Parties. SECTION NO. 8: ALL WRITINGS CONTAINED HEREIN/BINDING EFFECT This Agreement contains terms and conditions agreed upon by the Parties. The Parties agree that there are no other understandings, oral or otherwise, regarding the subject matter of this Agreement. No changes or additions to this Agreement shall be valid or binding upon the Parties unless such change or addition is in writing, executed by the Parties. This Agreement shall be binding upon the Parties hereto, their successors and assigns. SECTION NO. 9: DISPUTES — CHOICE OF LAW This Agreement has been and shall be construed as having been made and delivered within the State of Washington and it is mutually understood and agreed by each party that this Agreement shall be governed by the laws of the State of Washington both as to interpretation and performance. Any action at law, suit in equity or judicial proceeding for the enforcement of this Agreement, or any provision hereto, shall be instituted only in courts of competent jurisdiction within Spokane County, Washington. The prevailing party in any legal action to enforce any term(s) of this Agreement shall be entitled to recover their reasonable attorney fees and costs. SECTION NO. 10: SEVERABILITY The Parties agree that if any parts, terms or provisions of this Agreement are held by the courts to be illegal, the validity of the remaining portions or provisions shall not be affected and the rights and obligations of the Parties shall not be affected in regard to the remainder of the Agreement. If it should appear that any part, term or provision of this Agreement is in conflict with any statutory provision of the State of Washington, then the part, term or provision thereof that may be in conflict shall be deemed inoperative and null and void insofar as it may be in conflict therewith and this Agreement shall be deemed to modify to conform to such statutory provision. Page 3 of 4 SECTION NO. 11: HEADINGS The section headings appearing in this Agreement have been inserted solely for the purpose of convenience and ready reference. In no way do they purport to, and shall not be deemed to define, limit or extend the scope or intent of the sections to which they pertain. SECTION NO. 12: EXECUTION AND APPROVAL The Parties warrant that the officers executing below have been duly authorized to act for and on behalf of the Party for purposes of confirming this Agreement. SECTION NO. 13: DISCLAIMER Except as otherwise provided, this Agreement shall not be construed in any manner that would limit either Party's authority or power under law. Attach additional information sheets, if needed. The proposed modifications to the Vista Road crossing result from the City of Millwood's Argonne Road Reconstruction project that includes proposed improvements to the nearby Argonne Road crossing (USDOT 662514H). A new railroad signal house will be installed to accommodate overlapping approaches due to the increased approaches at Argonne Road. The approaches for Argonne Road are increasing due to the 21 seconds of Advance Preemption requested by the City of Millwood related to its Argonne Road Reconstruction project. Changes at the Vista Road crossing are limited to changes to track circuitry as well as upgrades inside the signal house located at the intersection, to accommodate for the Advance Preemption at Argonne Road. The Vista Road crossing will operate the same as it does today and no other modifications to the signal system or crossing are proposed. Revised 04/2023 5 Section 8—Illustration of Crossing Attach a detailed diagram, design drawing,map,or other illustration showing the current and proposed layout of the road, crossing surface, and railway in the vicinity of the crossing, including shoulders, sidewalks, lanes of travel,bike lanes,warning devices,pavement markings and any other applicable crossing conditions. Section 9— Traffic Signal Preemption Are the railroad signals currently interconnected with a traffic signal(s)? Yes ✓ No If yes, attach documentation supporting the proposed traffic signal preemption timing calculations (e.g., TXDOT Guide for Determining Time Requirements for Traffic Signal Preemption at Highway Rail Grade Crossings or similar preemption worksheet/plan), which must be certified by a professional engineer. Section 10—Description of Public Safety Need Describe and support the public safety need for the proposed changes. (RCW 81.53.261) The proposed modifications to the Vista Road crossing result from the City of Millwood's Argonne Road Reconstruction project that includes proposed improvements to the Argonne Road crossing (USDOT 662514H). The City of Millwood will file a separate petition related to those proposed improvements. The crossing at Vista Road is located one half mile west of the crossing at Argonne Road. Proposed signal modifications at the Argonne Road crossing will require extended train detection circuits.Additional equipment is needed at the Vista Road crossing to accommodate this.Therefore, a larger/newer/better bungalow is needed. This project is receiving funding from CMAQ; Congestion Mitigation and Air Quality and is a part of Washington's State Transportation Improvement Program(STIP). Section 11—Approximate Cost of Installation and Related Work Provide the approximate cost of installation and related work for the proposed changes to signals and/or warning devices. (RCW 81.53.271) The total cost for the work that will be done to the railroad is estimated to be approximately $139,036. The City of Millwood is using federal funding to pay for these improvements. The City of Spokane Valley is not responsible for any of these costs. Revised 04/2023 6 Section 12—Approximate Cost of Annual Maintenance Provide the approximate cost of annual maintenance for the signals and/or warning devices. (RCW 81.53.271) The approximate cost of annual maintenance is $11,730. Because this project is funded by the City of Miliwood's federal-aid highway funds, this annual maintenance cost will be borne by UPRR, per RCW 81 .53.295. Section 13—Cost Apportionment If the commission directs the installation of or changes to the warning devices requested in this petition,it will apportion installation and maintenance costs in accordance with the applicable statutes. (RCW 81.53.261-295) Interested parties may instead enter into an agreement providing for the installation of signals or other warning devices or for the apportionment of the cost of installation and maintenance.
