Docusign Envelope ID: 095F976D-B8D4-4901-9B4F-CC415AD730F7 CONTRACT AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF SPOKANE VALLEY AND APOLLO MECHANICAL CONTRACTORS Spokane Valley Contract #24-154.01 For good and valuable consideration, the legal sufficiency of which is hereby acknowledged, City and the Apollo Mechanical Contractors mutually agree as follows: 1. Purpose: This Amendment is for the Contract for mechanical investment services at Center Place Event Center by and between the Parties, executed by the Parties on December 3, 2024, and which terminates on December 31, 2026. Said contract is referred to as the "Original Contract" and, its terms are hereby incorporated by reference. 2.Original Contract Provisions: The Parties agree to continue to abide by those terms and conditions of the Original Contract and any amendments thereto which are not specifically modified by this Amendment. 3. Amendment Provisions: The Original Contract is subject to the following amended provisions, which are either as follows, or attached hereto as Appendix "A". All such amended provisions are hereby incorporated by reference herein and shall control over any conflicting provisions of the Original Contract, including any previous amendments thereto. The original agreement scone is amended to include additional assets and equipment for scheduled planned maintenance per the attached Appendix "A". The additional assets and equipment for planned maintenance also includes additional compensation as shown below. 4. Compensation Amendment History: This is Amendment #1 of the Original Contract. This agreement will be initiated, scheduled, administered, monitored and updated by the Service Provider. The service activities will be directed and scheduled, on a regular basis, by our comprehensive equipment maintenance scheduling system based on manufacturers' recommendations, equipment location, application, type, run time, and Service Provider's own experience. The Customer is informed of the agreement's progress and results on a continuing basis via a detailed Service Report, presented after each service call for Customer's review, approval signature and record. WE WILL PROVIDE THE FOLLOWING PROFESSIONAL MAINTENANCE SERVICES FOR THE BUILDING ENVIRONMENTAL MECHANICAL SYSTEM(S) COMPRISED OF THE EQUIPMENT LISTED ON SCHEDULE 1 (INVENTORY OF EQUIPMENT): TEST AND INSPECT: On -Site labor, travel labor and travel and living expenses required to visually INSPECT and TEST equipment to determine its operating condition and efficiency.
