TERMINATION AND RELEASE OF EASEMENT
FOR CONSIDERATION OF THE ACTUAL BENEFITS HEREIN
DERIVED by the parties hereto, the undersigned Spokane County, a political
subdivision of the State of Washington, located at 1116 W. Broadway Ave.,
Spokane, WA 99260 ("Grantor"), hereby grants to the City of Spokane Valley, a
municipal corporation of the State of Washington, located at 10210 E. Sprague Ave.,
Spokane Valley, WA 99206, and its successors and assigns ("Grantee"),
(collectively "parties"), an unconditional full termination, release, and
relinquishment of Grantor's rights,powers, and authority pursuant to the Sewer and
Access Easement, originally granted to it by the State of Washington, described
under Spokane County recording number 6595921 attached hereto as Exhibit 1,
located over, under, across, and upon the following described real property situated
in Spokane County,State of Washington:

That portion of Plat No. 3 of WEST FARMS IRRIGATED
TRACTS, according to the plat recorded in Volume "T" of Plats at
Page 6, and that portion of the unnamed road vacated by Spokane
County Commissioner's Resolution No. 79 1582, in Spokane
County, Washington, lying within the following described tract of
land:
Beginning at an intersection of the Easterly margin of Flora Road as
described in Quit Claim Deed dated May 28, 1980, recorded June 2,
1980 under Auditor's File No. 8006020176, and the North boundary
of Tract 101 of said Plat No. 3 of WEST FARMS IRRIGATED
TRACTS; thence North 75°03' East along said North boundary a
distance of 1527 feet to a point of non-tangent curve, concave to the
North having a radius of 75 feet; thence Southeasterly, Easterly and
Northerly,along said curve a distance of 203 feet,more or less,to the
Southerly right of way line of the Spokane International Railway,
(Burlington Northern, Inc.); thence South 75°03' West along said
Southerly right of way line to the said Easterly margin of Flora Road
(hereinafter referred to as Point "A"); thence South 0°17' East along
said Easterly margin to the point of beginning.
Access Easement
An Access Easement 20 feet in width, 10 feet on each side of the
following described centerline over and across that portion of Plat
No. 3 of WEST FARMS IRRIGATED TRACTS, according to the
plat recorded in Volume "T" of Plats at Page 6, in Spokane County,
Washington:
Commencing at the aforementioned Point "A"; thence South 0°17'
East, along the Easterly margin of Flora Road, as described in Quit
Claim Deed dated May 28, 1980, recorded June 2, 1980 under
Auditor's File No. 8006020176, a distance of 240 feet to the true
point of beginning,which is a point of non-tangent curve,concave to
the Northwest,the radius point of which bears North 11°05'01" West
a distance of 194 feet; thence Northeasterly along said curve a
distance of 168.40 feet; thence North 29°17'43" East a distance of
88.58 feet to a point of curve to the right having a radius of 180 feet;
thence Northeasterly along said curve a distance of 77.78 feet;thence
North 53°56'22" Easta distance of 106.44 feet, more or less, to the
North boundary of Tract 101 of said plat and the terminus of this
centerline description. The sidelines of said 20 foot Access Easement
to be extended or shortened to terminate at the Easterly margin of
Flora Road and the North boundary of said Tract 101.

By the foregoing, Grantor retains no interest whatsoever in the Sewer and
Access Easement described in Spokane County recording number 6595921,attached
as Exhibit 1.

The STATE OF WASHINGTON acting by and through its DEPARTMENT OF
TRANSPORTATION, Grantor, for and in consideration of THIRTY TWO THOUSAND AND
NO/100 DOLLARS ($32,000.00), hereby grants and conveys unto SPOKANE COUNTY, a
political subdivision of the state of Washington, Grantee, and its successors and assigns, a non-
exclusive easement for the sole purpose of constructing, installing, operating, maintaining,
repairing, replacing, removing, and all other uses or purposes which are or may be related to a
sanitary sewer system, together with the access rights of ingress and egress for such purposes,
over, under, across, and upon the following described real property situated in Spokane County,

The specific details concerning all of which may be found on sheet 11 of that certain plan
entitled Spokane County Sundry Site Plans, QS-C-68 now of record and on file in the Office of
the Secretary of Transportation at Olympia, Washington, bearing date of approval April 1, 1977,
revised November 10,2016.
Subject to all existing encumbrances, including easements,restrictions and reservations,if
any.
Grantee, its successors or assigns, agrees to and shall maintain the sewer and access
easements in good,sanitary and safe condition. Should Grantee's use of its access easement damage
the existing access road, Grantee agrees to notify Grantor and further agrees to make such road
repairs as Grantor deems necessary. Grantee also agrees to replace any GPS monuments, trees,
and vegetation that are removed or disturbed by Grantee's activities upon the sewer and access
easements described herein,to the Grantor's satisfaction.
Grantor specifically reserves the right to use the existing access road for any purpose
reasonably not inconsistent with Grantee's use of its access easement,insofar as the existing access
road is located on the land of the Grantor.Grantor shall be responsible for the existing access road's
maintenance, as it deems necessary, except to the extent that Grantee, its successors or assigns,
have damaged the existing access road. Grantee, its successors or assigns, hereby agrees not to
interfere with Grantor's use of its land as provided herein.
The Grantee, its successors or assigns, shall protect, save, and hold harmless the Grantor,
its agents and employees, from all claims, actions, costs, damages (both to persons and/or
property),or expenses of any nature whatsoever by reason of the acts or omissions of the Grantee,
its agents,contractors,licensees,invitees,employees,or any person whomsoever arising out of or
in connection with any acts or activities related to this deed. The Grantee,its successors or assigns,
further agrees to defend the Grantor,its agents or employees in any litigation, including payment
of any judgments, costs or attorney's fees, for any claims or action commenced arising out of or
in connection with acts or activities related to this deed. This obligation shall not include such
claims,costs,damages(both to persons and/or property),or expenses which may be caused by the
sole negligence of the Grantor or its agents and/or employees; provided that, if the claims or
damages are caused by or result from the concurrent negligence of(a) the Grantor, its agents or
employees and (b) the Grantee, its agents, contractors, licensees, invitees, employees, and/or any

other person,or involves those actions covered by RCW 4.24.115, this indemnity provision shall
be valid and enforceable only to the extent of the negligence of the Grantee or Grantee's agents,
contractors,licensees, invitees,employees and/or any other person.
The Grantee,on behalf of itself and its successors or assigns,as part consideration herein,
do hereby agree to comply with all civil rights and anti-discrimination requirements of chapter
49.60 RCW as to the lands herein conveyed.
The lands herein described are not required exclusively for state highway purposes and are
conveyed pursuant to the provisions of RCW 47.12.080.
