HomeMy WebLinkAbout25-154.00JAKTFoundationCenterPlaceFacilityReservationCONTRACT BETWEEN THE CITY OF SPOKANE VALLEY AND THE JAKT FOUNDATION Spokane Valley Contract #25-154 THIS AGREEMENT is made by and between the City of Spokane Valley, a non -charter code City of the State of Washington, hereinafter referred to as the "City", and JAKT Foundation, hereinafter referred to as "Entity", jointly referred to as "Parties", or individually as "Party". IN CONSIDERATION of the terms and conditions contained herein the Parties agree as follows: 1. The Parties mutually agree and acknowledge the following: A. Entity reserved certain City facilities for July 16, 2025 through July 20, 2025 as shown in the Facility Reservation, attached hereto as Exhibit A in order to host its annual Crave! Event; B. The cost for said reservation was $13,430.00, and is currently past due; C. The City provided the facilities as required by the Facility Reservation in Exhibit A, and has met all of its obligations pursuant thereto; and D. Entity has an outstanding balance for said reservation of $13,430.00 ("Amount Due") as shown in Exhibit A. 2. Purpose: The purpose of this Agreement is to: (1) memorialize the City's agreement to forebear collection against the Entity for Amount Due until a date certain; (2) establish a date certain by which a wire transfer must be complete for payment of the Amount Due; and (3) *provide the necessary instructions for said transfer to City to ensure that Entity meets its obligations. 3. The Parties agree that the exchange of commitments identified herein constitutes legally valid and sufficient consideration for this Agreement. Should the Entity fail to transfer $13,430.00 to City by 4:00 pm PST on Tuesday, September 16', 2025, then said failure shall be considered a material breach which shall entitle the City to seek collection of said funds by any lawful means including but not limited to seeking a judgment in a court of competent jurisdiction. The failure to meet the deadline to transfer the funds shall result in the amount due accruing interest of 12% per annum, or the maximum allowed by law, whichever is less. 5. The City shall provide instructions for a wire transfer to Entity upon execution of this Agreement. Such instructions shall not be shared by Entity with any third -party except for the purposes of fulfilling Entity's obligations herein, or upon lawful request made to the City of Spokane Valley and after due consideration of exemptions under the public records act, chapter 42.56 RCW. 6. This Agreement constitutes the entire complete agreement between the Parties and supersedes any prior oral or written agreements. This Agreement may not be changed, modified, or altered except in writing signed by the Parties. Nothing herein relieves the Entity of any of its other obligations pursuant to its Facility Reservation in Exhibit A attached hereto. 7. All disputes arising under or related to this Agreement that cannot be resolved through informal discussion and negotiations shall be resolved by litigation filed in the Superior Court of the State of Washington for Spokane County, or the District Court for the Count of Spokane in the State of Washington. The parties have executed this Amendment to the Original Grant Agreement this 29 day of August 2025, 2025. Cancellations received at least 6 months in advance will pay a $50 processing fee; events cancelled 3 to 6 months in advance will forfeit damage deposit and there will be a 50 percent cancellation fee for events cancelled less than 90 days prior to the scheduled date. A 2-week written notice of cancellation is required for full refund of meeting room events. Refunds will take up to 4 weeks to process. PRE -EVENT CHECKLIST: Applicant/user must finalize event details with CenterPlace staff 30 days prior to the event date and pay balance owed on account. DECORATIONS: Please refer to decoration policy. Any violation of the decoration policy may result in forfeiture of damage deposit. RENTAL HOURS: You must rent the facility for setup, during your event and cleanup. All items must be removed from the room reserved by the end of your room rental or additional time may be deducted from your damage deposit. CATERING (FOOD AND BEVERAGE): A CENTERPLACE DESIGNATED CATERER IS THE EXCLUSIVE IN-HOUSE CATERER AT CENTERPLACE AND MUST BE USED FOR ALL EVENTS MONDAY-SATURDAY. GROUPS ARE NOT ALLOWED TO BRING IN THEIR OWN FOOD OR ANOTHER CATERER INCLUDING BEVERAGES MONDAY - SATURDAY. ANY GROUP VIOLATING OUR POLICY BY BRINGING IN THEIR OWN FOOD OR BEVERAGE WILL HAVE IT REMOVED FROM THE FACILITY BY CENTERPLACE STAFF. —PLEASE INITIAL TO CONFIRM YOU UNDERSTAND OUR POLICY Sunday events can utilize our in-house caterer or self cater the event with an additional fee. Groups must be totally self contained. There is no kitchen or refrigeration access. Group will need to meet with CenterPlace staff for Sunday events. KITCHEN: The kitchen is leased to our in-house caterer. There is no kitchen access to groups. ALCOHOL: A CenterPlace designated in-house caterer is the sole provider of alcohol at CenterPlace. Groups are not allowed to bring in their own alcohol. Public intoxication will not be tolerated and may result in the revocation of your alcohol permit. Any violation of the alcohol policy will result in loss of damage deposit. UNSUPERVISED CHILDREN: For their safety, children must remain in event rooms and have proper supervision at all times. Failure to supervise children may result in loss of damage deposit. NULMER 08/26/25 05:19:35 PM Page:2 DAMAGE/CLEANING DEPOSIT: The facility will be inspected immediately following the event. Facility staff will determine the condition of the facility, meeting room(s), Great Room, kitchen, restrooms and outside grounds. Damage/cleaning deposit will be refunded within six weeks of the event if there is no damage to the facility, additional rental charges or extra clean up required. If damages exceed the cleaning deposit or if there are additional charges, the applicant will be charged for the difference. TERMS AND CONDITIONS: The City of Spokane Valley hereby grants the use of CenterPlace facilities and those rented under the current agreement to applicant. The applicant agrees to restore the premises to the same condition in which it was found, normal wear and tear and acts of God excepted. The applicant shall hold the City of Spokane Valley, its officers, employees and agents, harmless from all damages, liabilities, injuries or losses to persons or property resulting from the use of the facilities. The applicant agrees to adhere to all rules and regulations on this form and in the rental guidelines. INDEMNIFICATION/HOLD HARMLESS: User shall defend, indemnify and hold harmless the City of Spokane Valley, its officers, officials, employees and volunteers from and against any and all claims, suits, actions, or liabilities for injury or death of any person, or for loss or damage to property, which arises out of the use of Premises or from any activity, work or thing done, permitted, or suffered by User in or about the Premises, except only such injury or damage as shall have been occasioned by the sole negligence of the City. I am fully aware of the health risks and hazards connected with the activity, and hereby agree to comply with all federal, state and local health district requirements. I AGREE THAT FAILURE TO ABIDE BY CENTERPLACE POLICIES AND FAILURE TO ENFORCE THEM WITH MY GUESTS, CAN RESULT IN LOSS OF DEPOSIT AND/OR ASSESSMENT OF ADDITIONAL FEES.
