Spokane Valley Contract # 22-171.02 For good and valuable consideration, the legal sufficiency of which is hereby acknowledged, City and Great West Engineering, Inc. mutually agree as follows: 1. Purpose: This Amendment is for the Contract for updating the City's Comprehensive Solid Waste Management and Moderate -Risk Waste Management Plan executed by the Parties on November 1, 2022, and which terminates on December 31, 2025. Said contract is referred to as the "Original Contract" and its terms are hereby incorporated by reference. 2.Original Contract Provisions: The Parties agree to continue to abide by those terms and conditions of the Original Contract and any amendments thereto which are not specifically modified by this Amendment. 3. Amendment Provisions: The Original Contract is subject to the following amended provisions. All such amended provisions are hereby incorporated by reference herein and shall control over any conflicting provisions of the Original Contract, including any previous amendments thereto. A) Termination date: Due to unanticipated delays, the termination date, identified as the Project Closeout in the Original Contract's Project Schedule, is extended to December 31, 2026. B) Pursuant to Task 3 in the Scope of Services of the Original Contract, meetings #245 of the Stakeholder Group, also referred to as the Technical Advisory Committee (TAC), were assumed to be virtual meetings but the TAC requested the meetings to be in -person to which the City agreed. Attached hereto as Appendix "A" are details of the additional agreed -to travel for the in - person meetings. As such, Section 3 of the Original Contract is hereby amended to modify the compensation from $269,600.00 to $294,955.60. 4. Compensation Amendment History: This is Amendment #2 of the Original Contract. City Manager Its: President APPROVED AS TO FORM: of the City Attorney APPENDIX "A" Additional Compensation Details GreatWest F N C CONTRACT AMENDMENT NO. 2 CITY OF SPOKANE VALLEY SOLID WASTE AND MODERATE RISK WASTE MANAGEMENT PLAN UPDATE This Contract Amendment No. 2 adds and changes services to the Original Agreement (Solid Waste and Moderate Risk Waste Management Plan Update), and previous Amendment No. 1, between the City of Spokane Valley ("City") and Great West Engineering, Inc. ("Consultant"). The following services are included in this contract amendment. TASK 3 — STAKEHOLDER GROUP ASSISTANCE Status: The initial TAC meeting was held in person and attended by two staff members. The remaining TAC meetings were supposed to be held virtually as per the original contract. However, at the request of the City, all TAC meetings were conducted in person. As a result, there were additional costs for travel expenses and travel labor for up to two people to attend these meetings in person, as detailed below.
