HomeMy WebLinkAbout19-203.04RadioControlledCarClubofSpokaneLicenseAgreementContract # 19-203.04 CONTRACT AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF SPOKANE VALLEY AND RADIO CONTROLLED CAR CLUB OF SPOKANE Spokane Valley Contract # 19-203.04 For good and valuable consideration, the legal sufficiency of which is hereby acknowledged, City and RCCCS mutually agree as follows: 1. Purpose: This Amendment is for the License Agreement for the use and operation of the radio -controlled car track located in Sullivan Park by and between the Parties, executed by the Parties on June 9, 2020, with a termination date of December 31, 2025. Said contract is referred to as the "Original Contract" and its terms are hereby incorporated by reference. 2.Original Contract Provisions: The Parties agree to continue to abide by those terms and conditions of the Original Contract and any amendments thereto which are not specifically modified by this Amendment. 3. Amendment Provisions: The Original Contract is subject to the following amended provisions. All such amended provisions are hereby incorporated by reference herein and shall control over any conflicting provisions of the Original Contract, including any previous amendments thereto. The License Agreement is extended until December 31, 2026. Further, Section 4 of the Original Contract is amended to read as follows: Costs of Operation. Licensee agrees pav or reimburse the City for all electrical and water costs attributable to the Premises, and for support services as may be agreed upon in writing and provided by the City at the request of RCCCS. The City shall submit an invoice to RCCCS by February 15 of the following year for all electrical and water usage costs attributable to the Premises for the previous calendar year. RCCCS shall pap for said costs by September 30 of each ,year. This term and condition to pay the City for such costs shall survive expiration or early termination of the Agreement. 4. Compensation Amendment History: This is Amendment #_4_ of the Original Contract.
