Re: Implementation of 2026 option year, Agreement for regular maintenance of City
Hall VRF HVAC system, 24-190, executed May 16, 2025
Dear Kiel:
The City executed an Agreement for provision of regular maintenance of City Hall VRF
HVAC system on May 15, 2025, by and between the City of Spokane Valley, hereinafter
"City", and McKinstry Co., LLC., hereinafter "Contractor" and jointly referred to as
"Parties."
The original Agreement states that it was for one year, with three optional one-year terms
possible if the parties mutually agree to exercise the options each year. This is the first of
three possible option years that can be exercised and runs through December 31, 2026.
The City would like to exercise the 2026 option year of the Agreement. The
Compensation as outlined in Exhibit A to this letter, includes the labor and material cost
negotiated and shall not exceed $13,677.50 plus applicable sales tax. The history of the
annual renewals, including dollar amounts, is set forth as follows:
Original contract amount $12,113.50 (plus applicable sales tax)
2026 Renewal .... $13,677.50 (plus applicable sales tax)
All of the other contract provisions contained in the original Agreement shall remain in
place and remain unchanged in exercising this option year.
If you are in agreement with exercising the 2026 option year, please sign below to
acknowledge the receipt and concurrence to perform the 2026 option year. Please return
two copies to the City for execution, along with current insurance information. A fully
executed original copy will be mailed to you for your files.
By signing this letter agreement,you agree to waive any argument that the original
Agreement expired, and agree to be bound by all terms therein which are not specifically
modified by this letter. This letter agreement shall be deemed to incorporate all of the
terms of Contract No. 24-190, which are not specifically modified herein.

Contractor agrees to provide repair service to the customers,twenty-four(24)hours per day seven(7)days per week at the contracted rates quoted by the
contractor.All repair services performed shall be billed separate of the maintenance agreement and shall not be deemed a part of the preventive
maintenance program.It is further agreed that the customer shall be billed for any and all components and materials required to successfully complete such
repairs.
