This Order Form is entered into by and between Customer and Lightcast, asset for the below, as of the Effective Date
and, together with the Referenced Documents, constitutes the entire agreement between the parties.

Services This Order Form is for the purchase of the Services set forth in Exhibit A. The scope and timing
of delivery of the Services may be described in one or more Statements of Work.
Effective Date This Order Form is a binding offer by Lightcast. It becomes effective when executed by both
parties. This offer will remain open for 90 calendar days from the date hereof. If this Agreement
has not been executed within such period, the offer shall expire.
Term The Services will commence on the applicable Service Start Date(s) and end on the applicable
Service End Date(s) provided in Exhibit A for each respective service.
Fees The Fees for the Services are set forth in Exhibit A.
Payment Lightcast will invoice Customer for the Services on a(n) Annual basis. Payment is due within net
30 of the date of invoice.
Referenced This Order Form is governed by and incorporates the following documents in effect as of the
Documents Effective Date (the "Referenced Documents"). All documents are listed in order of precedence
and are collectively referred to as the "Agreement".
