Spokane Valley Contract No. 25-163.01 For good and valuable consideration, the legal sufficiency of which is hereby acknowledged, City and the Consultant mutually agree as follows: 1. Purpose: This Amendment is for the Contract for development of the Parks and Recreation Master Plan Update, by and between the Parties, executed by the Parties on October 20, 2025, and which terminates on June 30, 2026. Said contract is referred to as the "Original Contract" and its terms are hereby incorporated by reference. 2.Original Contract Provisions: The Parties agree to continue to abide by those terms and conditions of the Original Contract and any amendments thereto which are not specifically modified by this Amendment. 3. Amendment Provisions: The Original Contract is subject to the following amended provisions, which are attached hereto as Appendix "A". All such amended provisions are hereby incorporated by reference herein and shall control over any conflicting provisions of the Original Contract, including any previous amendments thereto. 4. Compensation Amendment History: This is Amendment #1 of the Original Contract. The history of amendments to the compensation on the Original Contract and all amendments is as follows: Date Compensation Original Contract Amount October 20, 2025 $127,800.00 Amendment #1 to be executed $ 29,000.00 Total Amended Compensation $156,800.00 The parties have executed this Amendment to the Original Contract this 36 day of April, 2026. Paragraph 3 (Compensation) of the Original Contract is hereby amended to change the total compensation paid from $127,800.00, to $156,800.00 (which includes Washinton State Sales Tax if any is applicable). Paragraph 3 of the Original Contract is amended to read as follows: City agrees to pay Consultant a flat fee of $156,800.00, (which includes Washington State Sales Tax if any is applicable) as full compensation for everything done under this Agreement, as set forth in Exhibit A. Consultant shall not perform any extra, further, or additional services for which it will request additional compensation from City without a prior written agreement for such services and payment therefor. 2. Scope of Services, (Exhibit A) of the Original Contract, is hereby amended to include the "Supplemental Scope of Services" outlined in Exhibit A-1 which is attached hereto and incorporated herein by this reference. FA EXHIBIT "A-1" — SUPPLEMENTAL SCOPE OF SERVICES Project Understanding The City intends to enter an Agreement Amendment with Kimley-Horn to conduct a supplemental aquatic facility audit as part of the Parks & Recreation Master Plan Update. Spokane Valley has three public outdoor aquatic facilities: Park Road Pool, Terrace View Pool and Valley Mission Pool. Additional Scope of Services Kimley-Horn will provide the services specifically set forth below. Task 1 Facility Assessments Prior to beginning this task, the City will furnish the Professional any existing information on the site including topographic surveys, geotechnical reports, as -built plans, data and maps from prior master plans, and plats with utility easements and locations shown. This task includes a one -day in -person visit from the Professional and team members. 1.1 Initial Communication and Coordination Prior to and during this task the Professional will finalize timelines with the City, set up communication protocol, hold a project kick-off meeting, and establish procedures for providing project status reports. 1.2 Facility Visit The Professional will need to become familiar with the location, condition, and programming offered at all existing aquatic facilities. The basic approach to this task will consist of the following: A. Prior to visiting the pools — the City will provide the Professional any existing information on the pools including age, known condition issues, chemical usage, recent renovations, current operating costs, attendance, and revenue. B. The Professional will visit the three outdoor aquatic facilities and perform a general evaluation of the condition of the facility. The facilities will be photographed and information about condition and operational issues will be documented in the form of descriptive meeting notes. C. Overview comments will be developed and submitted that may include information regarding support spaces, parking, ADA compliance, and other site issues. 1.3 Conditions Report A. The deliverable will consist of a one -to -two -page report for each location noting the following: a. The type of pool, program elements and systems b. Substandard conditions and/or shortcomings of the swimming pools will be documented with analysis for possible action for correction, including identification of any equipment and/or systems requiring more intensive evaluation and analysis. c. Recommended priority of renovation or replacement of pool systems, and site renovation B. The conditions report will include a discussion of estimated life -cycle in current or repaired conditions. C. An Opinion of Probable Cost for any repairs noted in the report will be provided. Because the Professional does not control the cost of labor, materials, equipment, or services furnished by others, methods of determining prices, or competitive bidding or market conditions, any opinions rendered as to costs, including but not limited to opinions as to the costs of construction and materials, shall be made on the basis of its experience and represent its judgment as an experienced and qualified professional, familiar with the industry. The Professional cannot and does not guarantee that proposals, bids, or actual costs will not vary from its opinions of cost. Services Not Included Any other services, including but not limited to the following, are not included in this Agreement: Structural Analysis of pool shell Determining causes of identified water loss Geotechnical testing and analysis Locating electrical currents and their sources at and around the pools Equipotential bonding and grouping of the pool(s) Franchise Utility Coordination Traffic Impact Studies or Signal Design Preparation of Traffic control plans Revisions due to changes in regulations Construction Documents of any kind Archaeological Survey Detailed Labor/Materials Cost Estimates (As Prepared by an Estimating Service) Record Drawing Survey Wetlands Permitting / Delineation Environmental Impact Statement 3D Architectural Renderings and Computer Animations Specialty AudioNisual or Food Service Consultant Services Operations and Training Consultation Information Provided By City We shall be entitled to rely on the completeness and accuracy of all information as requested in the scope of services above provided by the City or the City's consultants or representatives. Schedule We will provide our services as expeditiously as practicable with the goal of meeting the following schedule: Task 1 Facility Assessments Fee and Expenses 1 Month Kimley-Horn will perform the services in Tasks 1 for the total lump sum fee below (inclusive of expenses). Task 1 Facility Assessments $29,000 Total Lump Sum Fee (Tasks 1) $29,000 Lump sum fees will be invoiced monthly based upon the overall percentage of services performed. Payment will be due within 25 days of your receipt of the invoice and should include the invoice number and Kimley-Horn project number.
