CONTRACT AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF SPOKANE VALLEY AND MACKENZIE ENGINEERING, INC. Spokane Valley Contract #24-129.03 For good and valuable consideration, the legal sufficiency of which is hereby acknowledged, City and the Consultant mutually agree as follows: 1. ose: This Amendment is for the Contract for Police and Public Safety Planning services by and between the Parties, executed by the Parties on July 22, 2024, and which terminates on June 30, 2026. Said contract is referred to as the "Original Contract" and its terms are hereby incorporated by reference. 2.Original Contract Provisions: The Parties agree to continue to abide by those terms and conditions of the Original Contract and any amendments thereto which are not specifically modified by this Amendment. 3. Amendment Provisions: The Original Contract is subject to the following amended provisions, which are attached hereto as Appendix "A". All such amended provisions are hereby incorporated by reference herein and shall control over any conflicting provisions of the Original Contract, including any previous amendments thereto. 4. Compensation Amendment History: This is Amendment #3 of the Original Contract. Paragraph 2 of the Original Contract is amended to read as follows: This Agreement shall be in full force and effect upon execution and shall remain in effect until completion of all contractual requirements have been met as determined by City. Consultant shall complete its work by June 30, 2027 unless the time for performance is extended in writing by the Parties. Either Party may terminate this Agreement for material breach after providing the other Party with at least 10 days' prior notice and an opportunity to cure the breach. City may, in addition, terminate this Agreement for any reason by 10 days' written notice to Consultant. In the event of termination without breach, City shall pay Consultant for all work previously authorized and satisfactorily performed prior to the termination date. 2. Paragraph 3 (Compensation) of the Original Contract is hereby amended to change the total compensation paid from $226,704.00 to $293,166.00. Paragraph 3 of the Original Contract is amended to read as follows: City agrees to pay Consultant an agreed upon hourly rate up to a maximum amount of $293,166.00 as full compensation for everything; done under this Agreement, as set forth in Exhibit A Consultant shall not perform any extra, further, or additional services for which it will request additional compensation from City without a prior written agreement for such services and payment therefore. 3. The Scope of Work, (Exhibit A) of the Original Contract, is hereby amended to include the following additional tasks and/or services: Consultant shall provide additional services as shown on attached Exhibit A-3, which is incorporated herein by this reference. 2 EXHIBIT A-3 MACKENZIE Portland, OR • Vancouver, WA • Seattle, WA • Sacramento, CA June 25, 2026 City of Spokane Valley Attention: Glenn Ritter, Senior Engineer/Project Manager 10210 E Sprague Avenue Spokane Valley, WA 99206 Re: Spokane Valley Police and Court Building Conversion Analysis Project Number 2240152.03 Dear Mr. Ritter: Mackenzie appreciates this opportunity to continue working with the City of Spokane Valley to meet your goals for the police and courts. We are pleased to present to the City of Spokane Valley ("Client") the following Scope of Services and fee proposal for a contract amendment to evaluate an existing building for the Police and Public Safety Space Planning project. Mackenzie's integrated team of design professionals will provide architecture and structural engineering services for the above project. In addition, Mackenzie will retain cost estimating and mechanical, electrical, and plumbing (MEP) consultants to complete the team. See attached proposals from our consultants (Attachments A and B). Our Basis of Design along with our detailed Scope of Services by phase is as follows: BASIS OF DESIGN The following describes in detail the elements that define the basis of our proposal. 1. Client would like to evaluate potential locations for the Police Department and Court campus facilities to an existing site and building: A. Existing site and building to be located in Spokane Valley, Washington. I. Site total size = up to 7.5 acres. II. Existing building occupancy: retail or warehouse or similar. III. Two stories; Building size = up to 100,000 square feet (SF). B. Client intends to demolish all interior spaces and complete a renovated conversion of the space for the Police Department and Court. Client is interested in maintaining only the shell of the building, and completing seismic improvements, building envelope, door, and window improvements, and mechanical, electric, plumbing, and fire protection improvements as necessary to accommodate the intended use. All interior renovation work will consist of new build tenant improvements within the improved shell. C. The interior will be planned around the approved space needs of Program Option A (final provided by Mackenzie on January 23, 2026): I. Building area: a. 40,820 SF for police building. b. 4,800 SF for court. C. Total building area required: 45,634 SF. Total site required: 156,528 SF (3.59 acres). 2. Client will provide plans or reports in its possession for the site/building. 3. Community uses such as public government buildings must be allowed in the zone in which the building sits. 4. Based on the construction date, the roof and walls may have inadequate insulation and require improvements to the roof assembly to meet current code. 5. The MEPF systems are unknown and may be outdated for current code requirements and for a conversion to Police and Court. 6. The proposed conversion to a Courthouse and Police could change the occupancy to an Assembly (A), Business (B) and Storage (S-1/S-2). A change of occupancy could trigger building upgrade requirements per Washington State Existing Building Code. 7. The change of use to Police will require a change of seismic category to Risk Category IV, essential facilities. This may require upgrades to the building structure. A determination on seismic upgrade triggers per the Washington State Existing Building Code and ASCE 41 Seismic Evaluation and Retrofit of Existing Buildings will be provided. 8. Aerial site views are available from Google Earth. There are no surveys available currently. 9. There is no geotechnical report for the site. A geotechnical report for a nearby property will be provided. 10. The project is planned to be delivered through a progressive design -build alternative delivery. 11. Client plans to hire a third -party Client/Owner Representative for the project to assist with the PRC process for alternative delivery approval. 12. The total project budget (construction and soft costs) has not been established and will be determined during the pre -design phase. A. For the purposes of our Basis of Design and future budget understanding, the total project budget can be viewed in two (2) general categories: Hard Costs and Soft Costs. Hard costs can be generally expected to require 60-65% of a project budget, and would include hard building construction costs, general conditions, bonds/insurance, general contractor overhead/markups, construction contingency, etc. Soft costs can generally be expected to require the remaining 35-40% of the project budget, and would include design costs, specialty consultant costs, permit fees, furnishing, fixtures and equipment (FF&E), moving allowances, sales tax, soft cost contingency, etc. B. For the purpose of cost estimating, the expected construction start date is fourth quarter of 2027. 13. Client will not be pursuing sustainability certification for the project (i.e., LEED, Green Globes, WELL, etc.). 14. The Authority Having Jurisdiction (AHJ) for the project is the City of Spokane Valley. 15. The point of contact for the duration of the project will be Glenn Ritter (City Project Manager). All communication will be sent through the City Project Manager who will distribute as required for the project. Mackenzie will establish a 30-minute standing bi-weekly video conference check -in calls with the City Project Manager. 16. Schedule summary: A. Project kick-off: Anticipated late July 2026. B. Estimated duration: seven to nine (7-9) weeks. Task 1: Building Evaluation a. Site visit, building analysis and develop structural, MEP, and architectural existing conditions report, including recommendations for improvements required to the building shell (four to five (4-5) weeks). Task 2: Cost Estimating a. Task 2.1: Prepare cost estimate for improvements to the building shell and assemble final report (three to four (3-4) weeks). Task 2.2: Prepare cost estimate that includes the above cost for building shell improvements and interior renovation and site improvements for Program Option A based on regional average cost per SF for similar construction (parallel time to Task 2.1). SCOPE OF SERVICES Building Evaluation and Cost Estimate Duration: 7-9 weeks The Evaluation phase will analyze the existing building and site for required upgrades to the shell to allow a conversion to Police and Court. Scope of work will provide a cost estimate for the shell upgrade, interior tenant improvements, and site improvements to develop the building as necessary to support the Police and Court functions. This is divided into two (2) tasks: 1) Site analysis and recommendations; and 2) Cost estimate. 1. Meetings — Standing Bi-weekly PM Meetings: During the course of this phase, Mackenzie will communicate via 30-minute bi-weekly conference call check -ins with the City Project Manager. 2. Task 1— Evaluation of existing conditions and improvement recommendations: A. Existing Drawings Review: Receive and review existing site and building plans available through Client. B. Architectural — Existing Building Observation and Recommendations: I. Perform site walk of the existing building and complete general overall space observation and photographs. A concept layout plan without dimensions will be provided based on site observations. If the building were to move forward to schematic design in the future, a future site visit would be required to conduct a thorough field verification of as -built dimensions. II. Circulation: Verify existing multilevel access and recommend accessible elevator requirements. III. Windows: Observe general configuration of existing windows and recommend the addition of windows for a conversion to Police and Courts. IV. Fire life safety: General observations of existing fire life safety conditions. V. Roof: A roof observation may occur if access to the roof is provided by Client. Photographs that show the general type and condition of the roof will be provided. VI. Building Envelope: A general observation of the type of wall and roof assemblies, and recommendations for improvements to current code standard of insulation will be provided. VII. Preliminary review of change of occupancy requirements in Washington State Existing Building Code. VIII. Review of the title report for easements and/or other property information. C. MEPF — Existing Systems Assessment: Conduct a site visit, to be attended by mechanical and electrical engineers. Prepare and issue an initial existing conditions and recommendation report including: I. Preliminary assessment of the existing facility to assess the current state of existing mechanical, plumbing, electrical, and fire protection systems and equipment. II. Recommendation options for mechanical, electrical, plumbing, and fire protection to include: a. Preliminary energy code review to determine necessary upgrades for a change of use to Police and Courts. b. Option 1: Retain existing systems and improve as required for conversion. C. Option 2: Demolish existing systems and replace for conversion. D. Structural Assessment: Conduct a site visit, to be attended by Mackenzie structural engineer to observe existing structure. Prepare and issue an initial existing conditions and recommendation report, including: I. General structural condition: a. Surface -level visual observation only. Nondestructive examination will not be conducted. City of Spokane Valley Spokane Valley Police and Court Building Conversion Analysis Project Number 2240152.03 June 25, 2026 Page 4 II. Conceptual upgrades required to meet current code for a conversion to Police and Court: a. Preliminary review of change of occupancy requirements in the Washington State Existing Building Code. III. ASCE 41 tier 1 checklist identifying seismic deficiencies. ASCE 41 is a nationally recognized standard for the seismic evaluation and retrofit of existing building structure. IV. Potential seismic retrofit options based on the ASCE 41 tier 1 evaluations. V. Preliminary study of the gravity roof framing members in accordance with the Washington State Existing Building Code. E. Final report: Mackenzie will prepare a final report to include: I. Architectural evaluation report and recommendations. ll. Structural evaluation report and recommendations. III. MEP evaluation report and recommendations. 3. Task 2 — Cost Estimate: A. Task 2.1: Prepare cost estimate for improvements to the building shell. B. Task 2.2: Prepare cost estimate that includes the above cost for building shell improvements and interior renovation and site improvements for Program Option A. C. Assemble final report to include cost estimate. OPTIONAL SERVICES Task 3 — Develop floor plan and site layout options After Task 1 and 2 are complete, City may request an additional task to develop floor plan and site layouts. A fee Estimate will be provided in the future upon request. FEE SUMMARY Our hourly not to exceed (NTE) fees for the disciplines and related design services, including 12% markup on consultant fees, described above are as follows: Hourly Estimate Task 1: $48,662 Task 2: $10,000 Estimated reimbursable expenses: $2,800 Management Reserve: $5,000 TOTAL: $66,462 Reimbursable expenses (printing, copying, deliveries, ride share vehicles, application -based transportation, mileage, etc.) are included in the fee outlined above and will be invoiced at 1.12 times cost. ASSUMPTIONS In addition to the Scope of Services outlined above, we have assumed the following: City of Spokane Valley Spokane Valley Police and Court Building Conversion Analysis Project Number 2240152.03 June 25, 2026 Page 5 1. Client -Provided Consultant Services 1. a. Client will provide current electronic files of existing building(s) and site and any other reports and/or surveys that are available, and other studies and/or reports as may be necessary for completion of the project. These reference materials will be made available for use by Mackenzie prior to beginning design work. 2. Scope of Service Acknowledgements 2. a. Fees are based on: 1) the estimated schedule duration as defined in phases above; and 2) phases running in sequential order without overlap, delay/pause, or project being put on hold. If phase duration(s) or timing are changed for any reason, we will need to assess and address those impacts as potential additional services. 2.b. All meetings will occur virtually unless specifically noted otherwise within the Scope of Services outlined above. We will record and distribute minutes for all meetings. 3. Existing Conditions 3.a. Building/Site Renovation: Mackenzie will work with Client to align on Client's program, goals, and objectives for the Project. Mackenzie will develop the design in accordance with the applicable standard of care. Projects involving additions/remodels of existing sites/buildings (compared to new construction) create more subjectivity as to code and law interpretation and increases the chance that applicable agencies will have differing interpretations that might require redesign services. Such agency interpretations may not be made known until the Construction Documents and/or Plan Check phase of the Project. Mackenzie expressly excludes any services necessary to address these types of differing code and law interpretation issues from Mackenzie's Scope of Services, and reserves the right to negotiate as an additional service. 3.b. Conditions not depicted on available existing site and/or building documents, provided by Client, or readily visible on project walkthroughs are excluded. Such impacts will be evaluated at the time of discovery and addressed via additional services as necessary. 3.c. Mackenzie will rely on Client -provided existing facilities information for project, including but not limited to type of construction, building area, occupancy classification, and other such parameters affecting design, construction documents, and permitting. 4. Client and Jurisdiction Approvals 4.a. Client will approve the Documents at the conclusion of each phase prior to proceeding with the next phase. Redesign efforts after prior Client approvals, including but not limited to Client -driven design modifications, value engineering, cost reduction alternatives to the approved design, or other such changes, will be provided as an additional service, with scope, schedule, and fees to be evaluated on a case -by -case basis. S. Standard Design Items 5.a. Square footage calculations will be provided as required to confirm compliance with building and zoning code requirements only. Calculation of gross, net, and rentable square footages, such as BOMA calculations, are not included. 5.b. Any redesign and subsequent revision to the Documents related to value engineering or other processes to reduce the construction cost (estimated, bid or actual) of the Work from that which is depicted in the Documents, shall be via Additional Services Agreement. Client is responsible for all fees paid to public bodies having jurisdiction over the project such as building permit fees, design review fees, etc. 7. Mackenzie Sub -Consultant Services 7.a. For additional Assumptions related to the Scope of Services of our retained consultants, refer to their attached proposals. In addition to any Exclusions outlined within the proposal above, we have also excluded the following from our proposed scope of services. Although excluded from our services these may be required to be provided by Client for execution of the project. 1. Client -Provided Consultant Services 1.a. Coordination of Client -provided consultants or 3rd party representative not identified at the date of this proposal. 2. Land Use Process/Permitting 2.a. Appeals, variances, public hearings, land use approvals, conditional use reviews, or any required adjustments other than as specifically outlined within our Scope of Services above. 2.b. Meetings with public agencies or other meetings, unless specifically identified in Scope of Services above. 2.c. Formal Building code interpretation requests and/or appeals. 2.d. Land use/zoning evaluation. 3. Other Design Services 3.a. Mackenzie disciplines not listed in scope above. 3.b. Traffic Engineering, Planning, Analysis. 3.c. Fire Protection and/or Fire Alarm Engineering, Design, and/or Specifications. 3.d. Acoustical engineering design and/or services. 3.e. Envelope consulting. 3.f. Full seismic evaluation and upgrade is excluded from this scope. This scope will be the initial evaluation to see if it is required by code. 3.g. Non-structural components evaluations. 3.h. Nondestructive examinations. 4. Unique Design Services 4.a. Off -site improvements (such as roads, half street improvements, and utilities), other than as specifically outlined within our Scope of Services above. Use of CAD Drawings or BIM models by any parties other than the design team. 5.b. Marketing materials. 6. Expenses/Billing 6. a. Special billing requirements required by Client outside of Mackenzie's standard billing procedures. Please review and notify Mackenzie if Client believes that any of the Scope, Assumptions, or Exclusions listed here are inaccurate or if additional clarity is needed for Client to fully understand. It is our understanding the project will start late March/early April 2026, please note that this proposal is valid for 30 days. The study will evaluate the condition and serviceability of the existing mechanical, electrical, plumbing, and fire protection systems with an eye toward current building and energy code along with anticipated remaining life span. Construction costs to be established during pre -design phase. Project Assumptions 1. This fee proposal is based on McKenzie's draft proposal for architectural design services shared with us along with additional context the week of February 2, 2026. 2. The delivery method used as the basis of this proposal is as follows: Design -Assist delivery. PAE will be contracted through the Architect who is contracted with the owner. PAE will be the Engineer of Record for the "Scope of Design Work" and will provide "Deliverables and Scope of Services" as described in this proposal. The Owner, Architect and other Design Consultants will provide all pertinent information in a timely manner prior to project milestones. 3. Assumptions regarding building renovations: a. "As -built" drawings, in electronic form, will be provided to the design team and will be relied upon to represent accurate existing conditions. b. Building evaluation will be completed at the beginning of the design phase to observe the existing conditions. The evaluation will be limited to equipment and MEPL system distribution that is readily accessible, and it does not require removal of walls or hard -lid ceilings. It is anticipated there will be no as-builting of the existing systems. 4. Interaction or coordination with a third -party review hired by the owner is not included. If requested, PAE can provide an additional service proposal to review and respond to a third -party peer review, including substantiating the proposed design and potential modifications to the completed work. PAE is not anticipating attendance at the owner staff engagement sessions or the City Council updates. 5. Owner and/or other consultant reviews of PAE designs must be completed no later than two weeks prior to deadlines for full incorporation into deadline deliverable. Delays may require schedule revisions, additional fees or incorporation into future deliverables. Excluded Services This proposal does not encompass the following items: 1. Electrical metering of existing electrical power systems, including providing meters and/or installation of meters. 2. Testing of existing equipment to verify capacity and performance. 3. Construction cost estimates for systems. Fees and Reimbursable Expenses PAE will be compensated on a lump sum fee basis, including reimbursables, as shown in the following tables. PAE makes no warranties, express or implie and this Agreement or otherwise, in connection with services provided. Instruments of Service: All documents prepared or furnis y Consultant pursuant to this Agreement are instruments of Consultant's professional service, and Consultant shall r tain a ownership and property interest therein, including all copyrights. Upon execution of this Agreement, Consults grants CI nt a nonexclusive license to use instruments of Consultant's professional service for the purpose of d igning, constru ting, occupying or maintaining the Project, provided that Client shall comply with all obligations, includi prompt payment o all sums when due, under this Agreement. Proposal Duration: This oposal is valid for 60 days from issue date. Additional costs may be i urred if accepted after this date. Hazardous Material It is acknowledged by both parties that Consultant's scope of services does no include any services related to the prese a of any hazardous or toxic materials.
