Spokane Valley Contract # 25-177.01 For good and valuable consideration, the legal sufficiency of which is hereby acknowledged, City and the Consultant mutually agree as follows: 1. ose: This Amendment is for the Contract for the development of the City's Active Transportation Plan by and between the Parties, executed by the Parties on October 9, 2025, and which terminates on June 30, 2026. Said contract is referred to as the "Original Contract" and its terms are hereby incorporated by reference. 2. Original Contract Provisions: The Parties agree to continue to abide by those terms and conditions of the Original Contract and any amendments thereto which are not specifically modified by this Amendment. 3. Amendment Provisions: The Original Contract is subject to the following amended provisions, which are either as follows, or attached hereto as Appendix "A". All such amended provisions are hereby incorporated by reference herein and shall control over any conflicting provisions of the Original Contract, including any previous amendments thereto. Two elements to this Amendment #1. First, extend the contract's expiration date for 60 days, out to August 30, 2026. Second, increase the contract's payable amount by $20,000 for a total payable amount not to exceed $180,000. 4. Compensation Amendment History: This is Amendment # 1 of the Original Contract. CG 20 37 12 19 0 Insurance Services Office, Inc., 2018 Page 1 of 1 Kimley»>Horn MEMORANDUM To: Adam Jackson, City of Spokane Valley From: Kylee Jones, Kimley-Horn and Associates Date: June 2, 2026 Spokane Valley Active Transportation Plan — Contract Amendment and Schedule Subject: Extension Request Dear Adam, Kimley-Horn appreciates the opportunity to support the City of Spokane Valley_ in developing the Spokane Valley Active Transportation Plan (SVATP). The consultant team has completed, or is in the process of completing, all deliverables identified in the original scope of work and remains committed to supporting the project through City Council adoption. The SVATP is funded through a Washington State Department of Transportation (WSDOT) Climate Commitment Act grant in the amount of $180,000.'The current consultant contract amount is $160,000, leaving a portion of the awarded grant funding available for eligible project expenses. To accommodate unanticipated effort incurred during project development and provide continued support through City Council adoption, Kimley-Horn respectfully requests a contract amendment to increase the contract amount from $160,000 to $176,785 and to extend the contract schedule by 30 days. The requested amendment remains within the total grant award amount and does not require the use of additional City funds. The original scope anticipated completion of all project tasks within the approved budget, including a $10,000 Management Reserve for approved additional services. Throughout the course of the project, several efforts required a greater level of consultant involvement than was reasonably anticipated during scope development. Kimley-Horn has absorbed a portion of this additional effort and is requesting compensation for only a portion of the additional services necessary to successfully complete the project. The following are descriptions of scope modifications and the original scope tasks they are correlated with: Additional Data Validation, Technical Rework, and Supporting Analysis (Task 2; Existing Conditions) Task 2 included development of the Existing Conditions Report, including collection and analysis of available data, preparation of GIS mapping, Level of Traffic Stress (LTS) analyses, gap analyses, and supporting technical exhibits. During project implementation, multiple iterations of updated datasets Kimley»>Horn Page 2 required the consultant team to repeatedly validate, reconcile, and incorporate revised information into the technical analyses and mapping products. This effort extended beyond routine quality control and included rerunning analyses, updating GIS layers, revising maps and exhibits, and confirming that subsequent analyses, network development, and prioritization efforts remained consistent with the corrected data. As revised data were incorporated into the Existing Conditions Report, corresponding updates were required to subsequent analyses, network recommendations, prioritization, mapping products, and implementation recommendations to maintain consistency throughout the Plan. The repeated revisions also required the graphics team to recreate numerous maps and exhibits prepared for the Existing Conditions Report, consuming graphic production effort originally budgeted for development of the final Active Transportation Plan. The cumulative level of technical analysis, GIS updates, graphic production, and quality assurance exceeded the level of effort anticipated under the original scope. Since the Existing Conditions Report served as the technical foundation for the network development, prioritization, and final recommendations, revisions to the underlying data propagated through multiple subsequent project tasks. Multimodal Level of Service (MMLOS) Framework Development and Comprehensive Plan Coordination (New Task) The original scope of work included the Level of Traffic Stress analysis to support the City's Comprehensive Plan's effort to create a MMLOS. As a result of City coordination with Kimley Horn and the consultant for the Comprehensive Plan, City staff (Adam Jackson) requested Kimley Horn to develop the MMLOS framework. Specific to the MMLOS requirement, Kimley-Horn conducted a technical analysis, reviewed and interpreted applicable RCW and WAC requirements, developed the MMLOS framework and supporting memorandum, participated in Planning Commission discussions, and coordinated extensively with the Transportation and Parks Element consultant teams to ensure a consistent approach across planning documents. These activities were outside the original scope of the Active Transportation Plan and required a greater level of technical, policy, and coordination effort than anticipated during contract development. Project Completion and City Council Adoption Support (Task 1: Project Management; 6: Final Plan and Adoption) The original project schedule anticipated completion in June 2026; however, additional time is needed to support final review, comment resolution, preparation of adoption materials, and City Council consideration. Extending the project schedule by 30 days will allow the consultant team to respond to comments from Council, complete final revisions, and provide support through the adoption process not originally scoped. As a result, Kimley-Horn has written off a portion of the additional effort incurred during project delivery and is not seeking reimbursement for all hours expended beyond the original contract budget.
