HomeMy WebLinkAbout23-010.05 Fehr & Peers OnCall Transportation Planning Services CONTRACT AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF SPOKANE VALLEY AND Fehr& Peers, Inc. Spokane Valley Contract#23-010.05 For good and valuable consideration, the legal sufficiency of which is hereby acknowledged, City and Fehr&Peers mutually agree as follows: 1. Purpose: This Amendment is for the Contract for Transportation Planning Services by and between the Parties, executed by the Parties on December 24, 2024. Said contract is referred to as the "Original Contract"and its terms are hereby incorporated by reference. 2. Original Contract Provisions: The Parties agree to continue to abide by those terms and conditions of the Original Contract and any amendments thereto which are not specifically modified by this Amendment. By signing below, the Parties specifically agree that the terms of the Original Contract and amendments thereto are deemed to be restated and reaffirmed herein in their entirety,and by such agreement,the Parties also waive any and all arguments that the Original Contract and amendments thereto expired or terminated prior to execution of this Amendment. This Amendment, or restatement and reaffirmation, shall be construed as recognizing past work on this project, and payments therefor, prior to the execution of this Amendment and as such, all such amounts shall be deemed to count against the not to exceed amount of the terms of the Original Contract. 3. Amendment Provisions: This Amendment is subject to the following amended provisions, which are as follows. All such amended provisions are hereby incorporated by reference herein and shall control over any conflicting provisions of the Original Contract, including any previous amendments thereto. The termination date of the Original Contract shall be June 30,2027. 4. Compensation Amendment History: This is Amendment# 3 of the Original Contract.
