NO. /b — O 7Z2 BEFORE THE BOARD OF COUNTY COMMISSIONERS OF SPOKANE COUNTY, WASHINGTON IN THE MATTER OF EXECUTING (1) ) AN INTERLOCAL AGREEMENT ) AMONG SPOKANE COUNTY, CITY OF ) SPOKANE, CITY OF SPOKANE ) VALLEY, CITY OF CHENEY, CITY OF ) LIBERTY LAKE, CITY OF AIRWAY ) RESOLUTION HEIGHTS AND CITY OF MILLWOOD, ) AND FOR COLLABORATIVE ) PLANNING, AND (2) AN AGREEMENT ) WITH INTEGRATED ECONOMICS LLC ) IN CONJUNCTION THEREWITH ) WHEREAS, pursuant to the provisions of RCW 36.32.120(6), the Board of County Commissioners of Spokane County has the care of county property and the management of county funds and business; and WHEREAS, pursuant to the provisions of chapter 39.34 RCW and chapter 36.70A RCW, Spokane County has engaged in a collaborate planning process with the City of Spokane, City of Spokane Valley, City of Cheney, City of Liberty Lake, City of Airway Heights and City of Millwood (the "Parties") regarding the funding of regional and local services by Spokane County. Spokane County funded a preliminary study of its revenue and cost of regional and local services. The Parties now desire to finalize the funding of regional and local services by Spokane County and in conjunction therewith contribute moneys to Spokane County in an amount not to exceed $47,500 to be used by Spokane County to contract with Integrated Economics LLC to complete the fiscal strategies for funding of County regional and local services. WHEREAS, Integrated Economics LLC was employed by the Boundary Review Board to complete the preliminary study as referenced in the immediately preceding recital. The Parties desire to provide financial resources in an amount not to exceed $47,500.00 to the County, which money the County will use through their project representative to contract Integrated Economics LLC to complete the fiscal strategies for funding County regional and local services; and WHEREAS, in light of Integrated Economics LLC expertise regarding the preparation of the preliminary study, the County determines it is "reasonably and prudent" under Spokane County Code Section 1.04.080 to contract with Integrated Economics LLC to complete the fiscal strategies for funding County regional and local services. RECITALS: WHEREAS, pursuant to the provisions of the RCW 36.32.120(6), the Board of County Commissioners has the care of county property and the management of County funds and business;and WHEREAS, pursuant to chapter 36.70A RCW,the Parties are engaged in collaborative planning for urban growth areas;and WHEREAS,the Parties agree that a regional fiscal strategy will benefit all jurisdictions in Spokane County;and WHEREAS, Spokane County funded a preliminary study of its revenues and costs of regional and local services; and WHEREAS, the Cities agree to contribute funds to Spokane County to complete the fiscal strategies for the region; and NOW, THEREFORE, for in consideration of the mutual promises and conditions set forth herein,the Parties mutually agree as follows: 1. Services. Spokane County will contract with Brett Sheckler("Consultant")to provide all labor, services, and material to satisfactorily complete the Scope of Work as outlined in Attachment A- Scope of Work, attached hereto and incorporated herein by reference. The Consultant will complete the Scope of Work on or before . The Consultant will provide a copy of any products produced under the Scope of Work to all Parties. 2. Administration. Susan Winchell, Boundary Review Board Director, is designated as Project Manager for this Agreement. The Project Manager shall act as the County's representative in conjunction with contracting with the Consultant and administering the Consultant's agreement.. 3. Term of Agreement. The Agreement shall begin upon signature of all Parties and run through July 31,2011. Once executed,the Agreement may not be terminated by any party. 4. Compensation. The Cities agree to submit a check/warrant to the attention of the Project Manager at Spokane County Boundary Review Board, 1026 West Broadway Avenue, Spokane, WA 99260 in the following amounts within 30 days of the effective date of this representing its share of the Consultant's fee: City of Spokane $20,000 City of Spokane Valley $10,000 City of Cheney $ 5,000 City of Liberty Lake $ 5,000 City of Airway Heights $ 5,000 Page 1 of 7 /0 — O744. In the event the Consultant's fee for providing the Services under the Scope of Work referenced in Paragraph 1 (Services) is less than the total amount collected from the Parties, the County agrees to refund each Party a proportionate share of the excess amount based upon its initial contribution. The County agrees that it will not use the money from the Parties except for payment of fees of the Consultant. 5. Collaboration. The Parties agree to designate staff and provide their names to the Project Manager to work with the Consultant in developing regional strategies for fiscal sustainability; and 6. General Terms. This Agreement contains terms and conditions agreed upon by the Parties. Parties agree that there are no other understandings, oral or otherwise, regarding the subject matter of this Agreement. No changes or additions to this Agreement shall be valid or binding upon Parties unless such change or addition is in writing,executed by Parties. This Agreement shall be binding upon the Parties hereto,their successors and assigns. In the event any portion of this Agreement should become invalid or unenforceable, the rest of the Agreement shall remain in full force and effect. The Parties shall observe all federal, state and local laws, ordinances and regulations, to the extent that they may be applicable to the terms of this Agreement. This Agreement shall be construed under the laws of the state of Washington. Any action at law, suit in equity or judicial proceeding regarding this Agreement or any provision hereto shall be instituted only in courts of competent jurisdiction within Spokane County,Washington. This Agreement may be executed in any number of counterparts, each of which, when so executed and delivered, shall be an original, but such counterparts shall together constitute but one and the same. 7. Chapter 39.34 RCW Required Clauses A. Purpose. See Paragraph 1 above. B. Duration. See Paragraph 3 above. C. Organization of Separate Entity and Its Powers. No new or separate legal or administrative entity is created to administer the provisions of this Agreement. D. Responsibilities of the Parties. See provisions above. E. Agreement to be Filed. The Parties, except the County shall file this Agreement with their City Clerks. The County shall place this Agreement on its web site. F. Financing. Each party shall be responsible for the financing of its contractual obligations under its normal budgetary process. G. Termination. See Paragraph 3 above. H. Property upon Termination. Any property acquired by the Consultant in providing the Services set forth under the Scope of Work shall remain those of the Consultant. In terms of land use,the partners have addressed issues of interjurisdictional consistency in policies and in design standards. And in terms of addressing Spokane County's need for a sustainable fiscal position,the process (along with actions by the collaborating partners) has put the collaborating jurisdictions in a position where they can now meaningfully address Spokane County's fiscal challenges: • Stakeholders in the discussions have a more robust understanding of what Spokane County does and how it does it. In particular, stakeholders have a clearer sense of the distinctions between the County's regional, local,and contract functions. • Collaborating cities recognize the importance of the County's role as a regional service provider and have voiced support for ensuring that the County's regional line of business is fiscally sustainable. • Collaborating partners have acknowledged that Spokane County will be much more likely to succeed if it can pursue sustainability with the support of cities. Most of the long-term solutions to Spokane County's challenges—whether the solution lies in Olympia or in Spokane County— will be easier to achieve with 100%city support. • The County, Spokane, and Airway Heights have tentatively reached a collaborative solution to mitigate the fiscal impacts from the West Plain annexation (or at least to give Spokane County some breathing room to prepare for the time when annexation happens);And,finally • After completing the recent "line-of-business" analysis, Spokane County and its collaborating partners now have a solid foundation of information to work from as they move forward.With a common understanding of the County's current position, the collaborating jurisdictions are in much better position to identify routes that offer opportunities for success. With so much foundational work completed, one could say that the collaborating partners have now established base camp. The groundwork is in place...what is needed now is the final ascent to the summit. For the collaborating partners,that means laying out the plan—(ideally) getting to a consensus among the partners on how they can all pull in the same direction to put Spokane County on a more stable fiscal footing. Page 5 of 7 /b 7°2 02 Proposed Next Steps—Getting from here to sustainability? Looking forward,there are at least two key pieces that need to move forward simultaneously: 1. County policy makers need to weigh the short- and long-term actions they believe will strengthen the County's future prospects;and 2. Cities have decisions to make about how (and under what circumstances)they will play a role in helping the County move to a stronger fiscal footing. In order for the process to be successful, both of these processes should fall within the structure of a collaboration that ensures that all parties are pulling in the same direction. The collaborative planning team believes that the best way to move towards this collaborative plan is for the Team to put pen to paper and begin to flesh out potential paths that would move the partners towards the goal of setting Spokane County up for long-term success.The Team has asked Brett Sheckler to take a lead role in identifying options and drafting a document that summarizes the available paths. The document would be prepared for consideration by policymakers within the collaborating jurisdictions (and by stakeholders beyond).And clearly, key players from the collaborating jurisdictions would need to be engaged throughout the process of developing such a document. The team proposes pursuing this option-development process through four principal tasks: 1. Explore/develop options for County fiscal sustainability.This task will include high-level technical investigation/development of potential revenue streams and/or cost-saving mechanisms and, perhaps more important,significant numbers of meetings with each of the various stakeholders in the process. 2. Ongoing strategy development/refinement within the Collaborative Planning Team. 3. Drafting of white paper or other document laying out issues and alternative paths to sustainability.We envision that the drafting of this document(laying out potential components of the plan) will be an important driving force—the reason why the conversations with stakeholders will take place. 4. Services. The Project Manager shall administer and be the primary contact for Consultant. Prior to commencement of Work, Consultant shall contact the Project Manager to review the Work, schedule and date of completion. Upon notice from the Project Manager, Consultant shall commence Work,perform the requested tasks in the Work, stop work and promptly cure any failure in performance under this Agreement. B. Representations. The County has relied upon the qualifications of the Consultant in entering into this Agreement. By execution of this Agreement, Consultant represents it possesses the ability, skill and resources necessary to perform the Work and is familiar with all current laws, rules and regulations which reasonably relate to the Work. No substitutions of agreed upon personnel shall be made without the written consent of the Project Manager. Consultant shall be responsible for the technical accuracy of its services and documents resulting there from, and County shall not be responsible for discovering deficiencies therein. Consultant shall correct such deficiencies without additional compensation except to the extent such action is directly attributable to deficiencies in County furnished information. C. Modifications. The County may modify this agreement and order changes in the Work whenever necessary or advisable. The Consultant will accept modifications when ordered in writing by the Project Manager. Compensation for such modifications or changes shall be as mutually agreed between the Parties. The Consultant shall make such revisions in the Work as are necessary to correct errors or omissions appearing therein when required to do so by the County without additional compensation. 2. Term of Contract. This Agreement shall be in full force and effect upon execution and shall remain in effect until completion of all contractual requirements has been met. The Agreement shall begin upon signature of both parties and run through July 31,2011,unless terminated sooner. Either party may terminate this agreement by seven days written notice to the other party for any reason whatsoever. In the event of such termination, the County shall pay the Consultant for all Work previously authorized and satisfactorily performed prior to the termination date. 3. Compensation. The County agrees to pay the Consultant on a time and materials basis in accordance with the attached fee schedule as full compensation for everything done under this Agreement, in an amount not to exceed$47,500 for Work directed by the County. 4. Payment. The Consultant shall be paid upon presentation of an invoice to the County. Applications for payment shall be sent to the Project Manager at the above stated address. All invoices will include a brief status report,with work billed based by task based on percentage of work in each task complete. All Consultant materials and expenses for travel and related activities are included in the project budget. Document reproduction,postage and advertising expenses will be borne by the County. The County reserves the right to withhold payment under this Agreement which is determined in the reasonable judgment of the Project Manager or designee to be noncompliant with the Work,County Standards,County ordinances and federal or state standards. 5. Applicable Laws and Standards. The Parties, in the performance of this Agreement, agree to comply with all applicable Federal, State, local laws,ordinances,and regulations. It is understood, agreed and declared that the Consultant shall be an independent consultant and not the agent or employee of the County, that the County is interested in only the results to be achieved, and that the right to control the particular manner, method and means in which the services are performed is solely within the discretion of the Consultant. Any and all employees who provide services to the County under this Agreement shall be deemed employees solely of the Consultant. The Consultant shall be solely responsible for the conduct and actions of all its employees under this agreement and any liability that may attach thereto. 7. Ownership of Documents. All drawings, plans, specifications, and other related documents prepared by the Consultant under this Agreement are and shall be the property of the County, and may be subject to disclosure pursuant to chapter 42.56 RCW or other applicable public record laws. 8. Records. The County, State Auditor, or any of the parties fmancially participating in this Agreement or any of their representatives shall have full access to and the right to examine during normal business hours all of the Consultant's records with respect to all matters covered in this Agreement. Such representatives shall be permitted to audit, examine and make excerpts or transcripts from such records and to make audits of all contracts, invoices, materials, payrolls and record of matters covered by this contract for a period of three years from the date final payment is made hereunder. 9. Insurance. The Consultant shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damage to property which may arise from or in connection with the performance of the Work hereunder by the Consultant, its agents, representatives, or employees. 10. Indemnification and Hold Harmless. The Consultant shall defend, indemnify and hold the County, its officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, losses or suits including attorney fees, arising out of or in connection with the performance of this Agreement,except for injuries and damages caused by the sole negligence of the County. Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115,then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Consultant and the County, its officers, officials, employees, and volunteers, the Consultant's liability hereunder shall be only to the extent of the Consultant's negligence. It is further specifically and expressly understood that the indemnification provided herein constitutes the Consultant's waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall survive the expiration or termination of the agreement. 11. Waiver. No officer, employee, agent or other individual acting on behalf of either party has the power, right or authority to waive any of the conditions or provisions of this agreement. No waiver in one instance shall be held to be waiver of any other subsequent breach or nonperformance. All remedies afforded in this agreement or by law, shall be taken and construed as cumulative, and in addition to every other remedy provided herein or by law. Failure of either party to enforce at any time any of the provisions of this agreement or to require at any time performance by the other party of any provision hereof shall in no way be construed to be a waiver of such provisions nor shall it affect the validity of this agreement or any part thereof. 12. Assignment and Delegation. Neither party shall assign,transfer or delegate any or all of the responsibilities of this agreement or the benefits received hereunder without first obtaining the written consent of the other party. Except as otherwise provided herein, the Consultant shall not enter into subcontracts for any of the Work contemplated under this Agreement without obtaining prior written approval of the County. 14. Confidentiality. Consultant may, from time to time, receive information which is deemed by the County to be confidential. Consultant shall not disclose such information without the express written consent of the County or upon order of a Court of competent jurisdiction. 15. Jurisdiction and Venue. This Agreement is entered into in Spokane County, Washington. Venue shall be in Spokane County, State of Washington. 16. Cost and Attorney's Fees. In the event a lawsuit is brought with respect to this Agreement, the prevailing party shall be awarded its costs and attorney's fees in the amount to be determined by the Court as reasonable. Unless provided otherwise by statute, Consultant's attorney fees payable by the County shall not exceed the total sum amount paid under this agreement. 17. Entire Agreement. This written agreement constitutes the entire and complete agreement between the Parties and supersedes any prior oral or written agreements. This Agreement may not be changed,modified or altered except in writing signed by the parties hereto. 18. Anti-kickback. No officer or employee of the County, having the power or duty to perform an official act or action related to this Agreement shall have or acquire any interest in this agreement, or have solicited, accepted or granted a present or future gift, favor, service or other thing of value from any person with an interest in this Agreement. 19. Severability. If any section, sentence, clause or phrase of this Agreement should be held to be invalid for any reason by a court of competent jurisdiction, such invalidity shall not affect the validity of any other section,sentence,clause or phrase of this Agreement. 20. Counterparts. This Agreement may be executed in any number of counterparts, each of which, when so executed and delivered, shall be an original, but such counterparts shall together constitute but one and the same. 21. Other Employment. This Agreement is not an exclusive services agreement. Consultant may take on other professional assignments while completing those Services set forth herein. • 22. Payment of Taxes. Consultant shall be solely responsible for paying any and all taxes associated with its business as it concerns this Agreement,including but not necessarily limited to income and social security taxes. 23. Survival. Without being exclusive, Paragraph 10 and 15 of this Agreement shall survive any termination,expiration or determination of invalidity of this Agreement in whole or in part.Any other Sections of this Agreement which, by their sense and context,are intended to survive shall also survive. In terms of land use,the partners have addressed issues of interjurisdictional consistency in policies and in design standards. And in terms of addressing Spokane County's need for a sustainable fiscal position,the process (along with actions by the collaborating partners) has put the collaborating jurisdictions in a position where they can now meaningfully address Spokane County's fiscal challenges: • Stakeholders in the discussions have a more robust understanding of what Spokane County does and how it does it. In particular, stakeholders have a clearer sense of the distinctions between the County's regional, local, and contract functions. • Collaborating cities recognize the importance of the County's role as a regional service provider and have voiced support for ensuring that the County's regional line of business is fiscally sustainable. • Collaborating partners have acknowledged that Spokane County will be much more likely to succeed if it can pursue sustainability with the support of cities. Most of the long-term solutions to Spokane County's challenges—whether the solution lies in Olympia or in Spokane County— will be easier to achieve with 100%city support. • The County, Spokane, and Airway Heights have tentatively reached a collaborative solution to mitigate the fiscal impacts from the West Plain annexation (or at least to give Spokane County some breathing room to prepare for the time when annexation happens);And,finally • After completing the recent "line-of-business" analysis, Spokane County and its collaborating partners now have a solid foundation of information to work from as they move forward.With a common understanding of the County's current position, the collaborating jurisdictions are in much better position to identify routes that offer opportunities for success. With so much foundational work completed, one could say that the collaborating partners have now established base camp.The groundwork is in place...what is needed now is the final ascent to the summit. For the collaborating partners,that means laying out the plan—(ideally)getting to a consensus among the partners on how they can all pull in the same direction to put Spokane County on a more stable fiscal footing. Looking forward,there are at least two key pieces that need to move forward simultaneously: 1. County policy makers need to weigh the short- and long-term actions they believe will strengthen the County's future prospects;and 2. Cities have decisions to make about how(and under what circumstances)they will play a role in helping the County move to a stronger fiscal footing. In order for the process to be successful, both of these processes should fall within the structure of a collaboration that ensures that all parties are pulling in the same direction. The collaborative planning team believes that the best way to move towards this collaborative plan is for the Team to put pen to paper and begin to flesh out potential paths that would move the partners towards the goal of setting Spokane County up for long-term success. The Team has asked Brett Sheckler to take a lead role in identifying options and drafting a document that summarizes the available paths. The document would be prepared for consideration by policymakers within the collaborating jurisdictions (and by stakeholders beyond). And clearly, key players from the collaborating jurisdictions would need to be engaged throughout the process of developing such a document. The team proposes pursuing this option-development process through four principal tasks: 1. AGREEMENT FOR SERVICES THIS AGREEMENT is made and entered into by and among Spokane County, a political subdivision of the state of Washington("County"), and the City of Spokane,the City of Spokane Valley, the City of Cheney, the City of Liberty Lake, the City of Airway Heights, and the City of Millwood, municipal corporations of the state of Washington("Cities"),jointly referred to as"Parties". RECITALS: WHEREAS, pursuant to the provisions of the RCW 36.32.120(6), the Board of County Commissioners has the care of county property and the management of County funds and business; and WHEREAS,pursuant to chapter 36.70A RCW,the Parties are engaged in collaborative planning for urban growth areas; and WHEREAS,the Parties agree that a regional fiscal strategy will benefit all jurisdictions in Spokane County; and WHEREAS, Spokane County funded a preliminary study of its revenues and costs of regional and local services; and WHEREAS, the Cities agree to contribute funds to Spokane County to complete the fiscal strategies for the region;and NOW, THEREFORE, for in consideration of the mutual promises and conditions set forth herein,the Parties mutually agree as follows: 1. Services. Spokane County will contract with Brett Sheckler ("Consultant") to provide all labor, services, and material to satisfactorily complete the Scope of Work as outlined in Attachment A - Scope of Work, attached hereto and incorporated herein by reference. The Consultant will complete the Scope of Work on or before December 31,2010. The Consultant will provide a copy of any products produced under the Scope of Work to all Parties. 2. Administration. Susan Winchell, Boundary Review Board Director, is designated as Project Manager for this Agreement. The Project Manager shall act as the County's representative in conjunction with contracting with the Consultant and administering the Consultant's agreement.. 3. Term of Agreement. The Agreement shall begin upon signature of all Parties and run through December 31,2010. Once executed,the Agreement may not be terminated by any party. 4. Compensation. The Cities agree to submit a check/warrant to the attention of the Project Manager at Spokane County Boundary Review Board, 1026 West Broadway Avenue, Spokane, WA 99260 in the following amounts within 30 days of the effective date of this representing its share of the Consultant's fee: City of Spokane $20,000 City of Spokane Valley $10,000 City of Cheney $ 5,000 City of Liberty Lake $ 5,000 City of Airway Heights $ 5,000 City of Millwood $ 2,500 Page 1 of 4 In the event the Consultant's fee for providing the Services under the Scope of Work referenced in Paragraph 1 (Services) is less than the total amount collected from the Parties, the County agrees to refund each Party a proportionate share of the excess amount based upon its initial contribution. The County agrees that it will not use the money from the Parties except for payment of fees of the Consultant. 5. Collaboration. The Parties agree to designate staff and provide their names to the Project Manager to work with the Consultant in developing regional strategies for fiscal sustainability; and 6. General Terms. This Agreement contains terms and conditions agreed upon by the Parties. Parties agree that there are no other understandings, oral or otherwise, regarding the subject matter of this Agreement. No changes or additions to this Agreement shall be valid or binding upon Parties unless such change or addition is in writing,executed by Parties. This Agreement shall be binding upon the Parties hereto,their successors and assigns. In the event any portion of this Agreement should become invalid or unenforceable, the rest of the Agreement shall remain in full force and effect. The Parties shall observe all federal, state and local laws, ordinances and regulations, to the extent that they may be applicable to the terms of this Agreement. This Agreement shall be construed under the laws of the state of Washington. Any action at law, suit in equity or judicial proceeding regarding this Agreement or any provision hereto shall be instituted only in courts of competent jurisdiction within Spokane County,Washington. This Agreement may be executed in any number of counterparts, each of which, when so executed and delivered, shall be an original, but such counterparts shall together constitute but one and the same. 7. Chapter 39.34 RCW Required Clauses. A. Purpose. See Paragraph 1 above. B. Duration. See Paragraph 3 above. C. Organization of Separate Entity and Its Powers. No new or separate legal or administrative entity is created to administer the provisions of this Agreement. D. Responsibilities of the Parties. See provisions above. E. Agreement to be Filed. The Parties, except the County shall file this Agreement with their City Clerks. The County shall place this Agreement on its web site. F. Financing. Each party shall be responsible for the financing of its contractual obligations under its normal budgetary process. G. Termination. See Paragraph 3 above. H. Property upon Termination. Any property acquired by the Consultant in providing the Services set forth under the Scope of Work shall remain those of the Consultant.
