A. Minimum Scope of Insurance. Consultant shall obtain insurance of the types
described below:
I. Automobile Liability insurance covering all owned, non - owned, hired and
leased vehicles. Coverage shall be written on Insurance Services Office (ISO) form
CA 00 01 or a substitute form providing equivalent liability coverage. If necessary,
the policy shall be endorsed to provide contractual liability coverage.
2. Commercial General LiabiliAt insurance shat I be written on [SO occurrence
form CG 00 01 and shall cover liability arising from premises, operations,
independent contractors and personal injury and advertising injury. The City shall be
named as an insured under the Consultant's Commercial General Liability insurance
policy with respect to the work performed for the City.
3. Workers' Compensation coverage as required by the Industrial Insurance
laws of the State of Washington.
4. Professional Liability insurance appropriate to the Consultant's profession.
B. Minimum Amounts of Insurance. Consultant shall maintain the following insurance
limits:
1. Automobile Liability insurance with a minimum combined single limit for
bodily injury and property damage of $1,000,000 per accident.
2. Contnercial General Liability insurance shall be written with limits no less
than S 1,000,000 each occurrence, $2,000,000 general aggregate.
3. Professional Liability insurance shall be written with limits no less than
$1,000,000 per claim and $1,000,000 policy aggregate limit.
C. Other Insurance Provisions. The insurance policies are to contain, or be endorsed to
contain, the following provisions for Automobile Liability, Professional Liability and
Commercial General Liability insurance:
I . The Consultant's insurance coverage shall be primary insurance as respect
the City. Any insurance, self- insurance, or insurance pool coverage maintained by
the City shall be excess of the Consultant's insurance and shall not contribute with it.
2. Cancellation of Consultant's insurance shall be governed by either:
a. the policy shall be endorsed to state that coverage shall not be cancelled by
either party, except after thirty days prior written notice by certified mail,
return receipt requested, has been given to the City, or
b. the Consultant shall provide at least 30 days prior written notice by
certified mail, return receipt requested of a cancellation.

D. Acceptability of Insurers. Insurance is to be placed with insurers with a current A.M.
Rest rating of not less than A:VII.
E. Evidence of Coveraee. As evidence of the insurance coverages required by this
contract, the Consultant shall furnish acceptable insurance certificates to the City at the time
the Consultant returns the signed contract. The certificate shall specify all of the parties who
are additional insureds, and will include applicable policy endorsements, and the deduction or
retention level. Insuring companies or entities are subject to City acceptance. If requested,
complete copies of insurance policies shall be provided to the City. The Consultant shall be
financially responsible for all pertinent deductibles, self - insured retentions, and /or self -
insurance.
I t . Indemnification and Hold Harmless. The Consultant shall, indemnify and hold the City, its
officers, officials, employees and volunteers harmless from any and all claims, injuries, damages, losses or suits
including reasonable attorney fees, to the extent caused by the Consultant's negligence under this agreement,
except for injuries and damages caused by the sole negligence of the City.
Should a court of competent. jurisdiction determine that this Agreement is subject to RCW 4.24.115,
then, in the event of liability for damages arising out of bodily injury to persons or damages to propertycaused
by or resulting from the concurrent negligence of the Consultant and the City, its officers, officials, employees,
and volunteers, the Consultant's liability hereunder shall be only to the extentof the Consultant's negligence.
It is further specifically and expressly understood that the indemnification provided herein constitutes the
Consultant's waiver of immunity under Industrial Insurance, Title 51 RCW, solely for the purposes of this
indemnification. This waiver has been mutually negotiated by the parties. The provisions of this section shall
survive the expiration or termination of the agreement.
12. Waiver. No officer, employee, agent or other individual acting on behalf of either party has
the power, right or authority to waive any of the conditions or provisions of this agreement. No waiver in one
instance shall be held to be waiver of any other subsequent breach or nonperformance. All remedies afforded
in this agreement or by law, shall be taken and construed as cumulative, and in addition to every other remedy
provided herein or by law. Failure of either party to enforce at anytime any of the provisions of this agreement
or to require at any time performance by the other party of any provision hereof shall in no way be construed to
be a waiver of such provisions nor shall it affect the validity of this agreement or any part thereof.
13. Assignment and Delegation. Neither party shall assign, transfer or delegate any or all of the
responsibilities of this agreement or the benefits received hereunder without first obtaining the written consent
of the other party.
14. Subcontracts. Except as otherwise provided herein, the Consultant shall not enter into
subcontracts for any of the work contemplated under this agreement without obtaining prior written approval of
the City.
15. Confidentiality. COr1SUltant may, from time to time, receive information which is deemed by
the City to be confidential. Consultant shall not disclose such information without the express wmitten consent
of the City or upon order of a Court of competent. jurisdiction,
16. ,Jurisdiction and Venue. This agreement is entered into in Spokane County, Washington.
Venue shall be in Spokane County, State of Washington.

17. Cost and Attornev's Fees. In the event a lawsuit is brought with respect to this agreement.
the prevailing party shall be awarded its costs and attorney's fees in the amount to be determined by the Court
as reasonable. Unless provided otherwise by statute, Consultant's attorney fees payable by the City shall not
exceed the total sum arnount paid under this agreement.
18. Entire Agreement. This written agreement constitutes the entire and complete agreement
between the parties and supercedes any prior oral or written agreements. This agreement may not be changed,
modified or altered except in writing signed by the parties hereto.
19. Anti - kickback. No officer or employee of the City, having the power or duty to perform an
official act or action related to this agreement shall have or acquire any interest in this agreement, or have
solicited, accepted or granted a present or future gift, favor, service or other thing of value from any person
with an interest in this agreement.
20. Business Registration. Prior to commencement of work under this agreement, Consultant
shall register with the City as a business.
21. Severabitity. If any section, sentence, clause or phrase of this agreement should be held to
be invalid for any reason by a court of competentjurisdiction, such invalidity shall not affect the validity of any
other section, sentence, clause or phrase of this agreement.

Dear Mr. Aldworth:
Strata, Deotechnical Engineering and Material Testing, Inc. (STRATA) appreciates the
opportunity to provide this proposal to perform geotechnical exploration and pavement design
services for the proposed Broadway Avenue Reconstruction Project — Moore to Flora in
Spokane Valley, Washington. The purpose of our services will be to explore subsurface soil
and groundwater conditions along the project alignment and provide geotechnicai
recommendations to assist project planning design and construction. We understand you
request STRATA evaluate the subsurface conditions below the roadway as well as provide
pavement design and reeommenclations to construct the pavements. The following paragraphs
describe our project approach, project understanding and detailed tasks to meet your requested
services as outlined in Task 1 through Task 8 provided in the September 25, 2008 Request for
Proposal (RFP),
PROJECT UNDERSTANDING
We understand the City of Spokane Malley wishes to reconstruct Broadway Avenue from
approximately 150 feet east of Moore Road, up to, and including the Flora Road intersection.
The reconstructed roadway will include 12 -foot travel and center turn lanes, 5 -foot wide bike
lanes on each roadway shoulder as well as concrete curb, gutter and sidewalk on both sides of
the reconstructed roadway. The Broadway Avenue and Flom Road intersection will include a
new single -lane roundabout, The roundabout wilt feature a spIitter island at each approach and
a Portland cement concrete (P CC) pavement truck apron around the center island. The final
road traveling surface may be lowered on the order of 0,30 feet.
The project also Incorporates a stormwater drainage system with catch basins and
s ales located outside the roadway right -of -way (ROW). Final Swale and drywell locations have

not been determined and are pending ROW negotiations. We understand the final stormwater
disposal locations will be determined as the design process evolves.
STRATA's pavement design will provide an aggregate support section and asphalt
concrete pavement (ACP). We anticipate both base course and top course aggregate will be
required as well as asphalt surfacing. We anticipate WSDOT specifications will be required in
reference to our pavement design and recommendations. We based the above proposed
construction from your letter and preliminary project plan sheets 1 through 3 you provided with
the RFP as well as our October 2, 2008 discussion.
SITE CONDITIONS
Existing Conditions
Broadway Avenue, in the project area, extends east from a large retail shopping center
toward Flora Road through a rural residential neighborhood. Site conditions to the north and
south of Broadway Avenue consist of either vacant fields or developed residential parcels. In
this area of the Spokane Valley, we anticipate the site will be underlain by silty sand or silty
gravel and underlain by relatively clean gravel with depth. These conditions are commonly
referred to as "valley gravel ". STRATA has completed numerous roadway design. projects
constructed over valley gravel conditions. We do not anticipate encountering groundwater
within the upper 20 feet of the existing ground surface. In this area of Broadway Avenue the
roadway is surfaced with ACID and bituminous surface treatment (BST) of unknown thickness.
The roadway profile is nearly flat with a slight crown.
Project Approach
As indicated in the RFP, we propose to explore the site using a series of borings and
test pits to evaluate the subsurface conditions and to obtain soil samples. We propose to
advance borings every 800 feet along the project alignment to a depth of 5 feet below the
existing pavement. We propose to obtain nearly continuous samples from the asphalt surface
to 5 feet below the existing surface using a 3 -inch outside diameter California modified split -
spoon sampler. We also propose to excavate test pits to evaluate the feasibility for swale and
drywell stormwater disposal. We anticipate traffic control will be required on Broadway Avenue
during drilling through patching activities. We anticipate closing one lane of traffic for each
exploration location. We propose to alternate traffic lanes to characterize the subsurface
conditions beneath the alignment. We propose to penetrate the asphalt concrete using asphalt
coring equipment on the order of 10 to 12 inches in diameter. Coring the asphalt before drilling
allows a relatively clean cut for proper patching and sufficient lateral clearance for 8 -inch
diameter augers. We will provide 2 STRATA personnel during exploration; the project manager
to coordinate efficient time use, traffic control and oversight and also a field professional to
perform coring and to log the subsurface conditions encountered.
STRATA is also willing to accomplish exploration outside of high traffic times such as
early morning or after rush hour traffic. Our intent will be to minimize traffic delay and
inconvenience. Following exploration, we will communicate the subsurface conditions to the
City of Spokane Valley within 2 days. The intent will be to provide interim feedback in
preparation of laboratory testing and pavement design. STRATA would appreciate the
opportunity to meet with the City of Spokane Valley to develop AASHTO design inputs and
parameters according to the City's input. We also propose to interact with the City of Spokane

Valley or the storm system designer to identify cost - effective options for stormwater disposal.
We will provide a draft report to the City of Spokane Valley for their review and incorporate
pertinent comments before submitting final reports.
STRATA will designate Chris Comstock as project manager for this project. Chris has
an advanced degree in Geotechnical Engineering with advanced training in pavement design
applications. Rick Woodworth, Regional Testing Manager will provide input regarding pavement
constructability, material properties, etc. STRATA's Administrative and Engineering staff will
support Rick and Chris as needed to complete the project.
SCOPE OF SERVICE
To develop the scope of services we reviewed the September 26, 2008 RFP, performed
a site visit and reviewed our services in the project area. Based on the above project
understanding and our approach, we anticipate the geotechnical exploration and pavement
design will require the following scope of services:
STRATA will visit the site to establish exploration locations in areas acceptable to the
City of Spokane Valley and also to adequately identify the reconstruction alignment.
STRATA will contact a regional utility notification service ( "One - Call ") prior to exploration.
The utility notification service will only locate public utilities. Private utilities such as
within the ROW may not be located. STRATA cannot be responsible for such damage
or repair to unmarked utilities.
2. STRATA will subcontract traffic control services for activities between the roadway
shoulders. We will provide 2 traffic control technicians and provide appropriate signage,
cones and flaggers during all drilling and patching activities that occur within the
roadway shoulders. We will provide a traffic control plan for City review and approval.
3. STRATA will core through the asphalt surface using a 10 to 12 -inch core barrel. Coring
the asphalt surface allows the drilling equipment to penetrate the asphalt concrete
without damaging, lifting or otherwise causing undesirable impacts to the existing
pavement. We will document the core thickness and retain core samples for City. of
Spokane Valley's review, if requested.
4. STRATA will subcontract to advance 4 exploratory borings at approximate 800 feet
intervals to a depth of no less than 5 feet below the existing pavement surface.
Alternatively, borings will be terminated due to refusal on bedrock, debris or other
identified obstruction. We do not propose to provide subsurface coring other than to
penetrate the asphalt surface. One of the 4 above borings will be drilled in the travel
lane of the proposed roundabout. The subsurface conditions will be described and
classified referencing the Unified Soil Classification System (USCS). Select soil samples
will be obtained from auger cuttings and at minimum 2.5 -foot depth intervals using a 2.4-
inch inside- diameter (3 -inch outside - diameter) California modified split -spoon sampler.
The sampler will be advanced below the sampling interval using a 140 pound hammer
falling 30 inches. The number of blows required to advance the sampler from 6 to 18
inches below the sampling interval will be documented as SPT N values. Borings will be
backfilled using granular soil and tamped using the drill equipment. Borings will receive

a - minimum 1 -foot thick, quick - setting concrete patch finished level with the existing
asphalt surface.
5. STRATA will subcontract to advance 4 exploratory test pits to evaluate stormwater-
infiltration facilities. Three test pits will be advanced in potential drywell infiltration areas
and one test pit will be advanced at the proposed pond site northeast of Broadway
Avenue and Flora Road. Test pits will be advanced using a rubber -tired backhoe
equipped with standard soil excavation teeth to depths up to 15 feet below the existing
ground surface. We will obtain select soil samples below typical drywell inverts for "Type
A" drywells. We propose to obtain a minimum of 2 samples per test pit to evaluate.
drywell outflow rates using the Spokane 200 Method of the Spokane Regional
Stormwater Manual. We also propose to accomplish 1 to 2 infiltration tests at
approximately 1 to 2 feet below the existing ground surface to evaluate the soil
conditions at the base of swale locations. We will evaluate the swale soils' suitability for
using equations 6 -1 -a and 6 -1 -c of the Spokane Regional Stormwater Manual. Test pits
will be loosely backfilled following completion and the test pit area will not be
landscaped. We propose to backfill test pits using on -site soil cuttings level with the
existing ground surface.
6. STRATA will provide laboratory testing on select soil samples obtained from exploration. -
The laboratory testing program is anticipated to include, but may not be limited to, the
following:
• 10 to 12 percent passing the No. 200 sieve tests
• 1 to 2 wash gradations
• 1 to 2 Modified Proctors,
• 1 to 2 California Bearing Ratio Tests (CBR)
CBR test results will be correlated to Modulus of Resilience (Mr) for pavement design
analyses. We will retain soil samples obtained during exploration for 90 days following
submittal of our final report. We will discard the samples at the end of that time period
unless we receive written notification to retain them longer.
7. STRATA will review field and laboratory data and complete analyses to provide
recommendations for:

6 Additional Recommended Services
STRATA will prepare a geotechnical engineering evaluation. The geotechnical
engineering evaluation will provide a summary of exploration, subsurface conditions
encountered, laboratory test results, geotechnical opinions and recommendations
including recommended pavement design. We propose to provide a site plan and
exploratory test pit logs. We will provide a draft report to the city for their review. After
receiving review comments, we will provide 6 hard copies and 1 electronic copy of our
report.
ESTIMATED SCHEDULE AND FEES
If STRATA is authorized to perform the above scope by October 6,, 2008, we can initiate
drilling fieldwork by October 16, 2008. We anticipate drilling will take 1 . business day.
Laboratory testing will likely take up to 5 business days to complete. We also understand test
pit exploration will be required at a later time, pending ROW negotiations. We propose to
provide a draft review to the City of Spokane Valley by October 30, 2008. This schedule is
slightly dependent upon actual drill rig and backhoe schedules as well as STRATA receiving the
necessary traffic loading, stormwater disposal locations and AASHTO design criteria from the
City of Spokane Valley. We intend to provide frequent communication to the City of Spokane
Valley regarding the status of our services. If the above schedule cannot be met, we will notify
you immediately during the evaluation process.
STRATA proposes to provide the above scope of service on a time and expense basis
not to exceed $9,850.00, which excludes any contingency funds applied by the City. We
append an estimate of our manhours, subcontracting expenses, laboratory testing fees and
