AGREEMENT TO EXTEND THE LETTER OF INTENT FOR PURCHASE OF
REAL ESTATE
WHEREAS the City of Spokane Valley ( "City ") and the Pring Corporation ( "Pring ")
entered into a Letter of Intent for Purchase of Real Estate ( "Letter of Intent ") dated April
24, 2012;
WHEREAS the terms of the Letter of Intent state it will terminate on July 2, 2012 unless
it is extended by mutual agreement of the City and Pring; and
WHEREAS the City and Pring have operated in good faith under the Letter of Intent,
need additional time to satisfy the conditions outlined therein, and want to continue
pursuing the purchase and sale of the property identified in the Letter of Intent;
The City and Pring HEREBY agree:
1. To amend paragraphs 4 and 7 of the Letter of Intent by extending (a) the date the
subject property is to be kept off the market and (b) the termination date of Letter
of Intent to 4:00 p.m., September 1, 2012, unless extended by mutual agreement
of the City and Pring; and
2. That all other terms of the Letter of Intent shall remain in full force and effect
throughout the duration of the Letter of Intent as extended
