Purpose of this Amendment:
This Amendment No. 1 to Sales Order 1024, SMARTGov' Community Software as a Service (SaaS)
Agreement, effective September 17, 2012 is for the purpose of replacing the SMARTGov Community®
definition in the Agreement and to provide a statement for notification if the service is moved from one
hosting site to another.
Section 1.4 currently reads:
1.4 "SMARTGov Community" shall mean the access and use provided to CLIENT
hereunder of PALADIN's SMARTGov Community TM e- government software solutions via
Web -based interface, hosted on the Microsoft Windows® Azure TM Platform.
Section 1.4 is replaced in its entirety by the following:
1.4 "SMARTGov Community" means PALADIN's SMARTGov Community® software
solutions delivered as Software as a Service ( "SaaS" is a delivery model in which software
and associated data are centrally hosted and typically accessed via a web browser with a
network connection to the internet).
Paladin Data Systems Corporation will provide the City of Spokane Valley 30 days' notice
prior to any Internet Provider address change.
This Amendment, together with the other written agreements referenced to herein or executed
contemporaneously herewith, constitutes the entire agreement of the parties concerning its subject matter
and supersedes any and all prior or contemporaneous, written or oral negotiations, correspondence,
understandings between the parties respecting the subject matter of this Amendment.
Except as provided herein, all remaining terms, conditions, and provisions of Order 1024 are unchanged
and unaffected by this Amendment and shall continue in full force and effect as set forth in Order 1024.
This Amendment will become effective as of the last date set forth on the signature page below (the
"Effective Date ").
IN WITNESS WHEREOF, the parties hereto have executed this Amendment as of the date set forth
below their respective signatures.
