13-105.00 YMCA: Pool Facilities OperationsCONTRACT AMENDMENT FOR THE AGREEMENT BETWEEN THE CITY OF SPOKANE VALLEY AND THE YMCA OF THE INLAND NORTHWEST Contract #CO10 -001 For good and valuable consideration, the legal sufficiency of which is hereby acknowledged, City and the YMCA of the Inland Northwest mutually agree as follows: 1. Purpose: This Amendment is for the Contract for operation and maintenance of pool facilities by and between the Parties, executed by the Parties on January 5, 2010, and which terminates on December 31, 2010 subject to execution of one or more option years as provided for in the Contract. Compensation under the Original Contract was a combination of a fixed Administrative cost of $30,000 and actual expenses. Said contract shall be referred to as the "Original Contract" and its terms are hereby incorporated by reference. 2. Original Contract Provisions: The Parties agree to continue to abide by those terms and conditions of the Original Contract, dated January 5, 2010, and any amendments thereto, which are not specifically modified by this Amendment. 3. Amendment Provisions: This Amendment is subject to the following amended provisions. All such amendment provisions are hereby incorporated by reference herein and shall control over any conflicting provisions of the Original Contract, including any previous amendments thereto. The City of Spokane Valley Parks and Recreation Department will be selling merchandise at our three outdoor swimming pools Items sold would include swim diapers ear plugs and swim goggles. All merchandise sold at our pools will be purchased and supplied by the YMCA at their expense The YMCA will bill the City monthly for what items have been sold at their direct costs. All net revenue resulting from merchandise sales at the pools will be City revenue. The intent of this amendment is to not increase revenue to the YMCA. The costs for items being sold is merely being passed through to the City. Co(?) -IO 4.
