BETWEEN THE CITY OF SPOKANE VALLEY AND
CENTURYLINK CORPORATION
FOR INSTALLING CONDUIT HANGERS AND DRILLING CORE HOLES
AS PART OF THE CONSTRUCTION OF THE
SULLIVAN ROAD BRIDGE DRAIN RETROFIT PROJECT, CIP 0150
I IIS MEMORANDUM OF UNDERSTANDING (MOU) is entered into on this -� day of
2013, by and between the City of Spokane Valley (the City) and CenturyLink
brpor ion (CenturyLink). The City and CenturyLink are sometimes referred to individually as
"Party" and collectively as the "Parties."
WHEREAS, as part of the Sullivan Road Bridge Drain Retrofit Project (Retrofit Project), the
City intends to install a storm drain system under the North Bound Sullivan Road Bridge over the
Spokane River that will require hanger supports and drilling through pier cap diaphragms;
WHEREAS, CenturyLink currently has fiber optic lines supported from poles along the west
edge of the Sullivan Road right -of -way over the Spokane River;
WHEREAS, the City has requested CenturyLink to relocate said communication lines;
WHEREAS, CenturyLink has agreed to relocate said overhead communication lines and decided
to relocate them to a conduit under the North Bound Sullivan Road Bridge; and
WHEREAS, the purpose of this MOU is to define responsibilities and allocate costs for work
related to the hanger supports and drilling for both CenturyLink and the City.
NOW THEREFORE, the City and CenturyLink do hereby agree as follows:
ARTICLE 1— RESPONSIBILITIES OF THE CITY
1. The City shall develop plans and specifications for the Retrofit Project, including
plans and specifications for hanger supports and pier cap core drilling.
2. The City shall include in the bid schedule of the Retrofit Project a bid item paying
for hanger support work ( "Hanger Bid Item ") and a bid item paying for pier cap core
drilling, ( "Drilling Bid Item ").
A. The Hanger Bid Item will include a trapeze support, sufficiently wide to
install a 6 -inch conduit alongside of the stormdrain pipe; supported by
hangers and anchors designed and sized to support a 6 -inch conduit with
communication contents.
B. The Drilling Bid Item will include sufficient room within the pier cap
penetrations to route the 6 -inch conduit.
C. The City will not install the following work underneath the north bound

bridge that will be required in the future to install the 6 inch
communication conduits:
a. Coredrill penetrations through either bridge abutment.
b. Hanger assemblies south of the storm drain piping work.
3. The City anticipates opening bids for the Retrofit Project in Summer 2013, and
intends to complete construction of the Retrofit Project, by Fall 2013.
4. The City shall review the Retrofit Project and will select the bidder with the lowest
responsible bid for the entire project.
5. The City shall oversee the Retrofit- Project contractor during construction.
6. Upon awarding a contract for the Retrofit Project, the City shall have full control
over the resultant construction contract and shall be the administrator for the Retrofit
Project. The City shall indemnify and hold CenturyLink harmless from all actions,
proceedings, and claims, which may be brought against CenturyLink by the City or a
third party in relation to this MOU. The City shall install the storm drain system as
part of the Retrofit Project. Nothing in this MOU shall prohibit the City from
making any design or construction modifications to the storm drain system; provided
the City shall ensure that any such changes still allow CenturyLink to install a 6 inch
diameter conduit adjacent to the storm drain under the north bound Sullivan Road
Bridge.
ARTICLE 2 — RESPONSIBILITIES OF CENTURYLINK
1. CenturyLink shall relocate its overhead cable system and install a fiber optic line
in a 6 -inch diameter conduit adjacent to the City's newly constructed storm drain
under the North Bound Sullivan Road Bridge.
2. CenturyLink shall use the trapeze hanger support as shown on the attached Exhibit
A.
3. CenturyLink shall obtain all necessary permits to perform its responsibilities
under this MOU.
ARTICLE 3 — ALLOCATION OF COSTS

CenturyLink shall, within -340--60 days of invoice from the City, compensate the City
for the following costs: 50
a. One - sixth of the Hanger Bid Item costs; and
b. One -third -sixth of the Drilling Bid Item costs.

2. The City shall include with its invoice a copy of the final Retrofit Project Pay
Application showing the final and original amounts for the Hanger Bid Item and
Drilling Bid Item.

ARTICLE 4 — DURATION; AMENDMENT
1. This MOU shall become effective as of the date set forth above and remain in effect
until the City has been reimbursed in accordance with Article 3. This MOU may
only be terminated early by written mutual agreement of the parties.
2. This MOU may only be amended by written agreement of the parties.
ARTICLE 5 — PARTY REPRESENTATIVES
1. CENTURYLINK'S REPRESENTATIVE. For purposes of this Agreement,
CenturyLink's Representative is Dean Chiistens Blake Davis. rj0
2. THE CITY'S REPRESENTATIVE. For purposes of this Agreement, the City's
Representative is Craig Aldworth, or current Retrofit Project, Project Engineer.
ARTICLE 6 — INDEMNIFICATION
6.1 The City shall indemnify and hold harmless CenturyLink and its officers, agents, and
employees, from any and all claims, actions, suits, liability, loss, costs, expenses, and damages of
any nature whatsoever, by any reason of or arising out of any negligent act or omission of the
City, its officers, agents and employees, relating to or arising out of performance of this MOU.
In the event that any suit based upon such claim, action, loss, or damages is brought against
CenturyLink, the City shall defend. the same at its sole cost and expense; provided that
CenturyLink reserves the right to participate in said suit; and_ if final judgment in said suit be
rendered ,against CenturyLink, and its officers, agents, and employees, or jointly against
CenturyLink and the City and their respective officers, agents, and employees, the City shall
satisfy the same.
6.2 CenturyLink shall indemnify and hold harmless the City and its officers, agents, and
employees, from any and all claims, actions, suits, liability, loss, costs, expenses, and damages of
any nature whatsoever, by any reason of or arising out of any negligent act or omission of
CenturyLink, its officers, agents and employees, relating to or arising out of the performance of this
MOU. In the event that any suit based upon such claim, action, loss, or damages is brought against
the City, CenturyLink shall defend the same at its sole cost and expense; provided that the City
reserves the right to participate in said suit if any principle of governmental or public law is
involved; and if final judgment in said suit be rendered against the City, and its officers, agents, and
employees, or jointly against the City and CenturyLink and their respective officers, agents, and
employees, CenturyLink shall satisfy the same.
6.3 If the comparative negligence of the Parties and their officers and employees is a cause of
such damage or injury, the liability, loss, cost, or expense shall be shared between the Parties in
proportion to their relative degree of negligence and the right of indemnity shall apply to such
proportion.

6.4 Where an officer or employee of a Party is acting under the direction and control of the other
Parry, the Party directing and controlling the officer or employee in the activity and/or omission
giving rise to liability shall accept all liability for the other Party's officer or employee's
negligence.
6.5 Each Party's duty to indemnify shall survive the termination or expiration of the MOU.
6.6 The foregoing indemnity is specifically intended to constitute a waiver of each Party's
immunity under Washington's Industrial Insurance Act, chapter 51 RCW, respecting the other
party only, and only to the extent necessary to provide the indemnified Party with a full and
complete indemnity of claims made by the indemnitor's employees. The Parties acknowledge
that these provisions were specifically negotiated and agreed upon by them.
